Tlic Owasso Public Works Authority met iri regular session on Tuesday, February 1, 2000 in the
Council Chainbers at the Owasso Community Center per the Notice of Public Meeting and
Agenda posted on the City gall bulletin board at 4;00 p.nn. on Friday, January 28, 2000.

ITEM 4: CONSIDERATION AND APPROPRIATE ACTION RELATING TO A REQUEST
FOR APPROVAL OF THE CONSENT AGENDA.
A. Approval of the Minutes of January 18, 2000 Regular Meeting.
B. Approval of Claims.
The consent agenda included minutes of the January 18, 2000 regular meeting, by reference
made a part hereto. Itcm B on the consent agenda included the following claims: (1) Owasso
Public Works Authority $239,342.06; (2) OPWA Debt Service $62,267.50; (3) OPWA Sales Tax
Fund $124,828.75; (4) Payroll $29,455.47. Item C requested that the Authority receive the audit
of the OPWA Fund for FY 1998 -99. Ms Barnhouse moved, seconded by Dr Bode, to approve
the consent agenda.

Mr Lutz said that the Northside Wastewater Collection Improvement includes sewer construction
in conformance with a 1998 Consent Order issued by the Oklahoma Department of
Environmental Quality as a result of storm event bypasses. The project includes upgrading
sanitary sewer service to the northwest quadrant of the city by replacing the 106"' St lift station
and force main with a gravity line. A contract was awarded to Sapulpa Digging in .Tune of 1999
in the amount of $374,000 and the work was considered to be substantially completed on
November 27, 1999. Periodic bypasses continue due to inflow into old manholes and infiltration
into the 8 —inch line. Staff has proposed a change order that will extend the 15-inch gravity line
from the old lift station area to 116`x' St N in order to provide increased capacity. The majority of
the cost involves an extension of existing unit cost bid items and is not subject to the 15% limit
increase. New bid items amount to only 9.8% of the original contract price. The cost of the
change order is $245,437. Ms `Moss moved, seconded by Ms Barnhouse, to approve Change
Order ##1 to a contract with Sapulpa Digging Co, Sapulpa, OIL in the amount of $245,437 to
extend the 15" interceptor line north from 106"' St N to 116"' St N.

The Oklahoma Water Resources Board (OWRB) operates the State Revolving Fund (SRF) loan
program and the Financial Assistance Program (FAP). These programs provide low interest
financing for eligible projects. The OPWA has taken advantage of 0WRI3 financing in the past and
currently has three notes with the OWRB.
In February 1999, the ®PWA trustees authorized a contract for engineering design services for
Phase IIA improvements to the wastewater treatment facility. The design and specifications were
completed and the construction has been advertised with bids due on Monday, February 14.
A written acceptance by the ®PWA "Trustees of the "better of Binding Commitment" is required by
the OWRB. The purpose of this `Letter" is for the ®PWA to acknowledge the terms and conditions
of the loan and the use of federal and state funds.
Staff recommends that `trustees accept the Oklahoma Water Resources Board "better of Binding
Commitment" to make a Clean Water State Revolving Fund loan.

In accepting this "Letter of Binding Commitment," the Owasso PWA acknowledges that it must
agree to the following terms before the loan funds will be advanced:
The Owasso PWA agrees that this project will be constructed in part with funds directly
made available by the U.S. Environmental Protection Agency Capitalization. Grant to the
State of Oklahoma. As a result, the applicant agrees to continue to document
compliance with the Federal Clean Water Act and all other Federal cross cutting laws
and authorities.
20 The Owasso PWA agrees that only those items specified on the enclosed ORF-43 are
eligible for CWSRF funding.

As stated in the attached OWRB Order, upon applicant's acceptance of this "Letter of Binding
Commitment," the funds will be reserved for the Owasso PWA until January 11, 2001.
Accordingly, this letter of commitment must be accepted by the Owasso IOWA as soon as
possible in order to proceed in a timely fashion with loan closing.

ACCEPTANCE:
On behalf of the Owasso Public Works Authority, 1, the undersigned, being duly authorized tc
take such action, do hereby accept and agree to the terms and conditions of this "Letter of
Binding Commitment." The applicant understands that the State's purpose for this "Letter of
Binding Commitment" is to inform the applicant that the loan has been approved and that the
funds for the loan will be reserved for a limited time upon applicant's acceptance of the terms of
the "Letter of Binding Commitment." Following applicant's acceptance of the "Letter of Binding
Commitment," the parties will proceed to close the loan in a timely fashion.

This matter came on for consideration before the Oklahoma Water Resources Board
("Board") on the 11 th day of January 2000.
The applicant, The Owasso Public Works Authority ( "Authority ") has rude application to the
Board for a loan from the Wastewater Facility Construction Revolving Loan Account, also referred
to as the CWSRF, pursuant to 82 Cho S, 1991, Sections 1085.1 et seq. The Authority intends to use
the loan for wastewater system improvements to achieve full compliance with State and Federal
standards,
The Board has completed its financial review of the application and related information, and
finds that the loan application should be approved according to the terms and conditions set forth

A. The Board's staff is authorized to determine what additional conditions or
requirements shall be necessary in order to assure the soundness of the loan and compliance with
applicable financial and legal requirements.
5. The loan shall be subject in all respects to the provisions of the Promissory Note,
Loan Agreement, and other loan documents which shall be executed by proper officials of the
Authority and a Board member at or prior to loan closing as appropriate.
