HomeMy WebLinkAbout2002 05_OPWA_Loan Application OWRB_2002.10.15 THE OW ASSO PUBLIC WORKS AUTHORITY RESOLUTION NO 2002-05 A RESOLUTION AGREEING TO FILE APPLICATION WITH THE OKLAHOMA WATER RESOURCES BOARD FOR FINANCIAL ASSIST ANCE THROUGH THE CLEAN WATER SRF LOAN PROGRAM AND THE FINANCIAL ASSISTANCE PROGRAM, FOR THE PURPOSE OF REFINANCING INTERIM DEBT WHICH INITIALLY FINANCED WASTEWATER SYSTEM IMPROVEMENTS; AND CONTAINING OTHER PROVISIONS RELATED THERETO. WHEREAS, The Owasso Public Works Authority, Tulsa County, Oklahoma (the "Authority) has under consideration the refinancing of certain interim construction debt (the "Refinancing"), which debt is evidenced by (i) the Authority's Series 2001D Interim Construction Clean Water SRF Promissory Note to Oklahoma Water Resources Board, and (ii) the Authority's Series 2001E Clean Water SRF Interim Construction Bond Loan Promissory Note to Oklahoma Water Resources Board; and to give preliminary authorization of the WHEREAS, it is deemed desirable for the Authority issuance of obligations for such purpose; and WHEREAS, the Oklahoma Water Resources Board has made monies available to qualified entities for the financing and/or refinancing of certain qualifying projects; and WHEREAS, the Authority hereby agrees to file an application(s) with the Oklahoma Water Resources Board for financial assistance in the aggregate amount as will be sufficient to pay certain of the costs associated with the Refinancing. NOW, THEREFORE, BE IT RESOLVED BY THE TRUSTEES OF THE OW ASSO PUBLIC WORKS AUTHORITY, TULSA COUNTY, OKLAHOMA: Section 1. Application. The Authority shall file an Application(s) with the Oklahoma Water Resources Board seeking financial assistance through the State Revolving Fund Program and the Financial Assistance Program; and the Chairman or Vice Chairman and Secretary or Assistant Secretary ofthe Authority are hereby authorized to execute said Application(s) for and on behalf of the Authority. The Authority is further authorized to advance to the Oklahoma Water Resources Board the necessary application fees in connection with the referenced Application(s). Section 2. Professionals. The Authority authorizes staff of the Authority and Wells Nelson & Associates, LLC, as financial advisor, and Fagin, Brown, Bush, Tinney & Kiser, as bond counsel, to prepare and submit the referenced Application( s) on behalf of the Authority and to take such other action as is necessary to accomplish the Refinancing.
