O ASSO PUBLIC WORKS AUTHORITY MINUTES OF REGULAR MEETING Tuesday, July 18, 2000 The Owasso Public Works Authority met in a regular session on Tuesday, July 18, 2000 in the Council Chambers at the Owasso Community Center per the Notice of Public Meeting and Agenda posted on the City Hall bulletin board at 4;00 p.m. on Friday, July 14, 2000. IT M 1 CALL TO ORDER Chairman Williams called the meeting to order at 7,05 p,m. ITEM-2: FLAGSALUTE The flag salute was given during the City Council meeting preceding this meeting. ITEM 30 ROLL CAL PRESENT 11 C "Will" Williams, Chairman Mary Lou Barnhouse, Vice Chairman Melinda Voss, Trustee Randy Brogdon, Trustee STAFF Larry Mitchell, City Manager Donald D Cates, Authority Attorney Marcia Boutwell, Authority Secretary A quorum was declared present. ITEM 4: CONSIDERATION AND APPROPRIATE ACTION RELATING TO A REQUEST APPROVAL FOR E CONSENT AGENDA. A Approval of the Minutes of July 3, 2000 Regular consent B. Approval of Claims. The consent agenda included minutes of the July 3, 2000 rescheduled regular meeting, by reference made a part hereto. Item B on the agenda included the following Owasso Public Works Authority $40,563.87; (2) OPWA Capital Improvements $197,274.49; (3) OPWA Sewer Line Extension $23,000; (4) Payroll $34,298.59. MX Brogdon moved, seconded by Ms Voss, to approve the consent agenda. AYE: BrogBarnhouse, Williams NAY: None Motion carried 4-0. IW Mitchell reported that the city is waiting on approval from the Oklahoma Department of Transportation to proceed with the 96"' St project. CA ES, AUTHORITY ATTORNEY SUBJECT- AGREEMENT FOR EMERGENCY WATER SERVICE-RIJRAL WATER DISTRICT NO. 3, WASHINGTON COUNTY, OKLAHOMA AND OWASSO PUBLIC WORKS AUTHORITY DATE: July 26, 2000 BACKGROUND It is recommended to the Trustees of the Owasso Public Works Authority that the Trustees approve the Agreement for Emergency Water Service between Rural Water District No. 3, Washington County, Oklahoma and the Owasso Public Works Authority, and authorize the Mayor to execute the same. 2780-427-mews.wpd RECITALS: A. RWD No. 3 and OP WA operate water distribution systems which provide water to residents within their respective boundaries, B. From time to time RWD No. 3 or OPWA may require an emergency supply of water and RWD No. 3 and OP %A desire to reciprocally purchase and sell water to and from each other on an emergency basis within the "Owasso Market" an addition to the City of Owasso, County of Tulsa, State of Oklahoma, according to the recorded plat thereof Service Territories, as hereinafter defined. AGREEMENTS: NOW, THE FOE E, in consideration of the mutual covenants and agreements herein contained and for such other good and valuable consideration, the adequacy and receipt of which is hereby acknowledged as consideration, RWD No. 3 and OPWA hereby agree as follows: For the purpose of this Agreement, the following terms have the following meanings: 1.01 Emergency Service. Emergency Service shall mean water service by one of the parties to the other party to meet a need or demand for water for fire suppression or supply line repair purposes only and for a period of not more than thirty (30) days. 1.02 Emeriaencv Rate. Emergency Rate shall mean $2.00 per thousand gallons. This rate is subject to adjustment pursuant to the provisions of Article 2, Section 2.03 of this Agreement. 1.03 Supply Point. Supply Point shall mean the point of connection on the South side of East 96'h Street North at a point on the South lot line of Lot 4 of the "Owasso Market" in the vicinity of East of North 121" East Avenue. 1,04 Receivin Purge oro Deceiving Purveyor shall mean either RWD Noe 3 or OP A, whichever is receiving; water from the other pursuant to this Agreement. 1405 Su lying Pu' -rem Supplying Purveyor shall mean either RWD No, 3 or OP A, whichever is supplying water to the other pursuant to this Agreement. L06 Owasso Market Meter, The Owasso Market Deter shall mean that water meter to be located at a location to be approved by engineers for the RWD No. 3 and OP A. 1.07 Owasso Market Service Territol o Owasso Market Service territory shall mean the Owasso Market platted area as delineated by the D.S. District Court for the Northern District of Oklahoma in Rural `dater District #3�Washh -Raton Coun, Oklahoma v. Owasso Utilities AuLhorit , et a1,, Civil Action Noe 77-C-99-E, and all customers therein: ARTICLE 2 EMERGENCY SERVICE 2.01 The Supplying Purveyor shall, upon notice of are emergency as provided in Section 2,02 of this Agreement, from the Deceiving; Purveyor, sell and deliver to the Deceiving Purveyor on Emergency Service such volume of water as the Deceiving purveyor may require, but not to exceed 125,000 gallons per day. 2402 The Receiving Purveyor shall, in the event of circumstances requiring Emergency Service, provide as much notification as possible to the Supplying Purveyor, but not less than two (2) hours notice from Monday through Friday and at least four (4) hours otherwise, including Saturdays, Sundays and holidays, I 2,05 If the emergency which precipitates the need for Emergency Service occurs during a drought or other emergency requiring conservation, the Receiving Purveyor shall curtail use of water by resolution and enforcement in the same manner as required of the Supplying Purveyor under such circumstances. 2.06 At such time as the Receiving purveyor requests Emergency Service, the Receiving Purveyor shall promptly pay to the Supplying Purveyor the actual costs of turning-aon or trur°ning -off at the meter, which costs shall, in no event, be less than $2 ,00 for turningwon, the meter and $25,00 for turning-off the meter, ARTICLE 3 SERVICE CURTAILMENT 3,01 The parties may curtail or suspend delivery under this Agreement under any of the following conditions: A. Failure of the Receiving Purveyor to make payment of regular monthly billings when the same shall fall due. B, failure of the Receiving Purveyor to curtail use of water by resolution and enforcement in the same manner and method as required of Supplying purveyor in time of drought or other emergency requiring conservation. Ca The other party's breach of any of the terms and conditions of this Contract, D. Upon the expiration of the thirty (30) day Emergency Service period, 4,01 This Agreement may be terminated by either party at the time of the annual review of the Emergency Rate, as set out in Article 2, Section 2.03, upon thirty (30) days prior written notice of its intention to do so. 4D03 Whenever the Receiving Purveyor has failed to pay any bill accruing ender this Agreement on or before the 30th day after the due date of such bill, the Supplying Purveyor may discontinue the sale and delivery of water thereafter upon giving tell (1 0) days prior written notice of its intention, MAINTENANCE AND OPERATION 5.02 RWD No. 3 shall furnish and maintain all water lines, vaults, pipe connections and facilities required to transport grater from the supply point, 6.01 The terms and provisions of this Agreement shall extend to and be binding upon the successors and assigns of the parties hereto. 4 6,02 In the event that any provision of this Agreement shall be determined to be illegal, invalid or otherwise unenforceable, the remainder of this Agreement shall not be affected thereby and each remaining provision, term, covenant or condition shall be enforced by the fullest extent of the later, 6903 This Agreement shall be governed by the lags of the Mate of Oklahoma, 6,04 This Agreement shall be deemed to have been drafted by both parties and not by one to the exclusion of°the other. 6,05 Any notice or other communication hereunder shall be in writing, and if wiled by certified or registered mail, postage prepaid, return receipt requested, shall be deemed to have been duly given or made on the date of receipt, or if not nailed in such manner, then as of the date actually delivered to RWD No. 3 or OP WA at the addresses listed below: Notices directed to RWD Noe 3 shall be seat too Dural dater District No, 3, Washington County P.O.
