PUBLIC NOTICE OF AN ADDENDUM TO THE MEETING OF THE OWASSO CITY COUNCIL The Owasso City Council will meet in regular session on Tuesday, December 18, 2018 at 6:30 pm at Old Central, 109 N Birch, Owasso, Oklahoma. Consideration and appropriate action relating to the renewal of the Cox Cable Television Permit Agreement Julie Lombardi Staff recommends renewal of the cable television permit agreement with CoxCom, LLC, and authorization for the Mayor to execute the agreement and any ancillary documentation necessary. 16. Call to Order Mayor Chris Kelley called the meeting to order at 6:30 pm. 2. Invocation The invocation was offered by Senior Pastor David Payne of Christ's Church Owasso. 3. Consideration and appropriate action relating to the East 76th Street North and Main Street Intersection Improvement Project Phase II Earl Farris presented the item recommending acceptance of the completed project and authorization for final payment to Grade Line Construction, LLC of Broken Arrow, Oklahoma, in the amount of $24,648.31. There were no comments from the audience. After discussion, Mr. Bush moved, seconded by Mr. Dunn to accept the project and authorize final payment, as recommended. Consideration and appropriate action relating to the award of a bid for the Owasso Expressway Service Road Realignment and Intersection Improvement Project (East 106th Street North and North 137th East Avenue) Daniel Dearing presented the item recommending to award the construction contract to Grade Line Construction, LLC of Broken Arrow, Oklahoma, in the amount of $1,146,541.90 and authorization for the Mayor to execute the contract. There were no comments from the audience. After discussion, Mr. Bonebrake moved, seconded by Ms. Lewis to award the contract and authorize the Mayor to execute the document, as recommended. Consideration and appropriate action relating to an Inter -local Agreement between the City of Owasso and Tulsa County for the East 106th Street North and North 129th East Avenue Intersection Improvement Project Dwayne Henderson presented the item recommending approval of the Inter -local Agreement with Tulsa County for engineering design services and authorization for the Mayor to execute the agreement. There were no comments from the audience. After discussion, Mr. Bush moved, seconded by Mr. Bonebrake to approve the agreement and authorize the Mayor to execute the document, as recommended. To be eligible for retirement benefits through OkMRF an employee must have a minimum of five years of employment. Once an employee has five years of service the employee is considered vested and upon leaving employment with the City has three options depending upon age. 1. Normal Retirement is available to a vested employee age 65 or older. 2. Early Retirement is available to a vested employee between ages 55 and 65. 3. Deferred Retirement is available to a vested employee under the age of 55. Deferred Retirement allows an employee to "defer" retirement benefits until a future date, at which time the employee would begin receiving monthly retirement benefits. December 28, 2018, is going to be the last day of employment for Virgilio Morados of the Public Works Water Department. Mr. Morados was a participant in the OkMRF retirement plan while employed with the City since February 1998 and has applied for, and meets the prerequisites for Early Retirement. Public infrastructure improvement includes a new fire hydrant with all appurtenances, a fire line valve, asphalt and concrete pavement including sidewalk, curb, on- street parking and driveway approaches, as well as stormwater system improvements. FINAL INSPECTIONS: Final inspections for the infrastructure component were completed in November 2018 by the Public Works Department. All standards for acceptance have been met. Additionally, the construction contractor and design engineer have supplied the necessary two -year maintenance bond and required as -built drawing. No citizens spoke at either public hearing. The Land Use Master Plan (adopted in 2014 and amended in 2016) is not considered a codified document that is law, but is more accurately described as a flexible regulatory tool. The Plan is a fluid document that periodically requires changes and adjustments. The proposed amendments are intended to keep the Land Use Master Plan map updated in light of recent development trends related to annexations, zoning changes, and infrastructure improvements primarily in the area of wastewater and transportation. The Land Use Master Plan map is used in conjunction with the Zoning Map in evaluating various development applications received by the City. If approved by Council, the attached map would serve as the updated GrOwasso 2030 Land Use Master Plan map for Owasso, Oklahoma and, subsequent Master Plan amendments approved by City Council for individual parcels would amend this map. A more comprehensive update of the entire plan document, which would include a review of the key issues, goals, action plans, updating demographics, and existing data, will occur at a later date. The Plan was approved by City Council with Resolution 2014 -07. Unlike the Zoning Map, the Land Use Master Plan is not considered a codified document that is law but is more accurately described as a flexible regulatory tool. The Plan is a fluid document that periodically requires changes and adjustments as development trends in Owasso respond to events like infrastructure improvements, sanitary sewer extensions, annexations, rezoning cases, and roadway projects. For example, in November 2016, the City Council approved an amendment to the Plan that introduced a new zoning district called RNX (Residential Neighborhood Mixed). Having a Plan that is relatively current is important to the performance of the Community Development Department and the City as a whole. Since the 2016 amendment, there have been several events that require the Plan to be revisited again. Staff is bringing forth a proposed Plan amendment for consideration that addresses these events and subsequent changes in development trends. PROPOSED UPDATE TO THE LAND USE MASTER PLAN MAP: The proposed updates to the Plan are focused on amending the Land Use Master Plan map and brochure. None of the goals and objectives of the Plan would change with this update. Also, the booklet that accompanies the Plan is not proposed to be amended at this time. Staff anticipates developing a major Plan update in the next two to three years, which will involve the assemblage of a committee, revisiting goals and objectives, inventorying infrastructure, posting public opinion surveys, holding public workshops, etc. PUBLIC INPUT MEETING AND PUBLIC HEARINGS: On Thursday, September 20, 2018, a public input meeting was held in the Community Room at City Hall to allow citizens to review the updated map and ask questions. Approximately twelve (12) citizens attended meeting, and staff addressed several questions. The notes from this meeting were provided to the Planning Commission at the meeting on October 8, 2018. Additionally, the Owasso Reporter ran a story on the proposed Plan update. Staff is holding a Public Hearing on the proposed update at the November 12, 2018 Planning Commission meeting and November 20, 2018 City Council meeting. PLANNING COMMISSION: The Final Plat for Arvest Bank North was presented to the Planning Commission at their November 12, 2018, meeting. The exhibit presented at that meeting showed a seventy -foot (70') limits -of- access (LOA) along North 138th East Avenue in the northeast quadrant of the subject property. The Planning Commission discussed the LOA being excessive and subsequently approved the Final Plat subject to narrowing or removing the LOA along North 138th East Avenue. TECHNICAL ADVISORY COMMITTEE (TAC): After the Planning Commission meeting, staff was notified that the applicant intended to propose a right -in /right -out (RI /RO) only driveway within the above mentioned LOA along N 138th E Ave. The intention of the RI /RO access point is to facilitate access to the proposed new bank. Staff discussed this RI /RO access point with Public Works and the Fire Marshal to ensure that the access point would not cause any traffic or turning radius issues. It was determined that the RI /RO drive on North 138th East Avenue, as well as the dimensions of the access point shown on the Site Plan, would be appropriate. Staff presented both the proposed Site Plan and Final Plat to the TAC to be reviewed concurrently. The TAC agreed with the Planning Commission's recommendation that the LOA on North 138th East Avenue be narrowed to accurately reflect the proposed access point dimensions on the Site Plan. After the TAC meeting, the applicant submitted a revised Final Plat addressing those comments. RECOMMENDATION: Staff recommends approval of the Arvest Bank Owasso North Final Plat. For example, PUDs often allow developers to place different zonings and land uses in close proximity to each other. Developers may also have more flexibility in certain aspects of development, such as building setback requirements and building height limitations, which can be more restrictive in standard zoning districts. However, a PUD should not be considered as a tool to circumvent the City's Zoning Code and Subdivision Regulations. All aspects of the PUD application are subject to public comment as well as consideration and approval from the Community Development Department, the Owasso Technical Advisory Committee, the Owasso Planning Commission, and the Owasso City Council. PUD applications presented to the Planning Commission and City Council are for approval of the uses and the overall conceptual development plan as it relates to the context of the surrounding area. ANALYSIS: The subject property was annexed with Ordinance 559 in 1997, and is currently zoned OL (Office Light), CS (Commercial Shopping), and RM (Residential Multi - Family). The small area of the subject property that is zoned RM is a part of OPUD 12 -01 for the 98 Apartments. A rezoning request (OZ 18 -05) has been submitted concurrently with this PUD application, and the applicant is seeking a zoning of CS (Commercial Shopping) be applied to the entirety of the development. If OPUD 18- 02 is approved, it would replace OPUD 12 -01 where there is overlap. The Conceptual Site Plan for the development depicts several buildings assembled in an office /commercial park setting. All development within the PUD would be required to meet the requirements for the US -169 Overlay District, including architectural details, as well as any additional stipulations outlined in the approved PUD document. The proposed project is divided into two development areas, A and B. Development Area A (north of East 100th Street North) is expected to develop first, and Development Area B at a later date. The PUD abuts a medial /office park to the north, a residential development in Tulsa County's jurisdiction to the east, US -169 to the south, and the 98 Apartments complex to the west. Access to the development would be taken from North 1291h East Avenue and /or East 100th Street North, with the final determination of access points and right -of -way dedication to occur at the time of platting. A significant portion of the right -of -way on North 129th East Avenue is already dedicated to the Oklahoma Department of Transportation (ODOT), and any access point that is through ODOT right -of -way must be approved by that entity. Existing sidewalks on East 100th Street North would be connected to a new sidewalk on North 1291h East Avenue as each Development Area is platted and developed. The PUD intends to utilize, at least in part, the stormwater detention pond southeast of 98 Apartments. A detailed Landscape Plan would be required to be submitted for City approval at the time of Site Plan review for each phase of the development. A ten (10) foot buffer yard would be required on the northern property boundary of Development Area A, and a twenty (20) foot buffer yard would be required along the western property boundary for Development Area B. A significant amount of landscaping will be required in said twenty (20) foot buffer yard to shield the existing residential multi - family land use from the proposed PUD. All landscaping and off - street parking would be required to meet the requirements of the Owasso Zoning Code. Signage for the development is proposed to be established with the approved PUD document similar to a comprehensive sign plan. One (1) monument sign with a maximum of eight (8) feet in height will be allowed for Development Area A on North 129th East Avenue. Up to four (4) monument signs with a maximum of eight (8) feet in height will be allowed for Development Area B on North 129th East Avenue. Two (2) monument signs with a maximum of eight (8) feet in height will be allowed for Development Area A on East 100th Street North. One (1) monument sign with a maximum of eight (8) feet in height will be allowed for Development Area B on East I001h Street North. One (1) multi- tenant pylon sign with a maximum of two hundred (200) square feet in surface display area and thirty -five (35) feet in height would be allowed on the property's US -169 frontage. All signage must be constructed of materials that complement the buildings within the PUD and must have a landscaped bed. Maximum display surface area shall be determined by the Zoning Code. Wall signs and wayfinding signs would be permitted in the development, and would be required to meet the standards in the Owasso Zoning Code. All trash areas and mechanical equipment must be screened as per the Owasso Zoning Code. All lighting and architectural standards set by the Zoning Code and the US -169 Overlay District must also be met. The City of Owasso will provide sanitary sewer, Fire, Police, and EMS to the property. Water service will be provided to the property by Washington County Rural Water District #3. Any future development that occurs on the subject property must adhere to all Owasso subdivision, zoning, and engineering requirements. HARMONY WITH THE EXISTING AND EXPECTED DEVELOPMENT: After considering the existing zoning and land uses on the surrounding properties, staff determined the proposed office /commercial development with a zoning of CS (Commercial Shopping) is appropriate for this location. The proposed development would be in harmony with the office /medical park to the north, and the apartment complex to the west would be protected from the development with a required landscaped buffer yard. Also, an office /commercial park complements the existing development in this area. GrOWASSO 2030 LAND USE MASTER PLAN CONSISTENCY: The GrOwasso 2030 Land Use Master Plan is a document that acts as a moderately flexible tool for evaluating development proposals. Currently, the Land Use Master Plan identifies the entirety of the subject property for Commercial land uses. Therefore, the zoning of CS (Commercial Shopping) is appropriate for this PUD request. PUD CONSIDERATION: When evaluating a PUD, future planning issues must be considered. According to the Owasso Zoning Code, the Planning Commission and City Council shall evaluate any PUD application to determine the following: 1. Whether the PUD is consistent with the GrOwasso 2030 Land Use Master Plan. 2. Whether the PUD is in harmony with the existing and expected development of surrounding areas. 3. Whether the PUD is a unified treatment of the development possibilities of the project site. 4. Whether the PUD is consistent with the stated purpose and standards of the PUD Ordinance, which are: a. To permit innovative land development while maintaining appropriate limitation on the character and intensity of use assuring compatibility with adjoining and proximate properties; b. To permit flexibility within the development to best utilize the unique physical features of the particular site; c. To provide and preserve meaningful open space; and d. To achieve a continuity of function and design within the development. PLANNING COMMISSION: The Owasso Planning Commission voted 3 -0 to recommend approval at their meeting on December 10, 2018. DEVELOPMENT CONCEPT The 13.699 acre Johnson Farms Project is split into two (2) tracts (called "Development Area `A "' and "Development Area B "' herein) by East 100th Street North. The Project is bounded on: (1) the east by North 129' East Avenue; (2) the south by U.S. Highway 169; (3) the west by the 98 Apartments and St. John Hospital at Owasso; and (4) the north by an office park. The Conceptual Site Plan for the Project is shown on Exhibit "A ". Exhibit `B" is an aerial photograph which indicates the location of the Project, as well as the development challenges, including the shallow rock on the Project as well as the opportunity to use the detention pond constructed during the development of the 98 Apartments to detain storm water from all or part of the Project. The Project is planned to attract office, medical office and commercial uses into this commercial corridor in accordance with the Owasso Comprehensive Plan. The location of the fire station is in the Washington County Rural Water District #3 (WCRWD) service area, who required the water line as the property previously utilized a water well. The line runs along the north side of East 116 +h Street North, starting at North 129th East Avenue and running west for approximately 2,240 linear feet. In September 2018, the City of Owasso and WCRWD #3 entered into an agreement for cost sharing of upgrades to the line, as requested by WCRWD #3. The agreement requires WCRWD #3 to reimburse the City of Owasso in the amount of $128,682.00 upon completion of the project. Construction began in October, 2018 and completed in December, 2018 with a final contract amount of $297,271.00: a contract underrun of $20,490.00. FUNDING: Funds are available in the Capital Improvements Fund, Fire Station #4 Project. Mary Lynn Cook DATE: December 14, 2018 BACKGROUND: This is a condemnation matter filed by the City of Owasso against Mary Lynn Cook to obtain property deemed necessary for the Garnett Widening Project from East 96th Street North to East 106th Street North. The City of Owasso and the landowner attended voluntary mediation on August 14, 2018, and November 20, 2018, at Dispute Resolution Consultants in Tulsa, Oklahoma. The mediator was Daniel Boudreau, a former judge in the District Court of Tulsa County and a former justice on the Supreme Court of Oklahoma. Judge Boudreau has served as mediator in several matters previously involving the City of Owasso, and has consistently given excellent advice and guidance. Full settlement authority was given to the City Manager, Warren Lehr, prior to mediation through Resolution 2018 -08, approved on August 7, 2018. Following two sessions of mediation, a settlement in the amount of $280,000 was reached by the parties. The settlement excludes the Commissioners' Award of $252,500 previously deposited by the City with the Court to gain access to the land. Staff believes this is a favorable settlement in light of the City's potential exposure if this matter were to be resolved by jury trial. A jury could potentially award much higher damages for the land, and, if the amount of the jury award exceeded the Commissioners' Award by 10% or more, the City could be liable for the landowner's attorney fees. Since that time, the permit agreement between Cox and the City has been reviewed and renewed by the parties prior to the expiration of each term of the agreement. The agreement has also been amended whenever changes in relevant federal or state law have made modifications necessary or beneficial to the parties. On April 13, 2013, the current agreement was approved and executed by Cox and the City. The agreement provided for a term of five (5) years thus the current agreement ended on April 13, 2018, and requires renewal. The terms of the proposed agreement are unchanged from the current agreement and are largely dictated by federal law and regulations promulgated by the FCC. The most significant provisions within the agreement are summarized as follows: The agreement is non - exclusive -and shall be effective for a term of five (5) years. The parties agree to enter into good faith negotiations regarding possible renewal, modification or extension of the agreement prior to the end of that five (5) year term. Cox shall pay a franchise fee to the City equal to 5% of the gross revenue collected from each subscriber to the IP- enabled Video Services product and 5% of the portion of gross revenues received for advertising which are related to the IP service. This fee is in lieu of all other concessions, charges, licenses,, permit fees, taxes and assessments other than sales tax, property or ad valorem tax and fees levied for the purpose of funding the E911 system. • Cox shall provide two (2) channels for noncommercial and government programming to the City of Owasso. • Cox shall comply with the Emergency Alert System federal regulations requiring a service provide to work with municipalities to develop processes for providing emergency alerts to citizens as needed. PROPOSED ACTION: Renewal of the proposed cable television permit agreement between Cox and the City of Owasso. RECOMMENDATION: Staff recommends renewal of the cable television permit agreement with CoxCom, LLC and authorization for the Mayor to execute the agreement and any ancillary documentation necessary. WHEREAS, Cox has operated a cable system and provided cable service in the City pursuant to a permit (Ordinance No. 493) approved on December 20, 1994; and WHEREAS, the City's role as manager of its rights -of -way and regulator of cable service providers requires it to ensure a fair and level playing field for all service providers; and WHEREAS, Cox has requested, and the City has agreed, to amend and restate Cox's permit pursuant to the terms contained herein, thereby ensuring a fair and level playing field for all video providers in the City; and NOW, THEREFORE, in consideration of the mutual covenants, promises and agreements hereinafter set forth, the parties agree as follows: 1. Tern of Agreement: This non - exclusive Agreement shall take effect upon approval hereof by Cox and by the City Council of the City and shall be effective for a term of five (5) years thereafter. Prior to the end of this tern, the parties agree to enter into good faith negotiations regarding a possible renewal and /or modification and/or extension of this Agreement. 2. Nature of Agreement: (A) No privilege or exemption shall be granted or conferred by this Agreement except those specifically prescribed herein. (B) Any right or power in, or duty impressed upon, any officer, employee, department, or board of the City by this Agreement shall be subject to transfer by the City to any other officer, employee, department, or board of the City. (C) This Agreement shall not relieve Cox of any existing obligations involved in obtaining permits, pole or conduit space from any department of the City, utility company, or from others maintaining utilities in streets. (D) This Agreement shall be a privilege to be held in personal trust by Cox for the benefit of the public. Said privilege cannot in any event be sold, transferred, leased, assigned or disposed of (except to an affiliate of Cox), including but not limited to, by forced or voluntary sale, merger, consolidation, receivership or other means without the prior written consent of the City, and then only under such conditions as the City may Page I of 6 establish. Such consent as required by the City shall not, however, be unreasonably withheld. 3. Obligations of Cox: (A) During the term of this Agreement, Cox shall pay to City a fee equal to 5% of the gross revenues of Cox and its affiliates collected from each subscriber to Cox's Cable Services product, and 5% of the portion of gross revenues from advertising which are defined in subsection 3(A)(3), below; the fee ( "Franchise Fee ") may be identified and passed through on any subscriber bill by Cox, and all such fees collected will be forwarded to City quarterly and shall be due forty -five (45) days after the end of each quarter. (1) For purposes of this Agreement, gross revenues are limited to the following: (i) recurring charges for Cable Services; (ii) event -based charges for Cable Services, including but not limited to pay - per -view and video -on- demand charges; (iii) rental of set top boxes and other Cable Services equipment; (iv) service charges related to the provision of Cable Services, including, but not limited to, activation, installation, and repair; and (v) administrative charges related to the provision of Cable Services, including, but not limited to, service order and service termination charges; (vi) amounts billed to Cable Services subscribers to recover the Franchise Fee authorized by this section. (2) For purposes of this Agreement, gross revenues do not include: (i) Uncollectible fees, provided that all or part of uncollectible fees which is written off as bad debt but subsequently collected, less expenses of collection, shall be included in gross revenues in the period collected; (ii) late payment fees; (iii) revenues from contracts for in -home maintenance service unless they relate solely to maintenance on equipment used only for the provisioning of Cable Services and not for the provisioning of any other service provided by Cox or its affiliates; (iv) amounts billed to Cable Services subscribers to recover taxes, fees or surcharges imposed upon Cable Services subscribers in connection with the provision of Cable Services, other than the Franchise Fee authorized by this section; (v) revenue from the sale of capital assets or surplus equipment; or (vi) charges, other than those described in subsection (1), that are aggregated or bundled with amounts billed to Cable Services subscribers. (3) "Gross Revenues" which are subject to the Franchise Fee paid by Cox additionally include a pro rata portion of all revenue collected by Cox pursuant to compensation arrangements for advertising (less any commissions Cox receives from any third parties for advertising) and home - shopping sales derived from the operation of Page 2 of 6 Cox's Cable System within the City. Advertising commissions paid to third parties (excluding any refunds, rebates, or discounts the Company may make to advertisers) shall not be deducted from advertising revenue included in gross revenue. The allocation of advertising and home - shopping revenue referred to above shall be based on the number of subscribers in the City divided by the total number of subscribers in relation to the relevant regional or national compensation arrangement. (4) Bundling discounts shall be apportioned fairly among video and other services. Cox shall not apportion revenue in such a manner as to avoid the Franchise Fee. (5) In the event that any other video services provider, including but not limited to a cable operator or open video service provider, enters into any agreement or makes any arrangement with City during the term of this Agreement whereby it is required or allowed to pay a fee to the City that is similar to the Franchise Fee described herein, City shall allow Cox to substitute the definition of "gross revenue" set forth in that agreement or arrangement for the definition of "gross revenue" set forth in this Agreement immediately upon request of Cox. (6) Cox will grant the City the right to conduct reasonable audits to assure that the Franchise Fee has been properly calculated. (B) Cox and City agree that the Franchise Fee shall be in lieu of all other concessions, charges, excises, franchise, license, privilege, permit fees, taxes, or assessments except sales taxes, personal or real property taxes, and ad valorem taxes. (C) During the term of this Agreement, Cox shall provide to the City one dedicated, noncommercial access channel for use by governmental institutions within the City and one dedicated, noncommercial access channel for use by educational institutions within the City through Cox's Cable System so long as City and educational institutions designated by the City provide any educational or governmental programming content in a standard format compatible with Cox's technology. City and educational institutions designated by the City shall provide this programming, and Cox shall receive this programming, at Cox's head location in the City. City and educational institutions designated by the City will be solely and individually responsible for their own programming content. (D) Cox shall comply with the federal Emergency Alert System regulations (47 C.F.R. Part I1). (E) The parties agree to consult in the event that, after execution of this Agreement, any court, agency, commission, legislative body, or other authority of competent jurisdiction issues a finding that limits the validity or enforceability of this Agreement, in whole or in part. Should the finding be final, non - appealable and binding upon either City or Company, this Agreement shall be deemed modified or limited to the extent necessary to address the subject of the finding unless either party, within thirty (30) days of receipt of the ruling, provides written notice to the other party of election to Page 3 of 6 terminate, in which case this Agreement shall terminate within six (6) months or such earlier period as the parties mutually may agree. Where the effect of a finding is a modification, the parties shall enter into good faith negotiations to modify this Agreement in the manner which best effectuates its overall purposes and the intentions of the parties. Failure to reach a mutually satisfactory modification within ninety (90) days of the commencement of such efforts shall entitle either party to terminate the Agreement on the provision of thirty (30) days' written notice. In addition to the termination rights set forth above, Cox shall have the right to terminate this Agreement and all obligations hereunder upon ninety (90) days notice to the City, if (i) state or federal law changes in a manner that would allow Cox to opt into franchise requirements that are, in Cox's sole judgment, more beneficial than those contained herein; or (ii) another provider of video services is permitted, through a City authorization or otherwise, to use the public rights -of -way to provide video services on terms that are, in Cox's sole judgment, more beneficial than those contained herein. (F) Cox shall determine, in its sole discretion where in the City its facilities shall be constructed, operated, maintained, repaired and upgraded to provide, and where in the City to provide its Cable Services. However, Cox agrees that it will offer Cable Service to all residential subscribers residing within its current service footprint within the boundaries of the City, subject to density, technical feasibility, and access limitations based on standard industry practice (e.g., density limitation of forty (40) homes per mile, authorized access to private property /developments, etc.). 4. Obligations of City. City will not attempt to nor subject the provision of Cox's Cable Service to regulation under any provision of the City's cable television or broadband telecommunications franchise ordinance or similar ordinance(s) that are inconsistent with or more burdensome than those contained herein. In addition: (A) City agrees to subject the construction and installation of the facilities that will be used in whole or in part to provide Cox's Cable Service to the same process and review as it subjects the installation and construction of traditional telecommunications infrastructure; (B) City agrees not to unreasonably block, restrict, or limit the construction and installation of facilities that will be used in whole or in part to provide Cox's Cable Service; (C) City agrees to process any and all applicable permits for the installation, construction, maintenance, repair, removal, and other activities associated with placement of communications or transmission facilities of any kind in a timely and prompt manner; (D) Cox represents and claims that its Cable Service is a "cable service" under federal law and will comply with all obligations imposed by federal law on cable operators. This Agreement shall not apply to any service Cox provides that is not a "cable service" as such service is defined under federal law. Page 4 of 6 5. Modification. This Agreement may be amended or modified only by a written instrument executed by both Parties. 6. Entire Agreement. This Agreement constitutes the entire agreement between City and Cox with respect to the subject matter contained herein and supersedes all prior or contemporaneous discussions, agreements, and /or representations of or between City and Cox regarding the subject matter hereof. Specifically, this Agreement replaces the permit granted by Ordinance No. 493. 7. Waiver. Failure on the part of either Party to enforce any provision of this Agreement shall not be construed as a waiver of the right to compel enforcement of such provision or any other provision. 8. Miscellaneous. (A) Cox and City each hereby warrants that it has the requisite power and authority to enter into this Agreement and to perform according to the terms hereof. (B) The headings used in this Agreement are inserted for convenience or reference only and are not intended to define, limit or affect the interpretation of any term or provision hereof. The singular shall include the plural; the masculine gender shall include the feminine and neutral gender. (C) Nothing contained in this Agreement is intended or shall be construed as creating or conferring any rights, benefits or remedies upon, or creating any obligations of the Parties hereto toward any person or entity not a party to this Agreement, unless otherwise expressly set forth herein. (D) This Agreement shall not be exclusive and the City expressly reserves the right to enter into similar agreements with any other company offering the same or similar video services at any time. (E) The geographic area covered by this Agreement shall be the incorporated limits of the City of Owasso, Oklahoma, as such area now exists or may be modified in the future by annexation or deannexation. (F) The parties agree that either Tulsa County District Court (14th Judicial District) or the United States District Court for the Northern District of Oklahoma shall be the sole and exclusive forum for any judiciable disputes concerning this Agreement. 9. Binding g ffect. This Agreement shall be binding upon and for the benefit of each of the Parties and their respective principals, managers, City Council members, offices, directors, shareholders, agents, employees, attorneys, successors and assigns and any parents, subsidiaries or affiliated corporations or entities, as applicable. The following words, terms and phrases, when used in this Agreement, shall have the meanings ascribed to them in this section: (A) "Cable service" shall have the same meaning as contained in federal statutes, 47 U.S.C. §542(6) on the effective date of this Agreement. (B) "Cable System" shall have the same meaning as contained in federal statutes, 47 U.S.C. §542(7) on the effective date of this Agreement. This litigation is intended to combat the burgeoning opioid epidemic which arises out of decisions and actions of these manufacturers. The City Council met with attorneys from both firms at the work session on August 14, 2018, and again discussed the matter in executive session on October 9th and December 4th. Attorney fees in this litigation would be paid on a contingency basis with 25% of a settlement being paid in fees prior to empanelment of a jury and 30% subsequent to empanelment of a jury or from any judgment in favor of the City. All costs associated with the litigation shall initially be paid by the attorneys, and shall only be remitted by the City if a settlement is reached or a judgment in favor of the City is rendered. If neither occurs, the City will have no obligation to pay fees associated with the litigation. Thus far, fourteen (14) cities have committed to filing multi- district litigation against opioid manufacturers, distributors and other third parties through McAfee and Taft and Fulmer Sill including Oklahoma City, Edmond, Midwest City, Yukon and Broken Arrow. Additional cities have either decided to proceed with other firms or to handle the litigation internally. The proposed resolution authorizing the City to participate in this litigation additionally makes provision for use of any monies recovered through settlement or judgment. Specifically, such monies must be utilized in furtherance of prevention, treatment, counseling or education related to the use of opioids and addiction._ RECOMMENDATION: Staff recommends approval of Resolution 2018 -16, authorizing the filing of civil litigation against opioid manufacturers, distributors and other appropriate third parties, and further authorizing the Mayor to execute a Representation and Fee Agreement with McAfee & Taft and Fulmer Sill, PLLC. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF OWASSO, OKLAHOMA, THAT: retention of the legal team of McAfee & Taft, a Professional Corporation, and Fulmer Sill, PLLC, shall be authorized for the filing of a civil suit against opioid manufacturers, distributors and other potential third parties for penalties, damages, injunctive relief and any other remedy available by law. WHEREAS, the City believes that it has a cause of action against certain Opioid Manufacturing, Distributors and potentially other third parties (collectively, the "Defendants ") for damages and equitable relief arising out of the conduct of the Defendants in connection with the manufacturing, marketing and distribution of opioids (the "Claim "). WHEREAS, the City represents that they are the owner of the Claim and have not assigned, modified, settled or received payment for the Claim, or entered into any prior fee agreement with any other attomey(s) with respect to the Claim. NOW, THEREFORE, IT IS AGREED between the City and the Attorneys as follows: 1. Contingent Fee. In consideration of the services to be rendered by the Attorneys in connection with the Claim against Defendants, if the City obtains a recovery on their Claim, the City agrees to pay Attorneys the following attorneys' fees for the risks of prosecuting this case on a contingency fee basis: a. If the case is settled prior to empanelment of a jury, a sum equal to twenty -five percent (25 %) of the Recovery; and b. If the -case is settled after empanelment of a jury; or a judgment in favor of the City is obtained, a sum equal to thirty percent (30 %) of the Recovery; (the "Contingency Fee "). In calculating the Contingency Fee, the Recovery will first be reduced by the Costs as defined in paragraph 4 of this Agreement, and increased by any court awarded attorneys' fees as defined by Paragraph 3. 2. Recovery. The term "Recovery" as used herein shall mean all sums and things of value received pursuant to any demand upon or litigation against Defendants whether said sums are received pursuant to settlement, court proceedings or otherwise. 3. Court - Awarded Attorneys' Fees. If the City recovers court- awarded attorneys' fees, the amount awarded shall be deemed part of the Recovery. The City understands that if they do not prevail on certain claims that may be asserted against the defendants, there is a potential for the Court to award attorneys' fees and costs in favor of Defendants. City understands and agrees that any such award in favor of Defendants will be against the City, and the City will be solely liable to satisfy such judgment. Attorneys will not be liable for a judgment of attorneys' fees awarded in favor of Defendants. 4. Costs. All necessary costs and expenses incurred in connection with the CIaims, including but not limited to court costs, deposition costs, expert witness fees, witness expenses, computer forensic expenses, e- discovery, copying, GArestlaw and/or other legal research fees, settlement expenses, telephone, travel and lodging expenses of the Attorneys in connection I therewith, shall initially be paid for by the Attorneys. Costs may included case specific expenses and the City's pro rata share of any general case expenses or assessments. General case expenses are those expenses incurred in the prosecution of the City's Claim for the benefit of the City that may also arise for other similarly situated municipalities, counties and other parties involved in the opioid litigation. If this matter is removed to an Opioid MDL proceeding in federal court, and it is determined that the City must pay an assessment to the MDL proceedings for attorneys' fees, legal expenses and/or costs connected to the MDL (the "MDL Assessment"), then the MDL Assessment shall be treated as Costs under this Agreement and will be paid to the MDL prior to the calculation of the Recovery. All costs incurred by Attorneys shall be deducted from any amounts received and repaid to Attorneys before the Recovery is calculated. To the extent the City receives an award of costs from the Court, the amount awarded shall be deemed part of the Recovery. If no Recovery is obtained, City will have no obligation to pay costs, unless the costs are costs awarded to Defendants by the Court on the City's Claims. 5. Assignment of Portion of Claim. City hereby transfers and assigns to Attorneys an undivided interest in City's claims. The undivided interest hereby assigned to Attorneys by City is equivalent to the fees, costs, and expenses, including the percentage of any Recovery, that City, by this Agreement, promises to pay to Attorneys. The undivided interest assigned by this Agreement is a present, not an executor interest. 6. Settlement Decisions. All decisions relative to acceptance or rejection of any settlement offer will remain the sole discretion of the City, provided, however, if the City neglects to accept the Attorneys' advice on whether to accept any settlement offer, the City agrees they will become liable for all costs incurred in said action and any attorneys' fees billed after the date the City receive written notification from Attorneys that they should accept the settlement offer. 7. Attorneys' Obligations. The Attorneys agree that they will diligently institute and prosecute said action to a final determination, make all reasonable and necessary efforts to collect any judgment that may be rendered therein in favor of the City; that they will promptly communicate to the City any offers of compromise; and that, in the event of a judgment unfavorable to the City, they will, if in the Attorneys' sole judgment reasonable grounds therefore exist, appeal said cause and prosecute the same to final determination. Attorneys shall staff this matter with such attorneys and legal assistants as they deem appropriate. 8. Withdrawal. Attorneys may withdraw from representation of City's Claim at any time with written notice. 9. No Guarantee, The City acknowledges that Attorneys have made no guarantee regarding the successful prosecution of the Claim, nor any guarantee regarding the Recovery or the type of relief, if any, which the City may obtain therefrom. Further, the City acknowledges that the Attorneys do not warrant or represent the validity of the Claim, the results of any action or the coliectability of any judgment. 10. Multiple Representation. The City understands and agrees that Attorneys may represent other clients, including governmental entities, in connection with claims against Defendants. Defendants may attempt to settle cases in groups wider a matrix -type system 2 whereby our clients are offered different settlement amounts, depending on the circumstances of different groups of clients categorized by the specific allegations of misconduct and /or severity of damages. Once settlement value under the "matrix" is determined, the City is given the opportunity to accept or reject the settlement and /or injunctive relief being offered, within the matrix system, for whatever group within which the City may be placed. Defendants may also try to settle all or a portion of our clients' cases as a group, meaning the Defendants may attempt to settle all or a portion of your Claim along with a number of other similar cases the Attorneys are handling. When a Defendant offers this "group settlement" system Attorneys will get each client's authorization for a minimum, gross amount for which the client authorizes the Attorneys to attempt to settle the client's case. The Attorneys then add up the total of all clients' minimum, authorized settlement values and attempts to settle the group for at least the total of all minimum amounts authorized by all the clients. The City agrees to the above settlement procedures. 11. SeverabiIity. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provisions thereof and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 12. Amendments and Modifications. The City and the Attorneys specifically acknowledge and agree that this Agreement constitutes the entirety of their agreement and supersedes and replaces any and all prior agreements, negotiations, or discussions between them; and, that this Agreement shall not be amended, modified, or changed in any manner whatsoever unless such amendments, modifications, or changes shall be in writing and signed by all the parties hereto. 13. Choice of Law. This Agreement shall be construed in accordance with the laws of the State of Oklahoma.
