STAGG, P.E. PUBLIC WORKS DIRECTOR SUBJECT: AGREEMENT FOR ENGINEERING SERVICES WASTEWATER TREATMENT PLANT EXPANSION AND 117TH STREET PUMP STATION UPGRADE DATE: June 26, 2007 BACKGROUND: The City of Owasso provides wastewater collection, conveyance and treatment services for over 8,500 residential, business and industrial customers. The existing collection system consists of over 100 miles of sanitary sewer line (ranging in size from 4 to 21 inches in diameter), 12 pump stations and a 3.3 million gallon per day (MGD) treatment facility. In response to rapid growth, in 2005 the City of Owasso commissioned the update of its 1997 Wastewater Master Plan. The update, now completed, provides a 20 -year guide for the prioritization and construction of upgrades to the City's conveyance and treatment infrastructure. Among the immediate needs, the plan recommends the investment of approximately $7 million for the upgrade of the Wastewater Treatment Plant and the 1171 Street Pump Station. Specifically, the recommended improvements were outlined as follows: Wastewater Treatment Plant a. Influent Pump Station — Replace existing influent pumps. Install one new influent magnetic flow meter and associated vault. b. Secondary Treatment Facilities — Relocate existing aeration tank RAS feed point from its current location to match the location of the aeration basin influent. — Upgrade existing aeration influent and effluent piping. — Partition existing aeration tank to allow one half to be taken out of service. — Retrofit existing air diffusion system as needed due to wear. — Add final clarifier No. 4 complete with associated equipment. — Provide new activated sludge pumping station complete with improved flow control structure and new variable speed RAS and WAS pumping equipment. c. Sludge Treatment Facilities — Install gravity belt thickener No. 1 complete with associated piping, pumping and polymer feed equipment. Upgrade aeration mixing and control equipment. Agreement for Engineering Services Wastewater Treatment Plant Expansion and 117th Street Pump Station Upgrade Page 2 of 4 — Provide new digester No. 3 complete with associated equipment and yard piping modifications. — Upgrade existing sludge yard piping to enable new gravity thickening. d. Disinfection Facilities — Provide new UV disinfection unit. — Upgrade effluent metering facilities. — Expand existing effluent cascade aerator. e. Support Facilities — Replace Administration and Laboratory Facility electrical transformer. — Provide upgrades to existing controls and SCADA system. — Construct new standby power facilities. — Upgrade existing office space to accommodate increased staff. 2. 117th Street Pump Station a. Upgrade existing facilities complete with new pumps, controls and piping. b. Replace standby power facilities. c. Enhance existing controls to enable remote operation. d. Perform necessary enhancements to structure, HVAC, electrical and other support systems to enable retrofit. The recommended improvements will increase the average treatment plant capacity to 4.5 mgd – which is anticipated to meet treatment demand for the next 10 years. Similarly, improvement to the 117th Street Pump Station will upgrade existing facilities thereby increasing pumping capacity to accommodate present and future needs. ENGINEERING PROPOSALS: On April 16, 2007, three engineering consulting firms were invited to submit a Statement of Qualifications for Professional Engineering Services (see Attachment A). Proposals were received on April 27, 2007, from the following: Garver Engineers (Tulsa), Greeley and Hansen (Chicago) and PSA- Dewberry (Tulsa). The Statements of Qualifications were evaluated by members of the staff based on the following criteria: 1. Description and Relevant Experience of Prime Consultant 2. Experience, Qualifications, Availability of Project Manager 3. Project Team Organization and Experience 4. Client References for Relevant Projects Total engineering and operations 30 Points 30 Points 30 Points 10 Points 100 Points Upon comparison, Greeley and Hansen (G &H) was selected as the most qualified firm with 92 points, followed by PSA - Dewberry and Garver Engineers with scores in the mid to high 80's. Agreement for Engineering Services Wastewater Treatment Plant Expansion and 117th Street Pump Station Upgrade Page 3 of 4 Through the performance of the update to the 1997 Wastewater Master Plan, G &H's team has proven to be detail oriented and on task, schedule and budget. Following further scope discussions, Greeley and Hansen developed staff -hour projections and submitted a fee proposal in the amount of $545,000. It is anticipated that savings were realized in design given that data collection and initial site investigation work have already been completed by G &H as part of the previous master plan work. ENGINEERING SERVICES AGREEMENT: Engineering Services to be performed by the engineer include the design and preparation of construction documents for the construction of improvements to the Wastewater Treatment Plant and 117th Pump Station. Detailed description of the work is presented in Attachment B and outlined by the seven work tasks below: Task 1 – Detailed Design Task 2 – Detailed Specifications Task 3 – Geotechnical Evaluation Task 4 – Soils Exploration Task 5 – Construction and Cost Opinion Task 6 – Bid Assistance Task 7 – As Needed Survey PROJECT SCHEDULE: The design of the Wastewater Treatment Plant and the 117th Pump Station Expansion will be conducted in a single phase. It is anticipated that the project will require approximately thirteen months to complete. The schedule below illustrates a start date of July 5, 2007 and an approximate completion date of August 12, 2008 (for engineering services). Notice to Proceed is provided to Greeley and Hansen from the City of Owasso – July 5, 2007. Project Start Date – July 16, 2007. Complete Design Process – April 16, 2008. DPW Review – May 16, 2008. Advertisement for Bids Date – June 16, 2008. Receive Bids – July 29, 2008. — Submit Bid Review Report – August 12, 2008. — Issue Notice to Proceed to Construction Contractor September 2008. — Complete Construction –January 2010. RESOLUTION NO. 2007-06: For the past fifteen years, the OPWA has obtained funding for the construction of multi - million dollar water and sewer infrastructure improvements via long -term, low interest financing from Agreement for Engineering Services Wastewater Treatment Plant Expansion and 117th Street Pump Station Upgrade Page 4 of 4 the Oklahoma Water Resources Board (OWRB). Again in 2007, it is the Authority's intent to fund an estimated $7.5 million in improvements to its wastewater treatment and pumping system via a tax - exempt financing from the OWRB. Because the tax code restricts the use of the proceeds of a tax - exempt debt when paying for expenditures incurred prior to loan closing, the OPWA must declare its intent to be reimbursed from the proceeds of the tax - exempt debt for the work performed. Resolution No. 2007 -06, also listed as an action item on the OPWA agenda for your approval, declares such intent and enables reimbursement of costs incurred by the OPWA for the performance of Engineering Services. FUNDING: Funding for this project will be obtained from the Oklahoma Water Resources Board (OWRB) via a loan from the Drinking Water State Revolving Fund. FY 2007 -2008 allocation for Wastewater Improvements provides sufficient temporary funding pending reimbursement from OWRB. RECOMMENDATION: Staff recommends OPWA Trustee approval of an Agreement for Engineering Services for the Wastewater Treatment Plant Expansion and 117th Street Pump Station Upgrade with Greeley and Hansen, LLC (Chicago, Illinois) in the amount of $545,000 and authorization for the Chairman to execute the document. Box 180 , ; * FAX (918) 272 -4996 Owasso, OK 74055 REQUEST FOR QUALIFICATIONS FOR ENGINEERING SERVICES The City of Owasso, through its Public Works Department (PWD), is requesting qualifications for the engineering design and construction services for the expansion of its wastewater treatment plant and upgrade of its 117th Street Pump Station. The project will be referred to as the following: WASTEWATER TREATMENT PLANT EXPANSION AND 117TH STREET PUMP STATION UPGRADE The following background information pertains to the Wastewater Treatment Plant (WWTP) and 117th Street Pump Station (PS), and the proposed upgrades, expansion and associated works. I. Planning Processes The WWTP and PS has been the subject of extensive study over the past few years and the PWD now wishes to proceed with the preferred design concept for the project. A Master Plan was prepared in 1997 by FHC Engineers and updated by Greeley and Hansen in 2005. The PWD intends to proceed with improvements to the WWTP and PS as recommended in the Master Plan Update (Year 20 10) as follows: 1. Wastewater Treatment Plant a. An Engineering Design Consultant will be retained by the PWD to provide preliminary design (30 percent level of completeness), detailed design, bidding and office services during construction for the WWTP and PS project. The Owasso PWD is soliciting Statements of Qualifications from invited consultants only. II. WWTP Back round The most recent WWTP expansion and upgrade was conducted in the early 2000's. The existing WWTP is a Class IV, conventional activated sludge type facility having the capability to treat average design flows up to 3.3 -mgd (average day) and 4.5 -mgd hydraulic peak. The treatment plant site drawing is attached. Plant treatment facilities consist of influent pumping, screening, grit removal, biological nitrification using air activated sludge in a single pass aeration basin, three centrifugal blowers for process air supply, three final clarifiers with flow control structure, UV disinfection and post aeration using a cascade aerator. The aerobic digestion process stabilizes the secondary sludge prior to belt filter press dewatering. Digested biosolids are dewatered and disposed of at a local landfill. The bases of design for the existing treatment plant are provided in the attached Table 1. Recommended improvements will increase the WWTP capacity to 4.5 -mgd (average day) and 6.2 -mgd hydraulic peak. III. Approach and Schedule Time is of the essence for this project as the WWTP expansion is linked to other improvements in the City. The tentative schedule for the WWTP and PS project is as follows: — Solicit Request for Statement of Qualifications from Engineering Firms – April 27, 2007 — Accept Statement of Qualifications – May 15, 2007 — Review Statement of Qualifications – May 31,2007 — Notify Selected Consultant – June 4, 2007 — Provide Notice to Proceed to Consultant and Initiate Design Process – July 1, 2007 — Complete Design Process – February 22, 2008 — DPW Review – March 21, 2008 — ODEQ Review and Issue Permit to Construct – June 30, 2008 — Advertise for Bids – July 1, 2008 — Receive Bids – August 12, 2008 — Issue Notice to Proceed to Construction Contractor – September 1, 2008 — Complete Construction – January, 2010 In general, it is expected that the design consultant will be responsible for the following: — Detailed Design including Pre - design Activities (30 percent level of completeness) — Preparation of Construction Contract Documents — Office Services during construction. Geotechnical aspects of the design are also to be the responsibility of the Design Consultant. IV. Contents of Submission Firms are invited to submit a Statement of Qualifications (ten pages maximum, exclusive of resumes, 10 point or larger font) outlining: 1. Description and Relevant Experience of Prime Consultant 30 Points Include a brief description of your firm and five relevant projects including: client organization, client project manager, consultant project manager and key staff, consultant role (prime, sub), project description and schedule and budget highlights. June 6, 2007 City of Owasso ATTACHMENT B Agreement for Engineering Services Wastewater Treatment Plant and 117t" Street Pump Station Expansion and Owasso Public Works Authority Owasso, Oklahoma THIS AGREEMENT, made and entered into this July 3, 2007 between the Owasso Public Works Authority, Owasso, Oklahoma, a Municipal Corporation, of Oklahoma, hereinafter referred to as AUTHORITY, Greeley and Hansen LLC, hereinafter referred to as ENGINEER; WITNESSETH: WHEREAS, AUTHORITY intends to design the Wastewater Treatment Plant and the 117th Pump Station Expansion, hereinafter referred to as the PROJECT; and, WHEREAS, AUTHORITY requires certain professional services in connection with the PROJECT, hereinafter referred to as the SERVICES; and, WHEREAS, ENGINEER, is prepared to provide such SERVICES; NOW THEREFORE, in consideration of the promises contained herein, the parties hereto agree as follows: 1. SCOPE OF PROTECT. The scope of the PROJECT is described in Attachment A, SCOPE OF PROTECT, which is attached hereto and incorporated by reference as part of this AGREEMENT. 2. SERVICES TO BE PERFORMED BY ENGINEER. ENGINEER shall perform the SERVICES described in Attachment B, SCOPE OF SERVICES, which is attached hereto and incorporated by reference as part of this AGREEMENT. 3. AUTHORITY'S RESPONSIBILITIES. AUTHORITY shall be responsible for all matters described in Attachment C, RESPONSIBILITIES OF THE, which is attached hereto and incorporated by reference as part of this AGREEMENT. 4. COMPENSATION. AUTHORITY shall pay ENGINEER in accordance with Attachment D, COMPENSATION, and further described in Attachment E, FEE /MAN -HOUR BREAKDOWN, which are attached hereto and incorporated by reference as part of this AGREEMENT. 5. SCHEDULE. ENGINEER shall perform the SERVICES described in Attachment B, SCOPE OF SERVICES, in accordance with the schedule set forth in Attachment F, SCHEDULE, attached hereto and incorporated by reference as part of this AGREEMENT. 6. STANDARD OF PERFORMANCE. ENGINEER shall perform the SERVICES undertaken in a manner consistent with the prevailing accepted standard for similar services with respect to projects of comparable function and complexity and with the applicable laws and regulations published and in effect at the time of performance of the SERVICES. The PROJECT shall be designed and engineered in a good and workmanlike manner and in strict accordance with this AGREEMENT. All engineering work shall be performed by or under the supervision of Professional Engineers licensed in the State of Oklahoma, and properly qualified to perform such engineering services, which qualification shall be subject to review by. Other than the obligation of the ENGINEER to perform in accordance with the foregoing standards, no warranty, either express or implied, shall apply to the SERVICES to be performed by the ENGINEER pursuant to this AGREEMENT or the suitability of ENGINEER'S deliverables. 7. LIMITATION OF RESPONSIBILITY. 7.1. ENGINEER shall not be responsible for construction means, methods, techniques, sequences, procedures, or safety precautions and programs in connection with the PROJECT. 7.2. The presence of ENGINEER'S personnel at a construction site is for the purpose of providing to the AUTHORITY a greater degree of confidence that the completed construction work will conform generally to the construction documents and that the integrity of the design concept as reflected in the construction documents has been implemented and preserved by the construction contractor(s). 7.3. In soils, foundation, groundwater, and other subsurface investigations, the actual characteristics may vary significantly between successive test points and sample intervals and at locations other than where observations, exploration, and investigations have been made. Because of the inherent uncertainties in subsurface evaluations, changed or unanticipated underground conditions may occur that could affect total PROJECT cost and /or execution. These conditions and cost/ execution effects are not the responsibility of ENGINEER. 7.4. Record drawings will be prepared, in part, on the basis of information compiled and furnished by others, and may not always represent the exact location, type of various components, or exact manner in which the PROJECT was finally constructed. ENGINEER is not responsible for any errors or omissions in the information from others that is incorporated into the record drawings. 7.5. ENGINEER'S deliverables, hard copies of record drawings are to be provided upon the completion of the project. Computer - generated drawing files furnished by ENGINEER are for AUTHORITY or others' convenience. Any conclusions or information derived or obtained from these files will be at user's sole risk. 8. OPINIONS OF COST AND SCHEDULE. 8.1. Since ENGINEER has no control over the cost of labor, materials, equipment, or services furnished by others, or over contractors', subcontractors', or vendors' methods of determining prices, or over competitive bidding or market conditions, ENGINEER'S cost estimates shall be made on the basis of qualifications and experience as a Professional Engineer. 8.2. Since ENGINEER has no control over the resources provided by others to meet construction contract schedules, ENGINEER'S forecast schedules shall be made on the basis of qualifications and experience as a Professional Engineer. 9. LIABILITY AND INDEMNIFICATION. 9.1. ENGINEER shall defend and indemnify AUTHORITY from and against legal liability for damages arising out of the performance of the SERVICES for, including but not limited to any claims, costs, attorney fees, or other expenses of whatever nature where such liability is caused by the negligent act, error, or omission of ENGINEER, or any person or organization for whom ENGINEER is legally liable. Nothing in this paragraph shall make the ENGINEER liable for any damages caused by the AUTHORITY or any other contractor or consultant of the AUTHORITY. 9.2. ENGINEER shall not be liable to AUTHORITY for any special, indirect or consequential damages, such as, but not limited to, loss of revenue, or loss of anticipated profits. 10. CONTRACTOR INDEMNIFICATION AND CLAIMS. 10.1. AUTHORITY agrees to include in all construction contracts the provisions of Articles 7.1, and 7.2, and provisions providing contractor indemnification of AUTHORITY and ENGINEER for contractor's negligence. 10.2. AUTHORITY shall require construction contractor(s) to name AUTHORITY and ENGINEER as additional insured's on the contractor's general liability insurance policy. 11. COMPLIANCE WITH LAWS. In performance of the SERVICES, ENGINEER shall comply with applicable regulatory requirements including federal, state, and local laws, rules, regulations, orders, codes, criteria and standards. ENGINEER shall procure the permits, certificates, and licenses necessary to allow ENGINEER to perform the SERVICES. ENGINEER shall not be responsible for procuring permits, certificates, and licenses required for any construction unless such responsibilities are specifically assigned to ENGINEER in Attachment B, SCOPE OF SERVICES. 12. INSURANCE 12.1. During the performance of the SERVICES under this AGREEMENT, ENGINEER shall maintain the following insurance: 12.1.1. General Liability Insurance with bodily injury limits of not less than $1,000,000 for each occurrence and not less than $1,000,000 in the aggregate, and with property damage limits of not less than $100,000 for each occurrence and not less than $100,000 in the aggregate. 12.1.2. Automobile Liability Insurance with bodily injury limits of not less than $1,000,000 for each person and not less than $1,000,000 for each accident and with property damage limits of not less than $100,000 for each accident. 12.1.3. Worker's Compensation Insurance in accordance with statutory requirements and Employers' Liability Insurance with limits of not less than $100,000 for each occurrence. 12.1.4. Errors and Omissions Insurance to remain in effect during the PROJECT and the term of any legal liability. Errors and Omissions coverage to be for a minimum of $1,000,000, deductibles subject to approval. 12.2. ENGINEER shall furnish AUTHORITY certificates of insurance which shall include a provision that such insurance shall not be canceled without at least 30 days written notice to the. 13. OWNERSHIP AND REUSE OF DOCUMENTS. 13.1. All documents, including original drawings, estimates, specifications, field notes and data shall become and remain the property of the AUTHORITY. 13.2. AUTHORITY'S reuse of such documents without written verification or adaptation by ENGINEER for the specific purpose intended shall be at AUTHORITY'S risk. 14. TERMINATION OF AGREEMENT. 14.1. The obligation to continue SERVICES under this AGREEMENT may be terminated by either party upon fifteen days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. 14.2. AUTHORITY shall have the right to terminate this AGREEMENT, or suspend performance thereof, for AUTHORITY'S convenience upon written notice to ENGINEER; and ENGINEER shall terminate or suspend performance of SERVICES on a schedule acceptable to AUTHORITY. In the event of termination or suspension for AUTHORITY'S convenience, AUTHORITY shall pay ENGINEER for all SERVICES performed to the date of termination in accordance with provisions of Attachment D, COMPENSATION. Upon restart of a suspended project, ENGINEER's contract price and schedule shall be equitably adjusted. 15. NOTICE. Any notice, demand, or request required by or made pursuant to this AGREEMENT shall be deemed properly made if personally delivered in writing or deposited in the United States mail, postage prepaid, to the address specified below. Nothing contained in this Article shall be construed to restrict the transmission of routine communications between representatives of ENGINEER and AUTHORITY. 16. UNCONTROLLABLE FORCES. Neither AUTHORITY nor ENGINEER shall be considered to be in default of this AGREEMENT if delays in or failure of performance shall be due to forces which are beyond the control of the parties; including, but not limited to: fire, flood, earthquakes, storms, lightning, epidemic, war, riot, civil disturbance, sabotage; inability to procure permits, licenses, or authorizations from any state, local, or federal agency or person for any of the supplies, materials, accesses, or services required to be provided by either AUTHORITY or ENGINEER under this AGREEMENT; strikes, work slowdowns or other labor disturbances, and judicial restraint. 17. SEVERABILITY. If any portion of this AGREEMENT shall be construed by a court of competent jurisdiction as unenforceable, such portion shall be severed here from, and the balance of this AGREEMENT shall remain in full force and effect. 18. INTEGRATION AND MODIFICATION. This AGREEMENT includes Attachments A, B, C, D, E, F and represents the entire and integrated AGREEMENT between the parties; and supersedes all prior negotiations, representations, or agreements pertaining to the SCOPE OF SERVICES herein, either written or oral. AUTHORITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect ENGINEER'S cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. This AGREEMENT may be amended only by written instrument signed by each of the Parties. 19. DISPUTE RESOLUTION PROCEDURE. In the event of a dispute between the ENGINEER and the AUTHORITY over the interpretation or application of the terms of this AGREEMENT, the matter shall be referred to the AUTHORITY'S Director of Public Works for resolution. If the Director of Public Works is unable to resolve the dispute, the matter may, in the Director's discretion, be referred to the AUTHORITY Manager for resolution. Regardless of these procedures, neither party shall be precluded from exercising any rights, privileges or opportunities permitted by law to resolve any dispute. 20. ASSIGNMENT. ENGINEER shall not assign its obligations undertaken pursuant to this AGREEMENT, provided that nothing contained in this paragraph shall prevent ENGINEER from employing such independent consultants, associates, and subcontractors as ENGINEER may deem appropriate to assist ENGINEER in the performance of the SERVICES hereunder. 21. APPROVAL. It is understood and agreed that all work performed under this AGREEMENT shall be subject to inspection and approval by the Public Works Department of the of Owasso, and any plans or specifications not meeting the terms set forth in this AGREEMENT will be replaced or corrected at the sole expense of the ENGINEER. The ENGINEER will meet with the AUTHORITY staff initially and periodically thereafter and will be available for public meetings and /or AUTHORITY. 22. KEY PERSONNEL. In performance of the SERVICES hereunder, ENGINEER has designated Joseph M. Gorgan as Project Manager for the PROJECT. ENGINEER agrees that no change will be made in the assignment of this position without prior approval of AUTHORITY. Wastewater treatment plant and pump station improvements are summarized as follows: • Install new influent magnetic flow meter and associated vault. • Modify RAS aeration tank feed point. • Partition aeration tank (to allow one half to be taken out of service) • Eliminate WWTP hydraulic bottlenecks. • Construct new final clarifier with new flow control structure and activated pump station. • Modify RAS system as described in the 2005 Master Plan. • Modify WAS system as described in 2005 Master Plan. • Install in the existing Belt Press Building a gravity belt thickener (GBT), thickened sludge pump, polymer feed unit and associated equipment. • Construct a new UV disinfection unit, Parshall Flume and expand the cascade aerator. • Provide new aerobic digestion aeration, mixing and control equipment. • Construct new Aerobic Digester. • Make associated digestion facilities yard piping improvements. • Replace Administration and Laboratory Facility electrical transformer. • Upgrade PS to provide a firm pumping capacity of 10 -mgd. Detailed Specifications 2.1 Detailed Specifications - Prepare Construction Specifications for us, together with the Construction Drawings, in taking competitive bids and entering into a construction contract with an experienced and competent contractor for the Wastewater Treatment Plant and 117th Street Pump Station Expansion project. Specifications will include bid information and contract terms as required by the 1996 Engineers Joint Contract Documents Committee documents and will be in 1995 CSI format. 6 -1 3. Geotechnical Evaluation ,.1 Geotechnical Report - Prepare a geotechnical report for the design of wastewater treatment plant improvements using information from the subsurface evaluation portion of the work. 4. Soils Exploration 4.1 Soils Exploration - Arrange for and provide soil borings for the wastewater treatment plant improvements. 5. Cost Opinion Development 5.1 Cost Opinion - Prepare final Engineer's Opinion of Construction Cost. 6. Bid Assistance 6.1 Contract Documents - The wastewater treatment plant and pump station project will be bid as a single project. Assist AUTHORITY in advertising for bids. Mail notices to prospective bidders and distribute documents to prospective bidders. Attend pre -bid meeting for the project. AUTHORITY to furnish bid sets (drawings and detailed specifications). 6.2 Bidders Inquiries and Addenda - Respond to bidders inquiries during the bidding period. Prepare addenda to the contract documents as necessary. 6.3 Pre -Award - Tabulate bids and prepare reports. 7. Ground Survey 7.1 Ground Survey - Arrange for, as needed, a survey of the wastewater treatment plant. The survey shall consist of: • Establish a temporary benchmark on the plant site from an established existing monument. • Verify elevations of structures as needed. It is anticipated that the project will require approximately thirteen months to complete. The schedule below illustrates a start date of July 2, 2007 and an approximate completion date of August 12, 2008. Actual start date will be 14 days from Notice to Proceed by the AUTHORITY. The schedule is as follows: • Notice to Proceed is provided to Greeley and Hansen from the City of Owasso - July 2, 2007. • Project Start Date - July 16, 2007. • Complete Design Process - April 16, 2008. • DPW Review - May 16, 2008. • Advertisement for Bids Date - June 16, 2008. • Receive Bids - July 29, 2008. • Submit Bid Review Report - August 12, 2008. OWASSO WWTP ATTACHMENT F F -1 MEMORANDUM TO: HONORABLE CHAIR AND TRUSTEES OWASSO PUBLIC WORKS AUTHORITY FROM: SHERRY BISHOP ADMINISTRATIVE SERVICES DIRECTOR SUBJECT: OPWA RESOLUTION NO. 2007-06 REIMBURSEMENT RESOLUTION DATE: June 29, 2007 BACKGROUND: The Wastewater Master Plan of 2005 recommended various improvements to Owasso's wastewater system and funding for those projects is expected to be provided by the Oklahoma Water Resources Board (OWRB). The OWRB provides low interest long -term financing for water and wastewater projects. For the past fifteen years, all of Owasso's water and wastewater projects have been funded by the OWRB. A loan application has not yet been prepared or submitted and would require approval by the OPWA Trustees. At the July 3rd meeting, staff will be requesting OPWA Trustee approval of an engineering services agreement as the next step in preparing for other wastewater system improvements. In order to proceed and to utilize the future loan proceeds from the OWRB for this contract, the OPWA must approve a "reimbursement resolution." Funding from the OWRB is tax - exempt financing and therefore subject to IRS regulations concerning tax - exempt debt. The tax code restricts the use of the proceeds of tax - exempt debt when paying for agst expenditures. In order for the OPWA to be reimbursed for engineering (or any other costs) expended for the project before the loan closing, then the OPWA must declare its official intent to do so. That declaration must specify the project and estimated amounts of financing. The attached OPWA Resolution No. 2007 -06 meets the requirements of the tax code and declares official intent of the OPWA to expend its own funds for wastewater system improvements and its intent to be reimbursed with the proceeds of tax - exempt debt issued by the OPWA. RECOMMENDATION: Staff recommends Trustee approval of OPWA Resolution No. 2007 -06, a resolution declaring the intent of the OPWA to expend certain funds in connection with wastewater system improvements, with said expenditures to be reimbursed from the proceeds of debt to be incurred by the OPWA. ATTACHMENT: OPWA Resolution No. 2007 -06 THE OWASSO PUBLIC WORKS AUTHORITY RESOLUTION NO. 2007-06 A RESOLUTION DECLARING THE INTENT OF THE OWASSO PUBLIC WORKS AUTHORITY (THE "AUTHORITY ") TO EXPEND CERTAIN FUNDS IN CONNECTION WITH WASTEWATER SYSTEM IMPROVEMENTS, WITH SAID EXPENDITURES TO BE REIMBURSED FROM THE PROCEEDS OF DEBT TO BE INCURRED BY THE AUTHORITY; AND CONTAINING OTHER PROVISIONS RELATING THERETO. WHEREAS, the Authority is considering the design and construction of certain wastewater improvements as more specifically set out below (collectively, the "Project "); and WHEREAS, it is the Authority's intent to eventually fund the cost of the Project through the issuance of debt obligations; and WHEREAS, the Authority desires to initially fund certain costs pertaining to the Project out of the Authority's cash reserves; and WHEREAS, the Authority further desires to declare its official intent to reimburse itself with the proceeds of debt incurred by the Authority, as required by Section 1.103 -18 of the Treasury Regulations promulgated pursuant to Sections 103 and 141 -150 of the Internal Revenue Code of 1986, as amended. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE OWASSO PUBLIC WORKS AUTHORITY: Section 1. Project Description. The Project to be designed and constructed by the Authority shall generally include improvements necessary to upgrade the wastewater collection and treatment system, including engineering services for design of capacity increase and/or improvements to the Wastewater Treatment Plant and improvements to the North 117`h East Avenue Pump Station, and other related engineering design and construction. Section 2. Cost of Project. The Authority intends initially to fund certain costs of the Project from the Authority's funds. The Authority reasonably expects to reimburse any amounts expended with the proceeds of debt to be incurred by the Authority. The Authority anticipates issuing debt for the Project in one or more series in an aggregate amount not to exceed approximately $7,500,000. Section 3. Declaration of Official Intent. This Resolution constitutes a declaration of official intent as is required pursuant to Section 1.103 -18 of the Treasury Regulations promulgated pursuant to Sections 103 and 141 -150 of the Internal Revenue Code of 1986, as amended.
