Adjournment MEETING OF THE OWASSO ECONOMIC DEVELOPMENT AUTHORITY MINUTES OF MEETING Thursday, March 13, 2014 The Owasso Economic Development Authority met in regular session on Thursday, March 13, 2014 in the Lower Level Conference Room at City Hall per the Notice of Public Meeting and Agenda posted on the City Hall bulletin board at 5:00 PM on Tuesday, March 11, 2014. TO: The Owasso Economic Development Authority City of Owasso FROM: Julie Trout Lombardi City Attorney and General Counsel SUBJECT: Proposed "friendly suit" to be filed on behalf of Precision Leasing Co, LLC DATE: April 4, 2014 BACKGROUND: Attorney Dean Solburg contacted the City Attorney several months ago to discuss a potential "friendly suit" he intends to file in correction of the legal description contained in a 1999 General Warranty Deed from the OEDA to Precision Components Company. Specifically, Mr. Solburg alleges that the Warranty Deed, dated July 1, 1999, conveyed "The North Three Hundred Fifty (350) Feet of the East Two Hundred Thirteen (213) Feet," when the deed should instead conveyed "The North Three Hundred Fifty (350) Feet of the East Three Hundred (300) Feet." (Copies of the proposed Petition and Journal Entry of Judgment are attached for your review.) A "friendly suit" is a judicial tool utilized to settle a matter which requires court adjudication but is not contested by the parties. Typically, the defendant in such a suit does not actively defend the case or oppose an order entered by the court granting the relief requested by the parties. Because the parties to the suit do not function is adversarial roles as is usually the case in litigation matters, the suit is deemed to be "friendly." Mr. Solburg has requested an opportunity to present the basis for the legal action he anticipates filing to the OEDA and he seeks the Authority's cooperation in resolving this matter. He previously met with the City Attorney and the directors of Community Development and Economic Development. PROPOSED ACTION: Authorization for the City Attorney and staff to take such action as is deemed appropriate in response to the anticipated "friendly suit" legal action by Precision Leasing Co, LLC. Precision Components, Inc., acquired its interest in the Westerly Tract from The Owasso Public Works Authority, a public trust, by Warranty Deed dated the 28th day of June, 2000, and recorded the 30' day of June, 2000, in Book 6383, Page 2464 of the records of the Tulsa County Clerk, and Precision Components, Inc., acquired the Easterly tract from the Owasso Economic Development Authority by Warranty Deed dated the I" day of July, 1999, and recorded the 70' day of July, 1999, in Book 6239, Page 1871 of the records of the Tulsa County Clerk, as re-filed on the 23d day of July, 1999, in Book 6246, Page 2661 of the records of the Tulsa County Clerk. I have attached true and correct copies of these conveyances as well as a depiction of the property for your reference and Tracts "A" and "C" are the tracts, that were conveyed by the referenced conveyances. Tract "D" and being the East 40' of the NE/4 of SW/4 of NE/4 of Section 7-T20N-R14E was conveyed to the Town of Owasso by Quit Claim Deed dated the 30'h day of July, 1962, and recorded the 3d day of April, 1963, in Book 3329, Page 10 of the records of the Tulsa County Clerk. I do not find a conveyance of Tract "C" and being a strip of land 87' by 350'. My examination of the abstract of title and the Assessor/Treasurer's records, see Assessor Map attached hereto, reflect that this tract of land is still owned, as a matter of record, by the Owasso Economic Development Authority. The Tax Roll for this tract is still in the name of the Owasso Economic Development Authority c/o Precision Leasing and has been exempt from ad valorem taxes,. 'k (3 It is my belief that the 87 foot tract was omitted from the conveyance from the Owasso Economic Development Authority by inadvertence or error. Perhaps, in part, due to the fact that the East 40 feet was previously conveyed to the City of Owasso and was not accounted for when the other tracts were conveyed. To acquire 'marketable title' to this 87' tract from the Owasso Economic Development Authority, I would propose one of and your assistance with one of the following 2 options. First, as these are 'public lands', i.e. owned by the City of Owasso, ex rel. Owasso Economic Development Authority, a Public Trust, a valid conveyance of these lands would need to be obtained and recorded along with the appropriate documentation and proof(s) of notice reflecting that the conveyance and sale was held in conformity with the dictates of 11 O.S. §§38-114, the rules and regulations prescribed by the City of Owasso as well as the Oklahoma Open Meeting Act, 25 O.S. H301, et seq. Due to these lands being 'public lands', any conveyance would need to be after the giving of public notice and hearing before the Town/City of Owasso. Depending upon the City of Owasso's agenda docket this procedure could take anywhere from 30 to 90 days. The other option, if agreeable with your office, would be a District Court Action to 'reform' or correct the conveyance(s) as a matter of record. If you agree to such an action it would be relatively quick, the City would waive service of process and approve a Journal Entry of Judgment for presentation to the District Court. Ma.uv5t Owa-.& -, OK 74055 PROJECT STATUS REPORT City of Owasso Public Works Department April 1, 2014 • E. 106b Street North and Garnett Road Intersection Improvement Project - Funding for the construction of this project is a result of a "matching grant "; 80% ODOT funding and 20% City funding. - ODOT awarded construction contract to Paragon Contractors in the amount of $1,952,952. - A Public Meeting was held on June 27, 2013, with representatives from PSA Dewberry, ODOT and Paragon to review the intersection improvements and provide a preview of the construction schedule. Construction began on July 8, 2013. - Relocation of City of Owasso and Rural Water District water lines was completed in October 2013. - On March 28, 2014, the contractor commenced with the concrete paving on the southbound and eastbound lanes. Once the concrete has cured (7- days), the contractor will relocate traffic to the new concrete section and begin removing the remaining asphalt lanes and preparing sub -grade and base in preparation of the concrete paving for the northbound and westbound lanes. - As a result of utility conflicts and weather delays, the project is approximately 90- days behind schedule. Thus, intersection improvements are scheduled to be complete in June 2014. • E. 76th Street North Widenina (from U.S. Hwvl 69 to N. 129th East Avenue - In October 2010, the City received notice that INCOG selected the project to receive federal funding in the amount of $2,090,000 for engineering, right -of -way and utility relocation costs. A 20% required match will be funded through the City of Owasso's Capital Improvement Fund. - In October 2011, the City received notice that INCOG selected the project to receive federal funding in the amount of $3,470,000 for construction and administration costs. A 20% required match will be funded through the City of Owasso's Capital Improvement Fund. - In February 2012, ODOT officials informed City staff of funds available in the Federal Surface Transportation Fund for the planning phase of E. 76th Street North Widening Project. - In March, INCOG presented this project to its members for consideration to receive funding in 2012 for the engineering design. Project was approved by the Technical Advisory, Transportation Policy Committee, and INCOG Board of Directors - Engineering agreement for Poe & Associates, Inc. of Tulsa, Oklahoma and funding agreement was approved at the May 7, 2013, Council Meeting. - The engineering design is scheduled to be complete by late spring 2014. - Preliminary plans (30% Design) have been delivered to the City of Owasso for review. In addition, utility companies are working on their utility relocation plans for the project. - On February 13, 2014, City staff and Poe & Associates conducted a public meeting. City staff and Poe & Associates presented to the citizens a conceptual layout of the street improvements and received positive feedback from the residents. - Currently, the engineer consultant is conducting a traffic study at the intersection of E 76 St N and N 126 E Ave. In addition, the consultant is working on the bridge design and utility relocations plans. - Environmental review will be ongoing for the next 5 to 8 months. • Ranch Creek Sanitary Sewer Improvements - May 2012, City Council awarded an engineering agreement in the amount of $175,000 to Kellogg Engineering Incorporated. - As part of an OWRB requirement, a Public Hearing over the environmental document was held June 13, 2013. Kellogg Engineering presented the engineering drafts of the proposed interceptor alignment for review by meeting attendees. - In September 2013, Kellogg Engineering completed the engineering design. - In October 2013, ODEQ approved engineering design and plans. - On December 3, 2013, OPWA Trustees awarded a bid to Rosetta Construction, LLC, in the amount of $2,864,543. - On February 24, 2014, Rosetta Construction mobilized and began building access points, and clearing /grubbing. Staff anticipates pipe installation to begin within the next two weeks with final completion scheduled to occur by January 2015. • Garnett Widening (from E. 96th Street North to E. 106th Street North) - In November 2012, Council approved an engineering agreement with Dewberry in the amount of $345,600. - A Public Meeting for the Garnett Widening project was held June 27, 2013 with City staff and representatives from PSA Dewberry to receive citizen comments regarding the design. In October 2013, INCOG presented this project to its members for consideration to receive federal funding in FY 2017 for the construction phase. Project was approved by the Technical Advisory and Transportation Policy Committees. - On November 12, 2013, the INCOG Board of Directors approved federal funds to be allocated to this specific project in the year 2017 or sooner, if funding is available. The City of Owasso will receive $3.2 million in federal funds. - Preliminary plans (30% Design) have been delivered to the City of Owasso for review. - Recently, PSA Dewberry submitted a set of City of Owasso water line relocation plans for review. These plans are currently being reviewed by the Engineering and Water Distribution Divisions. - Environmental review will be ongoing for the next 5 to 8 months. • Hale Acres Offsite Sanitary Sewer Line Improvements - Sanitary sewer project is funded in the Wastewater Collection Operating Budget. As a result of inadequate slope, the offsite Hale Acres gravity sewer line is need of replacement. The estimated cost for such improvements is $270,000. - The Permit to Construct has been received from ODEQ. - Trustees awarded a construction contract to Triangle Construction in the amount of $359,879. - Construction is scheduled to begin in April 2014, with completion expected to occur in November 2014. • FY 2013 -2014 Street Rehabilitation Program - In August 2013, City Council approved the project priority list. - Funding in the amount of $1 million is included in the FY 2013 -2014 Capital Improvements Fund for this project. - 80% of the crack sealing portion of this project is complete. The Contractor will finish remaining areas, as weather permits. - Council awarded a construction contract to Tri -Star construction in the amount of $827,296. - On April 7, 2014, street improvements will commence on the east service road between E 106 St N and E 99 St N. The contractor anticipates having all of the type I repairs complete by April 17, 2014. Once this road segment is complete, the contractor is scheduled to relocate to Ator Heights. - Tri -Star Construction is expected to have all work outlined in the construction contract complete by late summer of this year. HEALTH CARE UPDATE • A memory center is planned for development on the Bailey Medical Center campus. • A second urgent care facility is looking for a location in Owasso. We hope to announce its location soon. CORPORATE UPDATE A contract between the OEDA and Macy's Inc. for the $500,000 successful recruitment incentive from the City of Owasso Hotel Tax Fund to the Macy's Fulfillment Center located on the SE corner of Sheridan and 76th Street N will be presented to the Trustees in mid -April for review.
