Consideration and appropriate action relating to Ordinance 1204, approving a planned unit
development (PUD) for Twill Johnson Ranch and a rezoning request from Residential Estate (RE) to
Residential Neighborhood Mixed (RNX) - approximately 22.55 acres located at the northwest corner of
the East 101st Street North and North 129th East Avenue intersection, as referenced in Applications OPUD
23 -01 and OZ 23 -01

8. Consideration and appropriate action relating to bids received for the Owasso Police Department
Sallyport Door Replacement Project

Staff recommends awarding the base bid to Overhead Door Company of Tulsa, Inc., of Tulsa,
Oklahoma, in the amount of $65,500.00 and authorization to execute the agreement.
9. Consideration and appropriate action relating to bids received for the East 116th Street North Roadway
Improvements from Mingo Road to Garnett Road

Staff recommends awarding the construction contract to Crossland Heavy Contractors, Inc., of Tulsa,
Oklahoma, in the amount of $17,387,000.00, and authorization to execute all necessary documents.
10. Consideration and appropriate action relating to agreement for the purpose of leasing various City fleet
vehicles

Staff recommends approval of an Open -End (Equity) Lease from Enterprise Fleet Management, Inc., of
Clayton, Missouri, for a lease period of forty -eight months, contingent upon annual appropriations by
the City Council, and authorization to execute the necessary documents to lease two (2) 2023 GMC
Sierra 250OHD pickup trucks at a lease rate of $1,026.75 per month, per vehicle.

MINUTES OF REGULAR MEETING
TUESDAY, FEBRUARY 7, 2023
The Owasso City Council met in regular session on Tuesday, February 7, 2023, in the Council Chambers at
Old Central, 109 North Birch, Owasso, Oklahoma per the Notice of Public Meeting filed Friday, December
9, 2022; and the Agenda filed in the office of the City Clerk and posted at City Hall, 200 South Main Street,
at 1:00 pm on Friday, February 3, 2023.
1. Call to Order
Mayor Kelly Lewis called the meeting to order at 6:30pm.
2. Invocation
The Invocation was offered by Pastor Jonathan Cook of Destiny Life Church.
3. Flag Salute
Councilor Bush led the flag salute.
4. Roll Call - A quorum was declared present.

Larry Langford, Recreation and Culture Director, presented the character trait for the month of
February.
6. Consideration and appropriate action relating to the Consent Agenda. (All matters listed under

Councilor may, however, remove an item from the Consent Agenda by request. A motion to adopt the
Consent Agenda is non - debatable.)

C. Accept public infrastructure of a driveway approach and sidewalk, sanitary sewer
infrastructure, concrete bridge and headwalls located approximately2 ,300linearfeetsouth
of East 116th Street North, off of North 1351h East Avenue (Garrett Creek Mutual Access
Easements)
D. Accept public infrastructure of a sidewalk and curb ramps located at 11396 North 135th East
Avenue (Wendy's at Garrett Creek)
Mr. Bonebrake moved, seconded by Mr. Dunn to approve the Consent Agenda as presented, with
claims totaling $901,085.78.

9. Consideration and appropriate action relating to bids received for construction of the Police Multi -
Purpose Building and the Alternate Shoot House
Mike Barnes presented the item, recommending awarding the base bid and alternate #1 to Bravo
Builders LLC, of Coweta, Oklahoma, in the amount of $1,403,000.00, and authorization to execute the
necessary documents. There were no comments from the audience. After discussion, Mr. Bonebrake
moved, seconded by Mr. Bush to award the bid and authorize execution of the necessary documents,
as recommended.

10. Consideration and appropriate action relating to an agreement for the lease of approximately 0.18
acres of excess right -of -way located immediately east of 9202 North Garnett Road
Brian Dempster presented the item, recommending approval of the Memorandum of Lease
Agreement and the Lease Agreement between the City of Owasso, and the Redbud Group, LLC, and
authorization to execute the necessary documents. There were no comments from the audience. After
discussion, Mr. Bush moved, seconded by Mr. Dunn to approve the agreements and authorize
execution of the necessary documents, as recommended.

11. Report from City Manager
Warren Lehr introduced Roger Stevens to give the Monthly Public Works Project Status Report. Mr. Lehr
announced that Josh Quigley was elected to serve as Vice President of the 2023 Oklahoma State Parks
and Recreation Board, and commented on the Neighborhood Leadership Conference held January
28, 2023.

Councilor Bonebrake acknowledged the efforts of the Public Works Department during the recent
inclement weather.

MINUTES OF JOINT REGULAR MEETING
TUESDAY, FEBRUARY 14, 2023
The Owasso City Council, Owasso Public Works Authority (OPWA), and Owasso Public Golf Authority
(OPGA) met in a joint regular meeting on Tuesday, February 14, 2023, in the Council Chambers at Old
Central, 109 North Birch Street, Owasso, Oklahoma, per the Notice of Public Meeting filed Friday, December
9, 2022; and the Agenda filed in the office of the City Clerk and posted at City Hall, 200 South Main Street,
at 5:00 pm on Thursday, February 9, 2023; and the notice of Addendum filed in the office of the City Clerk
and posted at said City Hall at 1:00 pm on Friday, February 10, 2023.

rezoning request from Residential Estate (RE) to Residential Neighborhood Mixed (RNX) - approximately
22.55 acres located at the northwest corner of the East 101st Street North and North 129th East Avenue

4. Discussion relating to a proposed amendment to the list of projects eligible for funding from the Capital
Improvements Fund to include East 86th Street North Widening from North 145th East Avenue to North
161st East Avenue
Chris Garrett presented the item and discussion was held. It was further explained the required public
hearing would be placed on the March 7, 2023, City Council agenda for citizens comments.
5. Discussion relating to proposed revisions to the boundaries of the City Council Wards, following the 2020
Census
Juliann M. Stevens presented the item and discussion was held.
6. Discussion relating to bids received for the East 116th Street North Widening from North Mingo Road to
North Garnett Road Project
Daniel Dearing presented the item and discussion was held. It was further explained this item would be
placed on the February 21, 2023, City Council agenda for consideration and action.

Warren Lehr introduced Carly Novozinsky to present item A and discussion was held. Mr. Lehr
commented on the Realtor's Workshop to be held February 23, 2023.

BACKGROUND:
Included in the FY 2022 -2023 budget is $150,000.00 allocated for the 2022 CDBG Hale Acres
Waterline Replacement Project. On December 20, 2022, the Owasso City Council approved the
2022 CDBG Contract for public improvements between Tulsa County and the City of Owasso in
the amount of $159,894.62. The City has received the additional $9,894.62 increase over the
anticipated allocation and a budget amendment is requested.
RECOMMENDATION:
Staff recommends approval of a budget amendment in the Capital Improvements Grant Fund,
increasing the estimate of revenues and the appropriation for expenditures by $9,894.62.

BACKGROUND:
The Community Development Department received a Planned Unit Development (PUD)
application (OPUD 23 -01) for Twill Johnson Ranch, a proposed multi- family development located
at the northwestern corner of the intersection of East 101st Street North and North 129th East
Avenue. The subject property is approximately 22.55 acres in size, and is currently zoned
Residential Estate (RE). A separate rezoning request (OZ 23 -01) has been concurrently filed with
this PUD request, requesting the subject property be assigned the Residential Neighborhood

CONCEPT OF A PUD:
• A PUD is a development concept that allows for greater creativity and flexibility than
typically allowed under traditional zoning and planning practices.
o For example, PUDs often allow developers to place different zonings and land
uses in close proximity to each other.
o Developers may also have more flexibility in certain aspects of development,
such as building setback requirements and building height limitations, which can
be more restrictive in standard zoning districts.
• A PUD should not be considered as a tool to circumvent the City's Zoning Code and
Subdivision Regulations. All aspects of the PUD application are subject to public
comment as well as consideration and approval from the Community Development
Department, the Owasso Technical Advisory Committee, the Owasso Planning
Commission, and the Owasso City Council.
• PUD applications presented to the Planning Commission and City Council are for
approval of the uses and the overall conceptual development plan as it relates to the
context of the surrounding area.

GROWASSO 2035 LAND USE MASTER PLAN CONSISTENCY:
• The GrOwasso 2035 Land Use Master Plan is a document that acts as a moderately flexible
tool for evaluating development proposals.
The GrOwasso 2035 Land Use Master Plan identifies the property for future transitional
land uses. As such, the proposed development is in keeping with the uses identified for
this location.
ANALYSIS:
• The subject property was annexed into Owasso City Limits with Ordinance 559 in 1997,
and is currently zoned Residential Estate (RE).
• In order to accommodate the proposed use outlined in this PUD proposal, the base
zoning must be changed to a designation that allows for multi - family uses.
As such, the applicant is requesting that the property be assigned a zoning
designation of RNX (OZ 23 -01).
• Per Section 4.4.4 of the Owasso Zoning Code, a PUD overlay is required for all multi - family
developments within the RNX Zoning District.
o As such, the applicant has brought forth OPUD 23 -01 for consideration in addition
to the rezoning request OZ 23 -01.
• The conceptual development plan submitted for OPUD 23 -01 states that the applicant
intends to construct a mix of attached and detached structures, for a total of two
hundred and twenty -four (224) dwelling units.
o The total gross density of the proposed development would be 9.93 dwelling units
per acre.
The layout of the site would follow a "horizonal multi - family" design, where the
entire property is owned and managed by a single entity and each structure is
rented out to individuals.
The OPUD 23-01 document lists several amenity features for the development, including a
swimming pool, dog park, main clubhouse, walking trails, recreational courts and
greenspace that will be left open for passive recreation.
The conceptual landscape plan shows the desired locations of various plantings, both
internal to the site and along the exteriors to the subject property.
Additionally, the conceptual landscape plan and OPUD 23 -01 document also depicts the
placement of a six -foot (6') opaque privacy fence along the north, south, and western
property lines of the subject property. This will ensure that the property is adequately
screened from the adjacent single - family uses within the vicinity.
a A fully detailed landscape plan will be required to be submitted for City staff
approval at the time of site plan review for the development. All landscaping and
screening will be required to meet the requirements identified in the Owasso Zoning
Code.
Two points of access are depicted on the conceptual development plan, both of which
are located off of North 129th East Avenue.
o The applicant intends for one point of access to align with East 103rd Street North,
across the street from this subject property.

o The exact location of each access point will be determined at the platting stage.
The City of Owasso will provide police, fire, ambulance, and sanitary sewer services to
the subject property. Washington County Rural Water District #3 will provide water
services to the subject property.
• Pending rezoning of the property, the applicant would need to submit preliminary and
final plats for all of the property.
o Any development that occurs on the subject property shall adhere to all
subdivision, zoning, and engineering requirements of the City of Owasso.

WHEREAS, public hearings have been held regarding the request for rezoning and a
planned unit development of the property described below; and,
WHEREAS, the Owasso City Council has considered the recommendation of the Owasso
Planning Commission and all statements for or against the requested planned unit development

DEVELOPMENT CONCEPT
OPUD 23 -01, Twill Johnson Ranch, is a 22.55 -acre development located on the west side of 129th
East Avenue approximately one -half mile north of East 9611 North. The property is abutted on the
south by the Owasso Medical Park, on the north by unplatted land, on the west by a large lot rural
county subdivision and to the east by Glenn Mur Acres, another county subdivision. The eastern
boundary fronts 129th East Avenue. This PUD (OPUD 23 -01) is presented along with a rezoning
application of the property from Residential Estate (RE) to Residential Neighborhood Mixed (RNX).
See Exhibits B & C for the surrounding area and zoning maps.
Twill Johnson Ranch provides a housing product often referred to as the "missing middle' in that
it is not a multi -story apartment complex, but a more horizontal approach to multifamily housing
than is typically found in suburban communities. Visual impacts to surrounding areas are
minimized by this horizontal approach. Situated just north of a hospital and other medical facilities,
the project will offer unique housing options in high demand by the many young professionals and
empty nesters who desire the privacy and independence of single family living with the added
benefits of onsite maintenance and management not found in traditional single - family
neighborhoods. The project will consist of one and perhaps some two -story units that will be in
form of both attached and detached units. Long -term demographic trends and recent market
conditions make this community an attractive option for those seeking this type of housing, which
has been typically in short supply. The property will be owned by one legal entity and upon
completion of construction, the property will be professionally managed by a property
management company that specializes in apartment community management.
The PUD contemplates 224 dwelling units on 22.55 gross acres (20.59 net acres), which equates
to an overall gross density of 9.93 dwelling units per acre. The development follows the same
concept as Twill Bailey Creek located in Owasso at 96th Street North and Mingo Road. The
architectural standards set forth in this PUD shall provide visual interest and aesthetics among the
structures to maximize the unique character of the project. The development shall have attractive
landscaping with perimeter fencing and buffer yards.
By its design, as outlined in the Owasso Zoning Code, this PUD is intended to: provide a unified
treatment of the development possibilities of the project site; encourage creative development of
land; promote project design that is often unseen in conventional development; serve as a tool
for intelligent, well - planned, and quality development that fits into the context of the surrounding
area, which ensure that development is beneficial to the City of Owasso's future growth. The
project has been designed with these characteristics in mind. Exhibits G and H show the
conceptual landscape and site plan for Twill Johnson Ranch respectively.
DEVELOPMENT SUMMARY
The development shall consist of one development area which shall be governed by this PUD,
the Owasso Zoning Code, and other City development requirements. Table 1 provides the
development criteria for the project

LANDSCAPE AND SCREENING STANDARDS
• Landscaping and screening within the development shall meet the standards of the City of
Owasso Zoning Ordinance.
• A six (6) foot opaque fence shall be installed along the south, west and north boundaries.
Said fence shall have metal posts. Decorative fencing shall be installed along the frontage
of 129t1 East Avenue. Decorative metal fencing may be used around the detention pond.
• The development will meet the City of Owasso landscape and tree requirements for parking
lots.
• Within any planting islands, several varieties of shade trees will be used to create an
attractive parking area that offers shade and minimizes heat island impacts.
• The overall goal of the landscape plan for the site is to provide shade, beautiful color, and
texture through the use of different tree and plat varieties.
• Ornamental and evergreen trees as well as landscape planting beds will be installed at the
leasing office and swimming pool area for the enjoyment of all residents and visitors.
• A conceptual landscape plan is shown in attached Exhibit G.

The Owasso Zoning Code requires at least one (1) amenity from each of the categories shown in
the table below for any multi - family developments residential planned unit development (PUD).

UTILITIES
• The City of Owasso has a sanitary sewer main to the south in the Owasso Medical Campus
and the project will likely access this main from the southwest corner of the property.
• Water service is adjacent to the property. Washington County Rural Water District #3 has
a 12" water line along 129th East Ave and along the southern boundary of the property in a
20 -foot easement.
• Franchise utilities will serve the project with communications, natural gas, and electricity
through easements that will be provided into the site during the platting process.
• GRDA operates a power line along the eastern edge of the property within a 100 -foot
easement.
• Stormwater will be conveyed through a series of underground pipes where it will be routed
to a detention pond in the southwest corner of the site and metered out at a pre -
development rate.
• An ALTA survey has been performed for the site and Exhibit F indicates specific locations
of utilities.
ZONING AND LAND USE
• The site is currently zoned RE and is undeveloped.
• The Owasso Land Use Master Plan calls out the area for Transitional uses as the preferred
highest intensity allowed in this location (Exhibit E). Transitional uses include office,
attached housing, and multi - family.
• There is a single - family neighborhood in Tulsa County with 2 plus acre lots to the east of
the site across 129th East Ave that is called out on the Land Use Plan for commercial uses.
Residents in this neighborhood petitioned the City Council in 2006 to have this area
redesignated as commercial.
• A rural unplatted Tulsa County single - family neighborhood lies to the west of the site that
contains 3 plus acre size lots.
• North of the site lies a vacant tract in Tulsa County that is zoned commercial.
• To the south are several medical office facilities.
• Approximately1/4 to1/2 mile south is high intensity commercial corridor.
• The area is a becoming more urbanized due to the increasing availability of municipal
utilities and services and nearby growth.
• The proposed development conforms to the Owasso Land Use Master plan.
• Exhibits C and D illustrate the current zoning and proposed zoning. Exhibit E depicts the
Owasso Land Use Master Plan for the subject property location.
ACCESS AND TRAFFIC CIRCULATION
• Two points of access will be taken off 129th E. Ave. These are shown on the conceptual
development plan. No access to be permitted off of 127th E. Ave.
• The main entrance into the community is the north access point, and will lead directly to
the clubhouse and then to a looped internal private road system. Said access point shall
comply with Chapter 21 of the Owasso Zoning Code.
• A gated secondary fire access point on 129th E. Ave. is located at the south end of the
project site. Said access point shall comply with Chapter 21 of the Owasso Zoning Code.
• Internal roads shall be constructed in conformance with the standards of the City of
Owasso.
• Sidewalks are proposed internally, which shall be considered private and the maintenance
responsibility of owner.
• A sidewalk along 129(1 East Avenue shall be provided in accordance with Owasso
Subdivision Regulations.
MAINTENANCE RESPONSIBILITY
• The entire property will be owned by one legal entity. Upon completion of construction, the
property will be professionally managed by a property management company that
specializes in apartment community management. All buildings, internal roads and
sidewalks, fencing, landscaping, detention areas, and private utilities shall be maintained
by the aforementioned entity.
OPEN SPACE
The site will include several areas of open space, which will include reserve areas, amenity areas,
and stormwater detention areas. Table 3 summarizes the open space provisions, net and gross
density.

ENVIRONMENTAL ANALYSIS AND TOPOGRAPHY:
• The site is gently sloped and drains in a southerly direction.
• The site has been used mostly for the bailing of hay over the years.
• There are no FEMA- designated Special Flood Hazard Areas within or adjacent to the
subject property.
• There appears to be a small Corp of Engineers regulated wetland /stream along the very
south end of the project. This area will be avoided and integrated into the stormwater
detention system, pending further investigation.
PLATTING AND SITE PLAN REQUIREMENTS:
• The property will be platted as one lot, one block and no building permit shall be issued
until a final subdivision plat has been recorded.
• The plat shall be approved by the Owasso City Council with dedications thereto which shall
be duly filed of record. The required subdivision plat shall include covenants of record
implementing the development standards of the approved PUD of which Owasso shall be
a beneficiary thereof.
• The plat shall depict limits of access (LOA) and no access (LNA) along 129th East Ave.
• No building permit shall be issued for any structure until a detailed site plan including
landscaping and building elevations is submitted to and approved by the City of Owasso
as in conformance with the standards and development concept of this PUD.
• The site plan shall be presented to the Community Development Department for approval.
An entrance detail with signage plans shall be provided for review and approval.

BACKGROUND:
In early 2018, renovations of the Owasso Police Department Headquarters Facility were initiated,
which included the addition of a 60' x 100' sallyport structure. The sallyport structure provided
covered parking for on -duty patrol vehicles and equipment, but more importantly, it was
designed for officers transporting arrestees to pull their vehicles into a secure facility and escort
the prisoner safely into the jail booking area. As part of the security focused design, automated
overhead vehicle entry and exit doors were installed at the north and south ends of the structure
that can be opened remotely from dispatch or opened via sensors mounted inside the patrol
vehicles. The doors automatically close behind the vehicle after it passes, securing the structure
prior to the prisoner being removed from the back seat. In the years since the renovation, the
sallyport has performed as designed and proven to be a great benefit to the department.
However, the maintenance and repairs on the overhead doors have presented some
unexpected challenges.
Commercial overhead doors are rated by the anticipated number of opening cycles before
significant maintenance, repair, or replacement will be needed. The overhead doors in the
sallyport were rated for 100,000 cycles, which was believed to be sufficient for the police
department's size when the design specifications were completed. Once in use, and as the
department grew, staff quickly discovered that a higher rated door system would be needed. As
the doors surpassed the 100,000 cycles by early 2020, frequent and costly service calls were
needed for repairs, causing significant negative impact to daily operations. A complete overhaul
of the sallyport doors was completed in 2021, but due to the low rating of the door system, this
was viewed as a short-term solution with another complete overhaul likely being needed within
two years. A long -term solution was presented by the service technicians, which consisted of
replacing the entire door systems to one more consistent with the needs of the department. As a
result, replacing the sallyport door systems was included in the FY23 Police Budget. In December
2022, staff procured professional consulting services for the design and preparation of bid
specifications for the project.
PROJECT DESCRIPTION:
The project consists of a complete removal and replacement of the north and south overhead
door systems in the Owasso Police Department Sallyport. All components would require a
minimum rating of 1,000,000 cycles, including high performance direct drive doors, springless
shafts, insulated 3" slats, a 20 PSF wind load rating and 1.5 horsepower variable speed motors.
Hand -chain secondary access would be required for emergency operation in the event of a
power loss. Integration with the existing access control system would be required within the
installation project. To limit the interruption to daily police operations, a time limit would be
required of one (1) day for demolition /removal of the old door system and four (4) days for
installation of the new system.

26, 2023, at City Hall. One (1) contractor submitted a bid for the project. The bid results are

SUBJECT: Recommendation for Contract Award - East 1 16th Street North Roadway
Improvements from Mingo Road to Garnett Road
DATE: February 17, 2023
BACKGROUND:
In December 2016, the City Council approved an engineering services agreement with Garver
for the design of a four -lane roadway section with center turn lanes and landscaped medians
on East 116th Street North from North Mingo Road to North Garnett Road. Bike lanes, sidewalk
and trail access were added, as part of the "Complete Streets Policy" adopted by the City of
Owasso. As part of the overall widening project, intersection improvements will occur at East
116th Street North and North Mingo Road and at a realigned intersection at the Sports Park
entrance with North 103rd Place East. Also included in the project are safety improvements at
the railroad crossing as a part of a joint agreement with the South Kansas and Oklahoma
Railroad, LLC.
SOLICITATION OF BIDS:
In January 2023, Garver and City Engineering staff completed final bid documents, and
published advertisements in accordance with state statutes on January 11th and 18th, 2023. A
mandatory pre -bid meeting was held on February 2, 2023 and bids were opened on February
9th, with a total of two contractors submitting bids.
City Engineering staff completed a Bid Tabulation, showing the bid amounts and engineering
estimate:

Crossland Heavy Contractors, Inc., provided the lowest qualified bid in the amount of
$17,387,000.00. Included in the project is a project allowance of $690,000.00 should the final
project cost require additional scope of work, unforeseen at the time of bidding.
Since the bid amounts came in over the Engineer's Estimate, staff reached out to multiple
contractors for further information on the participation and the pricing received in the bids. Two
contractors that did not bid could not take on the work, one due to their concrete crews being
booked and the other because they were trying to get a large state project and needed their
resources and time for that project. Both advised they would not have been able to bid below
the lowest bid amount received. From the discussions, staff learned there were a few omissions
that the design engineer left out of the unit price estimates that explained some of the
difference in pricing. However, staff learned that the largest impact to cost of the overall
project was an increase in cost of concrete and aggregate (rock) material. Concrete is used
for the roadway pavement, driveway approaches, sidewalks, curb and gutters, parking lots,

storm drain inlets, Reinforced concrete storm pipes, Reinforced concrete storm boxes, manholes
and junction boxes and other small items.
After multiple conversations, staff determined the low bid received is a competitive price in the
current market and that re- solicitation for bids would yield similar or higher bid results.
FUNDING:
Funding is available in the Vision Recapture Fund.
RECOMMENDATION:
Staff recommends awarding the construction contract to Crossland Heavy Contractors, Inc., of
Tulsa, Oklahoma, in the amount of $17,387,000.00, and authorization to execute all necessary
documents.

AGREEMENT
East 11611 Street North Roadway Improvements, Mingo Road to Garnett Road
THIS AGREEMENT is dated as of the 215 day of February, 2023, by and between The City of
Owasso (hereinafter called OWNER) and Crossland Heavy Contractors. Inc (hereinafter called
CONTRACTOR).
OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth,
agree as follows:
ARTICLE 1. WORK
CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents.
The Work is generally described as follows:
The widening of E 116th St N from Mingo Rd (AKA N 97th E Ave) to N Garnett Rd to a four (4)
lane roadway with a concrete median, center turn lanes and bike lanes. Included in the project
are new traffic signals at the intersection of Mingo Road and at the intersection of the Sports
Park Entrance, installation of storm sewers, water line installation, force main installation,
landscaping with irrigation and new cross drainage structures.
ARTICLE 2. ENGINEER
The project has been assigned to the Project Manager or his/her duly authorized representative,
who is hereinafter called ENGINEER and who will assume all duties and responsibilities and
will have the rights and authority assigned to ENGINEER in the Contract Documents in
connection with the completion of the Work in accordance with the Contract Documents.
ARTICLE 3. CONTRACT TIME
3.1 The Work will be substantially completed within Four Hundred and Twenty (420)
calendar days from the date of Notice to Proceed; and completed and ready for final payment in
accordance with the General Conditions within Four Hundred and Eighty (480) calendar days
from the date of Notice to Proceed, which will be on or before ,
3.2 Liquidated Damages. OWNER and CONTRACTOR recognize that time is of the
essence of this Agreement and that OWNER will suffer financial loss if the Work is not
substantially complete within the time specified in paragraph 3.1 above, plus any extensions
thereof allowed in accordance with the General Conditions. They also recognize the delays,
expense and difficulties involved in proving in a legal or arbitration proceeding the actual loss
suffered by OWNER, if the Work is any such proof. OWNER and CONTRACTOR agree that
as liquidated damages for delay (but not as a penalty) CONTRACTOR shall pay OWNER One
Thousand Dollars ($1000.00) for each consecutive calendar day that expires after the time
specified in paragraph 3.1 for substantial completion until the Work is substantially complete.
After Substantial Completion, if CONTRACTOR shall neglect, refuse or fail to complete the
remaining Work within the time specified in paragraph 3.1 for completion and readiness for final
payment or any proper extension thereof granted by OWNER, CONTRACTOR shall pay
OWNER One Thousand Dollars ($1000.00) for each consecutive calendar day that expires after
the time specified in paragraph 3.1 for completion and readiness for final payment.
ARTICLE 4. CONTRACT PRICE
4.1 OWNER shall pay CONTRACTOR for performance of the Work in accordance with
the Contract Documents in current funds the amount agreed upon in CONTRACTOR'S bid.
4.2 CONTRACTOR understands that the estimated quantities are not guaranteed and that
the determination of actual quantities and their classification is to be made by the OWNER at the
time of application for payment.
4.3 CONTRACT AMOUNT: Contract amount is Seventeen Million, Three Hundred
Eighty -Seven Thousand Dollars and No /100 ($17 387 000 00.)
ARTICLE 5. PAYMENT PROCEDURES
CONTRACTOR shall submit Applications for Payment in accordance with the General
Conditions on the Pay Estimate Forms included as Exhibit "A" to this Agreement. Applications
for Payment will be processed by OWNER as provided in the General Conditions.
5.1 Progress Payments. OWNER shall make progress payments on account of the
Contract Price on the basis of CONTRACTOR's Applications for Payment in accordance with
the City of Owasso's Payment Schedule included as Exhibit "B" to this Agreement during
construction as provided below. All progress payments will be on the basis of the progress of the
Work.
5.1.1 Progress payments shall not exceed an amount equal to 95% of the WORK
completed until such time as CONTRACTOR shall complete in excess of 50% of the contract
amount.
5.1.2 Upon completion in excess of 50% of the total contract amount, OWNER
shall pay an amount sufficient to increase total payments to CONTRACTOR to 97.5% of the
Contract Price, less such amounts as OWNER shall determine in accordance with the General
Conditions, provided that OWNER has determined that satisfactory progress is being made, and
upon approval by the Surety.
5.2 Final Payment. Upon final completion and acceptance of the Work in accordance
with the General Conditions, OWNER shall pay the Contract Price.
ARTICLE 6. CONTRACTOR'S REPRESENTATIONS
In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the following
representations:
6.1 CONTRACTOR has familiarized himself/herself with the nature and extent of
Contract Documents, Work, locality, and with all local conditions and federal, state and local
laws, ordinances, rules and regulations that in any manner may affect cost, progress or
performance of the Work.
6.2 CONTRACTOR has studied carefully all reports or explorations and tests of
subsurface conditions at or contiguous to the site and all drawings of physical conditions in or
relating to existing surface or subsurface structures at or contiguous to the site (except
underground facilities) which have been identified in the Supplementary Conditions as provided
in the General Conditions. Contractor accepts the determination set forth in the General
Conditions of the extent of the "technical data" contained in such reports and drawings upon
which Contractor is entitled to rely. Contractor acknowledges that such reports and drawings are
not Contract Documents and may not be complete for Contractor's purposes. Contractor
acknowledges that Owner and Engineer do not assume responsibility for the accuracy or
completeness of information and data shown or indicated in the Contract Documents with
respect to underground facilities at or continuous to the site. Contractor has obtained and
carefully studied (or assume responsibility for having done so) all such additional supplementary
examinations, investigations, explorations, tests, studies and data concerning conditions (surface,
subsurface and underground facilities) at or contiguous to the site or otherwise which may affect
cost, progress, performance or furnishing of the Work or which relate to any aspect of the means,
methods, techniques, sequences and procedures of construction to be employed by Contractor,
and safety precautions and programs incident thereto. Contractor does not consider that any
additional examinations, investigations, explorations, tests, studies, or data are necessary for the
performance and furnishing of the Work at the Contract Price, within the Contract Times and in
accordance with the other terms and conditions of the Contract Documents.
6.3 CONTRACTOR has made or caused to be made examinations, investigations, tests
and studies of such reports and related data in addition to those referred to in paragraph 6.2 as
(s)he deems necessary for the performance of the Work at the Contract price, within the Contract
Time and in accordance with the other terms and conditions of the Contract Documents; and no
additional examinations, investigations, tests, reports or similar data are or will be required by
CONTRACTOR for such purposes.
6.4 CONTRACTOR has reviewed and checked all information and data shown or
indicated on the Contract Documents with respect to existing Underground Facilities at or
contiguous to the site and assumes responsibility for the accurate location of said Underground
Facilities. No additional examinations, investigations, explorations, tests, reports, studies or
similar information or data in respect of said Underground Facilities are or will be required by
CONTRACTOR in order to perform and furnish the Work at the Contract Price within the
Contract Time and in accordance with the other terms and conditions of the Contract Documents,
including the General Conditions.
6.5 CONTRACTOR has correlated the results of all such observations, examinations,
investigations, tests, reports and data with the terms and conditions of the Contract Documents.
6.6 CONTRACTOR has given OWNER written notice of all conflicts, errors or
discrepancies that he has discovered in the Contract Documents, and the written resolution
thereof by OWNER is acceptable to CONTRACTOR.
6.7 CONTRACTOR has obligated himself/herself to the OWNER to be responsible for
the workmanship, labor and materials used in the project for two (2) years after the project has
been accepted by the OWNER.
6.8 CONTRACTOR understands that (s)he will be exempt from all sales tax on materials
and other items necessary for the completion of the project. The OWNER has issued him a
Certification of Tax Exempt Project enclosed as Exhibit "C" of this Agreement.
ARTICLE 7. CONTRACT DOCUMENTS
The Contract Documents which comprise the entire agreement between OWNER and
CONTRACTOR are attached to this Agreement, made a part hereof, and consist of the
following:

7.22 Documentation submitted by CONTRACTOR prior to Notice of Award.
7.23 Any Modification, including Change Orders, duly delivered after execution of
Agreement.
There are no Contract Documents other than those listed above in this Article 7. The Contract
Documents may only be altered, amended or repealed by a Modification (as defined in the
General Conditions).
ARTICLE 8. MISCELLANEOUS
8.1 Terms used in this Agreement which are defined in the General Conditions shall have
the meanings indicated in the General Conditions.
8.2 No assignment by a party hereto of any rights under or interests in the Contract
Documents will be binding on another party hereto without the written consent of the party
sought to be bound; and specifically, but without limitation, monies that may become due and
monies that are due may not be assigned without such consent (except to the extent that the
effect of this restriction may be limited by law) and unless specifically stated to the contrary in
any written consent to an assignment, no assignment will release or discharge the assignor from
any duty or responsibility under the Contract Documents.
8.3 OWNER and CONTRACTOR each binds himself /herself, his/her partners,
successors, assigns, and legal representatives to the other party hereto, his/her partners,
successors, assigns and legal representatives in respect to all covenants, agreements and
obligations contained in the Contract Documents.
8.3 The Agreement (or remaining portions thereof) should continue in effect, be valid and
binding upon both parties even if a provision or part of the Contract Documents should be held
void or unenforceable by law.
IN WITNESS WHEREOF, the parties hereby have signed this Agreement in duplicate.
One counterpart has been delivered to CONTRACTOR, the other belongs to OWNER. All
portions of the Contract Documents have been signed by OWNER and CONTRACTOR.
This Agreement will be effective on February 21, 2023.

BACKGROUND:
On August 3, 2021, City Council approved the Master Equity Lease Agreement with Enterprise Fleet
Management, Inc. The Master Equity Lease Agreement establishes the business relationship
between the City and Enterprise Fleet Management, Inc., which allows staff to initiate capital
leasing arrangements for vehicles proposed as part of the FY 2023 Budget.
Due to a lack of inventory within the automotive industry, the availability of half -ton and three -
quarter -ton trucks identified in the FY 2023 Budget has been sporadic. Staff has been notified by
Enterprise Fleet Management regarding the anticipated availability of two (2) 2023 GMC Sierra
250OHD pickup trucks. Staff is proposing to lease these vehicles to replace the 2009 Ford F250
pickup truck currently in service in the Stormwater Division, and the 2005 GMC 2500 currently in
service in the Streets Division. To move forward, staff is seeking approval to enter into a forty-eight -
month lease with Enterprise Fleet Management, Inc. to lease the 2023 GMC Sierra 250OHD pickup
trucks at a lease rate of $1,026.75 per month, per vehicle.
As a reminder, the forty- eight -month leasing period extends beyond FY 2023, thus future payments
due in months beyond June 2023 are contingent upon annual appropriations by the City Council.
The leasing period does not begin until the vehicle is delivered to the City for use.
FUNDING:
Funding is available in the Stormwater budget and the Streets budget.
RECOMMENDATION:
Staff recommends approval of an Open -End (Equity) Lease from Enterprise Fleet Management,
Inc., of Clayton, Missouri, for a lease period of forty -eight months, contingent upon annual
appropriations by the City Council, and authorization to execute the necessary documents to
lease two (2) 2023 GMC Sierra 250OHD pickup trucks at a lease rate of $1,026.75 per month, per
vehicle.
