The Owasso City Council met in regular session on Tuesday, August 1, 2023, in the Council Chambers at Old
Central, 109 North Birch, Owasso, Oklahoma per the Notice of Public Meeting filed Friday, December 9,
2022; and the Agenda filed in the office of the City Clerk and posted at City Hall, 200 South Main Street, at
1:00 pm on Friday, July 28, 2023.
1. Call to Order- Vice Mayor Alvin Fruga called the meeting to order at 6:30 pm.
2. Invocation - The Invocation was offered by Pastor David Daigle of Freedom Place Church.
3. Flag Salute - Councilor Doug Bonebrake led the flag salute.
4. Roll Call - A quorum was declared present.

C. Authorize the third annual installment payment of $81,375.45 and the second annual
installment payments of $11,016.00 and $4,014.00 for the Police Department Axon Body
Camera Systems to Axon Enterprises, Inc. of Scottsdale, Arizona, in accordance with the
annual installment payment schedules
D. Authorize the second annual installment payment for the Police Department Axon TASER
equipment to Axon Enterprises, Inc. of Scottsdale, Arizona, in the amount of $8,339.00, in
accordance with the annual installment payment schedule
E. Accept the Central Park Drainage Improvement Project and authorize final payment to
Construction Enterprises, Inc. of Tulsa, Oklahoma, in the amount of $69,649.49
F. Accept the 2022 Annual Street Rehabilitation Program projects and authorize final payment
to Stronghand LLC, of Broken Arrow, Oklahoma in the amount of $156,604.51
G. Authorize execution of the first contract extension with Unifirst Corporation of Broken Arrow,
Oklahoma, for uniform rental and procurement services from July 1, 2023 through June 30,
2024 for the Vehicle Maintenance and Recreation and Culture Departments
Mr. Bonebrake moved, seconded by Mr. Dunn to approve the Consent Agenda as presented, with
claims totaling $742,789.64.

8. Consideration and appropriate action relating to bids received for the Community Center Parking Lot
Repair Project
Josh Quigley presented the item, recommending to award the bid to H &G Paving Contractors, Inc., of
Muskogee, Oklahoma, in the amount of $61,398.90, and authorization to execute all necessary
documents. There were no comments from the audience. After discussion, Mr. Dunn moved, seconded
by Mr. Bonebrake to award the bid and authorize execution of all necessary documents, as
recommended.

9. Consideration and appropriate action relating to the acquisition of right -of -way and easement for the
East 1061h Street North and North 129th East Avenue Intersection Improvement Project
Roger Stevens presented the item, recommending authorization for payment in the amount of
$27,300.00 to Brittney L. Werry and $17,700.00 to U.S. Bank for the acquisition of right -of -way and
compensation for easement and damages located at 12723 East 106th Street North. There were no
comments from the audience. Mr. Bonebrake moved, seconded by Mr. Dunn to authorize payment,
as recommended.

10. Report from City Manager
Warren Lehr introduced Roger Stevens to provide the monthly Public Works project status report and
discussion was held. Mr. Lehr reported on the City's Comprehensive Annual Financial Report qualifying
for the Government Finance Officers Association Certificate of Achievement for Excellence in Financial
Reporting, and the upcoming 55 /100ths Sales Tax Election on August 8, 2023.

BACKGROUND:
The Owasso Police Department applied for grant funding through the 2023 Highway Safety
Office Grant. This grant is made available by the Oklahoma Highway Safety Office
(OHSO). The purpose of the grant is to provide Oklahoma law enforcement agencies with
resources to reduce the number of injury/fatality collisions in Oklahoma. In September
2022, City Council accepted an award of $89,375 to the Police Department for the 2023
Highway Safety Office grant. OHSO designated this funding for approximately 1,800 hours
of supplemental overtime to be directed specifically toward high visibility general traffic
enforcement. Partnering with OHSO to reduce collisions is consistent with the department's
objective to reduce traffic- related injuries and fatalities.
In July 2023, the Owasso Police Department was notified that an additional $10,000 was
being awarded to the department. The supplemental funding will be in addition to the
$89,375 awarded under the 2023 Highway Safety Grant, and will be used in accordance
with the original grant agreement.
GRANT FUNDING:
As with the previously awarded grant funds, there is no match requirement for the
supplemental appropriation; however, the Police Department will be responsible for fuel
and maintenance costs for police vehicles used during grant overtime traffic patrols. The
grant is funded using a cost reimbursement concept. The Police Department will expend
monies through its existing budget and then claim reimbursement from OHSO.
RECOMMENDATION:
Staff recommends acceptance of the supplemental funding for the 2023 Highway Safety
Office Grant in the amount of $10,000, and approval of a budget amendment in the Half
Penny Sales Tax Fund, increasing estimated revenues and the appropriation for
expenditures in the Police Department by $10,000.

Between 2012 and 2022, there were 6,644 motor vehicle collisions in Owasso. Of those
accidents, 1,301 resulted in serious injuries and 17 resulted in fatalities. Although Owasso
continues to enjoy very low violent crime rates, the threat presented to the safety of our
residents and visitors from traffic collisions continues to be a concern and necessitates that
the Owasso Police Department direct resources toward traffic enforcement.

Problem Identification:
The City of OHesso has a population of around 40000 people and is in both Tulsa and Rogers County. Owasso has an
average annual grovth of three percent and has roughly 700000 people nithin a thirty minutes ofdomntoHn Owasso.
Highi4ays U. S. 169 and SH 20 run through the city and U.S. 75 is just to the Hest of OHesso. The City refers to this a "funnel
effect" in draHing in commuters for retail and business from all over northeast OK and Kansas/Arkansas due to large
amounts of those areas having little to no retail. As previously noted, Macys and Amazon have built distribution centers
just outside of City limits and traffic has increased to Owasso as Horkers come to Omesso for meals or use the roadmys to
commute. Milos SHeet Tea has built a Harehouse on E 76th St N. next to Macys and Costco has a Harehouse under
construction along U.S. 169 nearAmazon. An increase in commuter traffic is an obvious expectation. OHesso Officers
Horking speed enforcement along E 76th St N. have observed a dramatic increase in recorded speeds as motorists are
often 10 -20 MPH over the posted 25 MPH. This is an issue due to pedestrian foot traffic forbusinesses in the area.
OHesso also has multiple construction projects undemay and in the Horks for the next year. ODOT is currently Hidening the
E. 76th St bridge on U. S. 169 and has plans in FY24 for Hidening U.S. 169 from E. 66th St N. to E 86th St N. This is a
problem area due to the significance of this roadmey for motor vehicle traffic. The City is currently widening E. 116th St.
from Garnett to N. 129th E. Ave. and has it planned to extend the project to N. Mingo Rd. The City is also planning in FY24
to Hiden Garnett Rd. from E 106th St. N. to E 116th St N.
According to OHSO 2021 crash data, Owasso ranks in the middle third of all Oklahoma counties for number ofKA crashes,
number of fatal crashes, number of fatalities, alcohol - related, drug - related, unsafe speed, distracted, and motorcyclist
crashes. The city ranks high in unhelmeted fatalities and unrestrained fatalities. There is a doHward trend in all program
areas, but sharp increases in recent years.

Project Description:
The Owasso Police Department wll conduct overtime high visibility enforcement in support of state and national goals to
reduce the incidence of KAB collisions in the community. To identify those times and locations Mere KAB collisions most
often occur, the Project Director wll utilize state and locate data and reference sources available. General traffic
enforcement viii address a greater variety of traftic violations dependent upon local problem identification. Public
information and education (PI &EI supporting enforcement activities hill be conducted monthly as part of the HVE effort to
inform and educate the public on the importance of traffic safety as Kell as the agency's ongoing effort to deterdangerous
driving behaviors. Funding is provided for in -state travel forproject personnel to attend the Project Directors Training
Course and /or annual OHSO Traffic Safety Summit.
The Omsso PD wll participate in all NHTSA mobilizations in accordance wth the terms of the grant agreement, and
employ the following evidence -based strategies in conducting grant related activities:

This grant is subject to the terms and conditions set forth in the Pre - Application guidelines and any modifications agreed to

Agreement Summary; Budget Summary; Budget Detail; Activity/Milestones; General Provisions - Part 11; Specific
Agreements - Part III; and Certification pages.
In addition, the grantee agrees to the following:
1. If the grantee is a law enforcement agency, the grantee agrees to participate in and support NHTSA's national goals and
law enforcement mobilizations ( "Click it or Ticket" and "Drive Sober or Get Pulled Over"), including submitting both pre
and post reports through the OHSO online Mobilization Reporting System.
2. At the end of the project year and no later than November 1, the Project Director will submit the End of Year Project
Summary Report outlining the project accomplishments and whether the project goal(s) was met.

BACKGROUND:
The City's property- casualty insurance through OMAG (Oklahoma Municipal Assurance Group)
provides coverage for damage to City property exceeding the $25,000.00 deductible. In July
2023, the Bailey Ranch Clubhouse sustained water damage from the failure of the valve on a
sprinkler head in the fire suppression system.
OMAG's claim process is for the City to pay the vendors and OMAG reimburses the City the
amount exceeding the deductible.
Servprov completed the mitigation (clean up) work and has submitted an invoice for payment
in the amount of $26,768.79, which exceeds the City Manager's spending authority.
Repair of the damage incurred will be processed as a separate item for City Council approval.
RECOMMENDATION:
Staff recommends authorization for payment to Servpro of South Tulsa, Inc. of Tulsa, Oklahoma,
in the amount of $26,768.79.

BACKGROUND:
The City of Owasso declares items surplus that have reached their end of life or are no longer useful. An
estimated value of $500.00 or more for the individual items requires City Council approval for disposal.
For several years, the City has utilized auction sites to auction surplus vehicles and equipment. These sites
act as an "auction broker." Both private individuals and public entities utilize these online auctions as a
tool to obtain the highest resale or salvageable price for items they can no longer utilize.
Prior to utilizing online auctions, City staff collected and processed surplus items, then conducted an onsite
auction. This process took significant time and required many staff resources with very little return. The onsite
auctions were typically not well attended and items were sold for far less than the City has received via
online auction sites.
HOW IT WORKS:
The following is the step -by -step process for online auctions followed by the City of Owasso:
• City Council declares vehicles or other items, valued over $500.00, as surplus to the needs of the
City;
• Digital pictures are taken and descriptions written for each item to be auctioned
• Staff determines the length of auction;
• Staff includes acceptable methods of payment;
• Staff determines whether items can be shipped or would need to be picked up by the
purchaser /buyer. Most often, items are picked up at City locations;
• The auction is promoted through social media and the City's website;
• At the end of the auction the highest bidder is notified, and arrangements are made for
shipping or pick -up of item once payment is received.
FEES:
There are fees to sell on most, though not all, auction sites. For some sites, there may be a set fee, and for
others there may be a percentage of the total sale price. Staff evaluates the items to be sold to determine
the best online option for auctioning.

BACKGROUND:
The Community Development Department received a Planned Unit Development (PUD) application
(OPUD 23 -04) for German Corner PUD, a proposed mixed -use development located near the
southwestern comer of the intersection of East 116th Street North and North Garnett Road. The subject
property is approximately 12.9 acres in size and is currently zoned Commercial Shopping (CS).

CONCEPT OF A PUD:
• A PUD is a development concept that allows for greater creativity and flexibility than typically
allowed under traditional zoning and planning practices.
o For example, PUDs often allow developers to place different zonings and land uses inclose
proximity to each other.
o Developers may also have more flexibility in certain aspects of development, such as
building setback requirements and building height limitations, which can be more
restrictive in standard zoning districts.
• A PUD should not be considered as a tool to circumvent the City's Zoning Code and Subdivision
Regulations. All aspects of the PUD application are subject to public comment as well as
consideration and approval from the Community Development Department, the Owasso
Technical Advisory Committee, the Owasso Planning Commission, and the Owasso City Council.
• PUD applications presented to the Planning Commission and City Council are for approval of the
uses and the overall conceptual development plan as it relates to the context of the surrounding
area.
GROWASSO 2035 LAND USE MASTER PLAN CONSISTENCY:
The GrOwasso 2035 Land Use Master Plan is a document that acts as a moderately flexible tool for
evaluating development proposals.
The GrOwasso 2035 Land Use Master Plan identifies the property for future commercial land uses.
As such, the proposed mixed -use development is in accordance with the long -range vision for this
location, as commercial, office, and select industrial uses are all considered possible within a
"commercial" designation in the GrOwasso 2035 Land Use Master Plan.

ANALYSIS:
• The subject property was annexed into Owasso City Limits with Ordinance 195 in 1976 and is
currently platted as Lots Three (3) and Four (4), Block One (1) of the Shopping Center at Highways
129 and 20 (Plat # 3676).
• The applicant is seeking a PUD overlay in order to allow for a mix of non - residential uses, within close
proximity to one another, that otherwise would not be possible by -right under the CS zoning
designation.
o The base zoning of CS will remain unchanged for the subject property under the OPUD 23 -04
proposal.
o The proposed allowed uses under OPUD 23 -04 would compliment those uses seen on
adjacent parcels, as the subject property is bordered to the west by industrial uses, and by
commercial uses to the north and east.
• The conceptual development plan submitted for OPUD 23 -04 states that the applicant intends to
construct a mixed -use development, comprised of four (4) distinct development areas.
o Development Area "A ", approximately 2.9 acres in size and located within the
northwestern portion of the subject property, is proposed to allow commercial and /or
office uses within its boundaries.
o Development Area "B ", approximately 4.9 acres in size and located centrally on the
subject property, is proposed to allow commercial, office, and /or multi- tenant flex space
for select light industrial uses within its boundaries.
o Development Areas "C ", approximately 1.7 acres in size and located within the
southwestern portion of the subject property, is proposed to allow commercial and /or
office uses within its boundaries.
o Development Area "D ", approximately 3.3 acres in size and located within the
southeastern portion of the subject property, is proposed to allow commercial and /or
office uses within its boundaries.
• The OPUD 23 -04 document states that parking requirements will be met via the sharing of parking
spaces between all proposed development areas, as well as with the existing parking seen within the
adjacent retail uses, immediately to the east of the subject property.
o Bike racks will also be required to be installed within Development Areas "A" and "D ".
• The OPUD 23 -04 document also states that all applicable landscaping and screening requirements
from Ch. 19 of the Owasso Zoning Code will be met, as well as imposes some additional screening
regulations.
o This includes a minimum 6' privacy fence and additional tree - planting requirements along
the entire southern boundary of Development Area "C," adjacent to the neighboring
residential use.
o A fully detailed landscape plan will be required to be submitted for City staff approval at the
time of site plan review(s). All landscaping and screening will be required to meet the
requirements identified in the Owasso Zoning Code and the OPUD 23-04. This includes all
screening requirements for outdoor storage areas, as detailed in Chapter 10 of the Owasso
Zoning Code.
• All buildings within Development Areas A and D will be required to meet the fagade material
requirements detailed in Chapter 11 of the Owasso Zoning Code.

• Building facades within Development Areas B and C that either face adjacent residential uses
and /or can be seen from public rights -of -way will be required to contain an additional percentage
of non -metal materials, to further buffer some of the more - intense proposed uses contained within.
o Interior buildings within Development Area B, that cannot be seen from public rights -of -way,
will be allowed to have certain fagades that are comprised entirely of metal.
• As this property was previously platted, the points of access to the subject property have already
been determined; should the applicant wish to alter these points of access, a change of access
request may need to be considered.
• The City of Owasso will provide police, fire, ambulance, water services, and sanitary sewer
services to the subject property.
• Pending approval of the OPUD 23 -04 proposal, the applicant may need to submit a replat request
for the subject property, should they wish to further subdivide it.
• Any development that occurs on the subject property shall adhere to all subdivision, zoning, and
engineering requirements of the City of Owasso.

PLANNING COMMISSION:
The Owasso Planning Commission voted 4 -0 to recommend approval of this item at their regularly
scheduled meeting on August 7, 2023.
RECOMMENDATION:
In developing a recommendation, staff evaluated the PUD's ability to accomplish the following, as
described in Section 9.1.2 of the Owasso Zoning Code:
• Maintain and enhance the quality of life in Owasso;
• Provide opportunities for urban infill;
• Maintain and promote a sense of community;
• Encourage development that otherwise could not occur on the site;
• Preserve and provide meaningful open space;
• Promote connectivity and compatibility with surrounding development;
• Inspire unique and thoughtful development;
• Support the development of strong neighborhoods;
• Provide amenities beyond conventional development; and
• Preserve the physical characteristics of the land.

AN ORDINANCE APPROVING A PLANNED UNIT DEVELOPMENT AS REFERENCED IN
APPLICATION OPUD 23 -04 AND REPEALING ALL ORDINANCES OR PARTS OF
ORDINANCES IN CONFLICT
WHEREAS, public hearings have been held regarding the request for a planned unit
development on the property described below; and,
WHEREAS, the Owasso City Council has considered the recommendation of the Owasso
Planning Commission and all statements for or against the requested planned unit development
application OPUD 23 -04.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF OWASSO, OKLAHOMA, THAT
TO WIT:
SECTION 1.
A tract of land generally located near the southwestern corner of North Garnett Road and East
116th Street North, more particularly described as follows:

Development Concept
"German Corner' is located at the southwest corner of E. 11611 Street N. and N. Garnett Road. Exhibit A
includes legal descriptions for the overall tract of land and the proposed Development Areas. The
property is currently platted as "SHOPPING CENTER AT HIGHWAYS 169 AND 20 ". The overall
boundary of the proposed PUD is Lots 3 and 4, Block 1 of said Plat. Exhibit B shows the areas that
surround the limits of the proposed PUD. German Corner is an existing commercial development that
includes undeveloped land to the west of the existing commercial retail buildings. The landowner is
proposing redevelopment of the property to include additional retail space, office warehouse flex space
and office space. The PUD overlays of an existing commercial zoned parcel; see Exhibit C for existing
zoning map. Immediately adjacent zoning to the proposed PUD includes CG and RMH to south and IL to
the west. Adjacent zoning on the north side of 11611 is CG and RS -3. Adjacent zoning on the east side of
Garnett is CG.
E. 11611 Street N. and N. Garnett Road are major arterial streets per the Owasso Transportation Master
Plan. Access to the existing retail parking lots will remain. City street improvements on 1161h & Garnett
have been coordinated with the property Owner. The proposed Conceptual Development Plan (Exhibit
D) shows the existing drive connections with one proposed drive on 1161h. This plan also includes cross
access with the parcel to the west.
The existing retail buildings located on Lot 1, Block 1 will remain. This PUD does not include Lot 1, Block
1. If a future use is allowed in the current zoning, a small drive -thru pad site may be carved out of
northeast corner of Lot 1. Egress from the adjacent Lot 2, currently a bank use, can be accommodated.
Development Area A, located in the northwest corner of the overall property, has frontage on 116th. This
DA is envisioned as commercial retail space with drive -thru end caps.
Development Area B, behind the existing commercial retail, does not border the south property line. This
DA has adjacent IL zoning to west and does not have adjacency to the existing RMH zoning. Thus, this
DA is appropriate for office - warehouse and most IL uses.
Development Area C in the southwest corner of the overall property is immediately adjacent to the
existing RMH zoning, so the uses allowed are Office and most Commercial uses per the currently
underlying CS zoning. This buffer (or use restriction) along with the proposed green space along the
south property lines provides a good transition of allowed uses.
Development Area D, located in the southeast corner of the overall property, has frontage on Garnett.
This DA is also Lot 3 and can be additional commercial retail space. This retail space may be split to
accommodate a restaurant pad on the Garnett frontage.
Development pursuant to this PUD shall comply with all applicable City of Owasso codes and regulations.

Internal Access & Circulation
All streets within the PUD will be privately maintained by the Property Owner. Streets shall be
constructed in compliance with IFC requirements, Owasso Fire Marshal standards and the Owasso
Engineering Design Criteria. The Developer shall coordinate with the Fire Marshal on requirements
concerning hydrant separation and access around proposed buildings.
Sidewalks will be required along adjacent public streets, to be installed by either the developer or the City
of Owasso, as part of the adjacent roadway projects. Sidewalks shall be constructed in compliance with
the Owasso Engineering Design Criteria.
All entrances along 116th Street & Garnett must adhere to the approved roadway plans, as approved by
Public Works. There will be shared access between all Development Areas and existing commercial on
Lot 1, Block 1. Mutual access easements between lots will be required to be filed to ensure this access,
especially for the off -site access point in the northwestern corner of the property.
All parking lots within the PUD will be maintained by the property owner. Said parking lots will need to be
kept in good repair.
Bikes racks will be required in Development Areas A & D.
Further subdivision of the property will require a re -plat.
All parking can be shared within the PUD Development Areas and with the existing parking on Lot 1,
Block 1 (outside of the PUD boundary).
Drainage & Utilities
The existing site contours indicate a single drainage basin for the PUD area. The northwest corner of the
property included an existing "undocumented" stormwater detention facility. This detention will be
modified to accommodate the fully developed site. Maintenance of the stormwater detention pond will be
the responsibility of the current property Owner or a future Property Owner's Association that shall be
created if the current Owner sells a portion of the PUD.
Water and sewer connections are available on the property and can be tied onto, subject to approval by
the Public Works Department. All existing utilities must be field verified.
Other utility services are currently provided to the site and will continue to be provided via underground
services.
Environmental Analysis
The Tulsa County Soils survey defines the onsite soils primarily as Dennis Silt Loam, Dennis - Pharoah
Complex, Dennis- Radley complex and Okemah Silt Loam. These soils are generally somewhat poorly
drained but provide little issue to construction of a project as proposed. A geotechnical engineer will be
contracted to perform a detailed soils analysis during the design phase of the project.
The attached Exhibit E depicts an aerial of the existing site as well as topography.
Schedule of Development
Development Construction is expected to begin in fall of 2023.

Architectural, Landscaping and Signage Requirements
All buildings within the PUD boundary will meet the requirements outlined in Chapter 11 of the Owasso
Zoning Code with the following exceptions:
The buildings in Development Area B will be allowed to be treated as industrial uses for these
requirements.
Alternative architectural treatments are appropriate for Development Areas B & C. Fagade
requirements are below:
No dumpster enclosures will be adjacent to residential uses.
Screening and landscaping shall meet the requirements of Chapter 19 of the Owasso Zoning Code.

ANALYSIS:
• The applicant desires to rezone the subject property to Office (0), in order to accommodate the
construction of an office building.
• The GrOwasso 2935 Land Use Master Plan identifies the subject property for future transitional uses.
o Considering the above, assigning the subject property a zoning designation of O would be
in accordance with the GrOwasso 2035 Land Use Master Plan.

BACKGROUND:
Pelivan Transit is a demand- response transportation service operated by the Grand Gateway
Economic Development Association. Pelivan Transit is a non - profit organization operating
primarily on funding from government and corporate entities, including federal and state grants.
Pelivan Transit focuses on providing transportation to individuals who do not consistently have a
private means of transportation.
Now in its fifteenth year of operation in Owasso, the program has developed a stable and
growing customer base. Demand and ridership increased each year since the program's
inception until FY 2019 -2020. There was an 8% drop in ridership resulting from the state shutdown,
various local closures, and winter storm closures. Since then, services have returned to steady
levels of regular use.
Pelivan Transit began operations in Owasso on December 21, 2007, following City Council's
action to approve a one -year agreement for transportation services between the City of
Owasso and Grand Gateway in the amount of $41,975.00. Following a surge in the price of fuel,
the City's contribution increased in the second year of operation to $49,393.00, and remained
the same through 2013. The City's annual contributions for FY 2014 through FY 2022 were
$51,000.00. To accommodate a portion of the increase in operating costs, including a rise in fuel
costs, increased maintenance costs, and a pay increase for maintenance, drivers, and
dispatchers, the FY 2023 agreement was $60,475.00.
For FY 2024, Pelivan Transit is again requesting $60,475.00 from the City of Owasso to cover the
local match, 22.7% of the total operating budget.
FUNDING:
Funds for this service are included in the FY 2023 -2024 Budget.
PROPOSED ACTION:
Staff recommends approval of a Purchase of Service Agreement between the City of Owasso

As you can seethe numbers have dropped by over 8% since FY -19. This drop was significate because of
the state shut -down, various local closure and winter storm closures. Services are slowly returning to
steady level, and as a herd immunity is developed with the help of the COVID-19 vaccinations available
we look to be close to full capacity by end of fiscal year 2023.
Pelivan extended/expanded service options in the Owasso area on June 1, 2021 with the implementation
of PICK Transportation. PICK Transportation is a mobility service offering on demand/curb to curb
option Monday- Friday (5 PM -10 PM) and Saturdays (10 AM -2 PM) covering 21 counties in the state of
Oklahoma with Pelivan acting as lead agency.
We are requesting $60,475 for required local match funding for the support of Capital, Administration
and Operational costs of a three (3) vehicle operation to the City of Owasso for FY -24.. The total budget
for FY -2024 is $266,395 and the requested local match from the City of Owasso is 22.7012519% of this
amount. We have secured $113,285 through federal, state and other local grants for this valuable service.
I am available to clarify any budget information and can certainly attend any meetings, if needed. If the
requested amount is granted, then please execute the enclosed copies of the Purchase of Service
Agreement and return to us for Ed's signature. We will return a completed contract for your files. If there
are any changed, then please contact me for the adjustments accordingly. It is a pleasure to serve the

Purchase of Service Agreement
This agreement establishes a Purchase of Service Agreement made and entered into on the _
day of _ , 2023, between the City of Owasso and Grand Gateway Economic Development
Association/PELIVAN TRANSIT regarding the financial assistance to the Association for the operation
of a demand - response Public Transportation System operated by Pelivan Transit for FY -2024.
Whereas, the City of Owasso and area business leaders have identified certain community needs
and set certain goals for the economic development of the community.
Whereas, there is a need to implement programs for the City of Owasso to meet a need to provide
services to attract and serve the elderly and retirees in order to become a more desirable retirement
community, as well as providing a much needed service to all citizens of the community;
Whereas, the Grand Gateway Economic Development Association is operating a Transportation
Program established under the Oklahoma Department of Transportation Section 5311 Transportation
Program which will provide public transportation for the citizens of Owasso and has requested the City to
assist in financing this program.
Whereas, the City of Owasso will provide $60,475 to the Association for Grand Gateway's
service in providing public transportation to the citizens of Owasso, Oklahoma. Payments may be
rendered in ten (10) monthly payments of $6,047.50 or a lump sum payment payable to Grand Gateway
E.D.A./Pelivan Transit, P.O. Drawer B, Big Cabin, OK 74332. Grand Gateway/Pelivan Transit will
provide ridership totals for the previous month based on actual ridership with each monthly billing.
Whereas, Grand Gateway's Pelivan Transit will assign three (3) vehicles with drivers, and one (1)
dispatcher for the City of Owasso located at the Pelivan Transit headquarters in Big Cabin, Oklahoma for
the transportation needs of the citizens of Owasso and the surrounding area commencing October 1, 2023
through September 30, 2024 (FY -2024) to operate the demand - response city/rural/variable distance routes
from 8:00 a.m. to 4:00 p.m. Monday through Friday with the exception of Holiday's as listed below:

if the Federal funding is discontinued. The State assumes no responsibility to fund this program if there is
a failure of Federal Funding.
CONTINUING LOCAL ASSISTANCE: This AGREEMENT is for the period indicated above
and is subject to early renewal by the governing body of the City of Owasso.
INSURANCE: Grand Gateway Economic Development Association, d/b /a Pelivan Transit, shall
maintain liability insurance on all vehicles covered by this AGREEMENT with limits of liability in the
amount of Five Million and no /100 dollars ($5,000,000.) for any number of claims arising out of a single
occurrence or accident, and shall provide proof of coverage to the City of Owasso when requested.

BACKGROUND:
Annually, street rehabilitation sites are evaluated and selected based on a comprehensive
assessment of roadway conditions. The selection process is aimed at maximizing the taxpayer's
return on investment by increasing roadway lifecycles and minimizing future maintenance costs
while enhancing overall roadway driving conditions and public safety.
PRIORITY STREET REPAIRS /MAINTENANCE IDENTIFIED:
In July 2023, Public Works staff completed an update to the City's street inventory. The data
collected for the model was adjusted to reflect changes in segment conditions and a new
priority listing was generated. A map depicting the location of the proposed priority sites is
attached for City Council's consideration. The estimated cost for the base project is $1,815,800.
In addition, staff has included three alternates in the estimated amount of $559,400 in order to
maximize the funds in the event the base bid is less than estimated.
PROJECT FUNDING:
Funding for this project in the amount of $1,200,000 is available in the Capital Improvements
Fund. In addition, the Half -Penny Sales Tax Fund has $800,000 allocated for this fiscal year's
street repair program. As a result, total funding available for the 2024 Street Rehabilitation
Program is $2,000,000.

BACKGROUND:
The Owasso Police Department's strategy has been to harness technology as a force multiplier:
combining efficient practices with an intentional effort to increase proactive activities by the
officers patrolling the streets. This strategy has resulted in a drastic reduction in crime over the
last decade and has allowed Owasso to be consistently ranked as one of the safest cities in
Oklahoma. While Owasso has been spared much of the violent crime seen in other
communities, it is vital that we continually reassess our practices and the available tools needed
to continue to maintain the low crime residents have come to expect in Owasso.
Automatic License Plate Recognition (ALPR) camera systems have proven very beneficial to
policing throughout the nation, and the technology of these systems have made significant
gains in recent years. ALPR systems are currently in use in many of the neighboring communities
and have provided proven results in both crime prevention and suspect identification, as well as
locating missing endangered persons.
ALPR cameras are positioned in the right -of -way along public roadways, scanning license plates
as vehicles drive past, similar to a Pikepass scanner on a turnpike. The ALPR camera compares
the scanned license plates to a preloaded "hot list" that can include stolen cars, wanted
suspect vehicles, and /or vehicles associated with missing endangered people. The system alerts
dispatch when a suspect vehicle registers on a camera, allowing officers to quickly respond to
address the situation. For investigative purposes, a detective can review data from the ALPR
system for the specific time and location of the crime that has been reported, potentially
identifying a suspect vehicle as it travels to or from the crime scene. ALPR cameras are
positioned in full view of the public and their implementation is openly advertised to the public
for transparency, as well as to serve as a deterrent to potential bad actors considering coming
to Owasso to commit crimes.
The implementation of an ALPR system would greatly enhance policing capabilities and the
addition of twenty (20) ALPR cameras would provide sufficient coverage for the entire City of
Owasso.
SOLE SOURCE PURCHASING:
The Code of Ordinances for the City of Owasso does not require competitive bidding if the
equipment or service can only be furnished by a single dealer. This provision within City
ordinance is commonly referred to as sole source purchasing.
After reviewing ALPR systems currently on the market, staff found that Flock Safety Systems is the
only product that meets all the needs of the Owasso Police Department. Flock Group
Incorporated is the manufacturer and sole distributor for the Flock Safety System.

Flock Safety is the only system currently available that automatically integrates with products
currently in use by our agency, including Evidence.com data storage, Axon body worn cameras
and taser, including cross reference image searches between the various platforms. Flock
Safety is also currently in use by twenty -seven (27) Oklahoma law enforcement agencies, many
in the Tulsa Metro area, making integration and information sharing potentially difficult should
the Owasso Police Department use a different ALPR system.
The Flock Safety System is the only ALPR product that includes proprietary software for a "vehicle
fingerprint" instead of the traditional license plate scanners. The Flock software can accurately
detect small details to identify specific vehicles, including color, make, model, age of the
vehicle, paper tags, bumper stickers, and even body damage such as dents, scratches, and
missing vehicle parts. This vehicle fingerprint capability of the Flock System is far above anything
offered by any other ALPR system.
The Flock Safety System is the only product offering the privacy, data protection, transparency,
and auditing capabilities required by the Owasso Police Department. All data is lifespan
encrypted and access is limited to law enforcement investigative purposes through a secure
log -in process. All data is owned by the Owasso Police Department and assurances are in place
that Flock will never sell or share the data. All records are deleted after thirty (30) days and an
audit trail is created to protect against potential misuse. An online transparency portal is
available to the public, allowing citizens to view details of the ALPR system as well as obtain
information about how the system is being used by law enforcement entities.

Master Services Agreement
This Master Services Agreement (this "Agreement ") is entered into by and between Flock
Group, Inc. with a place of business at 1170 Howell Mill Road NW Suite 210, Atlanta, GA 30318
( "Flock ") and the entity identified in the signature block ( "Customer ") (each a "Party," and
together, the "Parties ") on this the 29 day of June 2023. This Agreement is effective on the date
of mutual execution ( "Effective Date "). Parties will sign an Order Form ("Order Form ") which
will describe the Flock Services to be performed and the period for performance, attached hereto
as Exhibit A. The Parties agree as follows:
RECITALS
WHEREAS, Flock offers a software and hardware situational awareness solution through
Flock's technology platform that upon detection is capable of capturing audio, video, image, and
recording data and provide notifications to Customer ( "Notifications ");
WHEREAS, Customer desires access to the Flock Services (defined below) on existing
devices, provided by Customer, or Flock provided Flock Hardware (as defined below) in order to
create, view, search and archive Footage and receive Notifications, via the Flock Services;
WHEREAS, Customer shall have access to the Footage in Flock Services. Pursuant to
Flock's standard Retention Period (defined below) Flock deletes all Footage on a rolling thirty
(30) day basis, except as otherwise stated on the Order Form. Customer shall be responsible for
extracting, downloading and archiving Footage from the Flock Services on its own storage
devices; and
WHEREAS, Flock desires to provide Customer the Flock Services and any access
thereto, subject to the terms and conditions of this Agreement, solely for the awareness,
prevention, and prosecution of crime, bona fide investigations and evidence gathering for law
enforcement purposes, ( "Permitted Purpose ").
AGREEMENT
NOW, THEREFORE, Flock and Customer agree that this Agreement, and any Order
Form, purchase orders, statements of work, product addenda, or the like, attached hereto as
exhibits and incorporated by reference, constitute the complete and exclusive statement of the
Agreement of the Parties with respect to the subject matter of this Agreement, and replace and
supersede all prior agreements, term sheets, purchase orders, correspondence, oral or written
communications and negotiations by and between the Patties.
1. DEFINITIONS
Certain capitalized terns, not otherwise defined herein, have the meanings set forth or cross -
referenced in this Section 1.
1.1 "Anonymized Data" means Customer Data permanently stripped of identifying details and
any potential personally identifiable information, by commercially available standards which
irreversibly alters data in such a way that a data subject (i.e., individual person or entity) can no
longer be identified directly or indirectly.
1.2 "Authorized End User(s)" means any individual employees, agents, or contractors of
Customer accessing or using the Services, under the rights granted to Customer pursuant to this
Agreement.
1.3 "Customer Data" means the data, media and content provided by Customer through the
Services. For the avoidance of doubt, the Customer Data will include the Footage.
1.4. "Customer Hardware" means the third -party camera owned or provided by Customer and
any other physical elements that interact with the Embedded Software and the Web Interface to
provide the Services.
1.5 "Embedded Software" means the Flock proprietary software and /or firmware integrated with
or installed on the Flock Hardware or Customer Hardware.
1.6 "Flock Hardware" means the Flock device(s), which may include the pole, clamps, solar
panel, installation components, and any other physical elements that interact with the Embedded
Software and the Web Interface, to provide the Flock Services as specifically set forth in the
applicable product addenda.
1.7 "Flock IF' means the Services, the Embedded Software, and any intellectual property or
proprietary information therein or otherwise provided to Customer and /or its Authorized End
Users. Flock IP does not include Footage (as defined below).
1.8 "Flock Network End User(s)" means any user of the Flock Services that Customer authorizes
access to or receives data from, pursuant to the licenses granted herein.
1.9 "Flock Services" means the provision of Flock's software and hardware situational awareness
solution, via the Web Interface, for automatic license plate detection, alerts, audio detection,
searching image records, video and sharing Footage.
1.10 "Footage" means still images, video, audio and other data captured by the Flock Hardware
or Customer Hardware in the course of and provided via the Flock Services.
1.11 "Hotlist(s)" means a digital file containing alphanumeric license plate related information
pertaining to vehicles of interest, which may include stolen vehicles, stolen vehicle license plates,
vehicles owned or associated with wanted or missing person(s), vehicles suspected of being
involved with criminal or terrorist activities, and other legitimate law enforcement purposes.
Hotlist also includes, but is not limited to, national data (i.e., NCIC) for similar categories, license
plates associated with AMBER Alerts or Missing PersonsNulnerable Adult Alerts, and includes
manually entered license plate information associated with crimes that have occurred in any local
jurisdiction.
1.12 `Installation Services" means the services provided by Flock for installation of Flock
Services.
1.13 "Retention Period" means the time period that the Customer Data is stored within the cloud
storage, as specified in the product addenda.
1.14 "Vehicle Fingerprinirm" means the unique vehicular attributes captured through Services
such as: type, make, color, state registration, missing /covered plates, bumper stickers, decals, roof
racks, and bike racks.
1.15 "Web Interface" means the website(s) or application(s) through which Customer and its
Authorized End Users can access the Services.
2. SERVICES AND SUPPORT
2.1 Provision of Access. Flock hereby grants to Customer a non - exclusive, non - transferable right
to access the features and functions of the Flock Services via the Web Interface during the Term,
solely for the Authorized End Users. The Footage will be available for Authorized End Users to
access and download via the Web Interface for the data retention time defined on the Order Form
( "Retention Period"). Authorized End Users will be required to sign up for an account and select
a password and username ( "User ID "). Customer shall be responsible for all acts and omissions of
Authorized End Users, and any act or omission by an Authorized End User which, including any
acts or omissions of authorized End user which would constitute a breach of this agreement if
undertaken by customer. Customer shall undertake reasonable efforts to make all Authorized End
Users aware of all applicable provisions of this Agreement and shall cause Authorized End Users
to comply with such provisions. Flock may use the services of one or more third parties to deliver
any part of the Flock Services, (such as using a third party to host the Web Interface for cloud
storage or a cell phone provider for wireless cellular coverage).
2.2 Embedded Software License. Flock grants Customer a limited, non - exclusive, non-
transferable, non- sublicensable (except to the Authorized End Users), revocable right to use the
Embedded Software as it pertains to Flock Services, solely as necessary for Customer to use the
Flock Services.
2.3 Support Services. Flock shall monitor the Flock Services, and any applicable device health,
in order to improve performance and functionality. Flock will use commercially reasonable
efforts to respond to requests for support within seventy -two (72) hours. Flock will provide
Customer with reasonable technical and on -site support and maintenance services in- person, via
phone or by email at supportQflocksafety.com (such services collectively referred to as "Support
Services'.
2.4 Upgrades to Platform. Flock may make any upgrades to system or platform that it deems
necessary or useful to (i) maintain or enhance the quality or delivery of Flock's products or
services to its agencies;the competitive strength of, or market for, Flock's products or
services;such platform or system's cost efficiency or performance, or (ii) to comply with
applicable law. Parties understand that such upgrades are necessary from time to time and will not
diminish the quality of the services or materially change any terms or conditions within this
Agreement.
2.5 Service Interruption. Services may be interrupted in the event that: (a) Flock's provision of
the Services to Customer or any Authorized End User is prohibited by applicable law; (b) any
third -party services required for Services are interrupted; (c) if Flock reasonably believe Services
are being used for malicious, unlawful, or otherwise unauthorized use; (d) there is a threat or
attack on any of the Flock IP by a third party; or (e) scheduled or emergency maintenance
( "Service Interruption "). Flock will make commercially reasonable efforts to provide written
notice of any Service Interruption to Customer,to provide updates, and to resume providing access
to Flock Services as soon as reasonably possible after the event giving rise to the Service
Interruption is cured. Flock will have no liability for any damage, liabilities, losses (including any
loss of data or profits), or any other consequences that Customer or any Authorized End User may
incur as a result of a Service Interruption. To the extent that the Service Interruption is not caused
by Customer's direct actions or by the actions of parties associated with the Customer, the time
will be tolled by the duration of the Service Interruption (for any continuous suspension lasting at
least one full day). For example, in the event of a Service Interruption lasting five (5) continuous
days, Customer will receive a credit for five (5) free days at the end of the Term.
2.6 Service Suspension. Flock may temporarily suspend Customer's and any Authorized End
User's access to any portion or all of the Flock IP or Flock Service if (a) there is a threat or attack
on any of the Flock IP by Customer; (b) Customer's or any Authorized End User's use of the
Flock IP disrupts or poses a security risk to the Flock IP or any other customer or vendor of
Flock; (c) Customer or any Authorized End User is /are using the Flock IP for fraudulent or illegal
activities; (d) Customer has violated any tern of this provision, including, but not limited to,
utilizing Flock Services for anything other than the Permitted Purpose; or (e) any unauthorized
access to Flock Services through Customer's account ( "Service Suspension "). Customer shall not
be entitled to any remedy for the Service Suspension period, including any reimbursement,
tolling, or credit. If the Service Suspension was not caused by Customer, the Term will be tolled
by the duration of the Service Suspension.
2.7 Hazardous Conditions. Flock Services do not contemplate hazardous materials, or other
hazardous conditions, including, without limit, asbestos, lead, toxic or flammable substances. In
the event any such hazardous materials are discovered in the designated locations in which Flock
is to perform services under this Agreement, Flock shall have the right to cease work
immediately.
3. CUSTOMER OBLIGATIONS
3.1 Customer Obligations. Flock will assist Customer Authorized End Users in the creation of a
User ID. Authorized End Users agree to provide Flock with accurate, complete, and updated
registration information. Authorized End Users may not select as their User ID, a name that they
do not have the right to use, or any other name with the intent of impersonation. Customer and
Authorized End Users may not transfer their account to anyone else without prior written
permission of Flock. Authorized End Users shall not share their account username or password
information and must protect the security of the username and password. Unless otherwise stated
and defined in this Agreement, Customer shall not designate Authorized End Users for persons
who are not officers, employees, or agents of Customer. Authorized End Users shall only use
Customer - issued email addresses for the creation of their User ID. Customer is responsible for
any Authorized End User activity associated with its account. Customer shall ensure that
Customer provides Flock with up to date contact information at all times during the Term of this
agreement. Customer shall be responsible for obtaining and maintaining any equipment and
ancillary services needed to connect to, access or otherwise use the Flock Services. Customer
shall (at its own expense) provide Flock with reasonable access and use of Customer facilities and
Customer personnel in order to enable Flock to perform Services (such obligations of Customer
are collectively defined as "Customer Obligations'.
3.2 Customer Representations and Warranties. Customer represents, covenants, and warrants
that Customer shall use Flock Services only in compliance with this Agreement and all applicable
laws and regulations, including but not limited to any laws relating to the recording or sharing of
data, video, photo, or audio content.
4. DATA USE AND LICENSING
4.1 Customer Data. As between Flock and Customer, all right, title and interest in the Customer
Data, belong to and are retained solely by Customer. Customer hereby grants to Flock a limited,
non - exclusive, royalty -free, irrevocable, worldwide license to use the Customer Data and perform
all acts as may be necessary for Flock to provide the Flock Services to Customer. Flock does not
own and shall not sell Customer Data.
4.2 Customer Generated Data. Flock may provide Customer with the opportunity to post,
upload, display, publish, distribute, transmit, broadcast, or otherwise make available, messages,
text, illustrations, files, images, graphics, photos, comments, sounds, music, videos, information,
content, ratings, reviews, data, questions, suggestions, or other information or materials produced
by Customer ( "Customer Generated Data "). Customer shall retain whatever legally cognizable
right, title, and interest in Customer Generated Data. Customer understands and acknowledges
that Flock has no obligation to monitor or enforce Customer's intellectual property rights of
Customer Generated Data. Customer grants Flock a non - exclusive, irrevocable, worldwide,
royalty -free, license to use the Customer Generated Data for the purpose of providing Flock
Services. Flock does not own and shall not sell Customer Generated Data.
4.3 Anonymized Data. Flock shall have the right to collect, analyze, and anonymize Customer
Data and Customer Generated Data to the extent such anonymization renders the data non-
identifiable to create Anonymized Data to use and perform the Services and related systems and
technologies, including the training of machine learning algorithms. Customer hereby grants
Flock a non - exclusive, worldwide, perpetual, royalty -free right to use and distribute such
Anonymized Data to improve and enhance the Services and for other development, diagnostic and
corrective purposes, and other Flock offerings. Parties understand that the aforementioned license
is required for continuity of Services. Flock does not own and shall not sell Anonymized Data.
5. CONFIDENTIALITY; DISCLOSURES
5.1 Confidentiality. To the extent required by any applicable public records requests, each Party
(the "Receiving Party ") understands that the other Party (the "Disclosing Party ") has disclosed or
may disclose business, technical or financial information relating to the Disclosing Party's
business (hereinafter referred to as "Proprietary Information" of the Disclosing Party).
Proprietary Information of Flock includes non - public information regarding features, functionality
and performance of the Services. Proprietary Information of Customer includes non - public data
provided by Customer to Flock or collected by Flock via Flock Services, which includes but is not
limited to geolocation information and environmental data collected by sensors. The Receiving
Party agrees: (i) to take the same security precautions to protect against disclosure or unauthorized
use of such Proprietary Information that the Party takes with its own proprietary information, but
in no event less than commercially reasonable precautions, and (ii) not to use (except in
performance of the Services or as otherwise permitted herein) or divulge to any third person any
such Proprietary Information. The Disclosing Party agrees that the foregoing shall not apply with
respect to any information that the Receiving Party can document (a) is or becomes generally
available to the public; or (b) was in its possession or known by it prior to receipt from the
Disclosing Party; or (c) was rightfully disclosed to it without restriction by a third party; or (d)
was independently developed without use of any Proprietary Information of the Disclosing Party.
Nothing in this Agreement will prevent the Receiving Party from disclosing the Proprietary
Information pursuant to any judicial or governmental order, provided that the Receiving Party
gives the Disclosing Party reasonable prior notice of such disclosure to contest such order. At the
termination of this Agreement, all Proprietary Information will be returned to the Disclosing
Party, destroyed or erased (if recorded on an erasable storage medium), together with any copies
thereof, when no longer needed for the purposes above, or upon request from the Disclosing
Party, and in any case upon termination of the Agreement. Notwithstanding any termination, all
confidentiality obligations of Proprietary Information that is trade secret shall continue in
perpetuity or until such information is no longer trade secret.
5.2 Usage Restrictions on Flock IP. Flock and its licensors retain all right, title and interest in
and to the Flock IP and its components, and Customer acknowledges that it neither owns nor
acquires any additional rights in and to the foregoing not expressly granted by this Agreement.
Customer further acknowledges that Flock retains the right to use the foregoing for any purpose in
Flock's sole discretion. Customer and Authorized End Users shall not: (i) copy or duplicate any of
the Flock IP; (ii) decompile, disassemble, reverse engineer, or otherwise attempt to obtain or
perceive the source code from which any software component of any of the Flock IP is compiled
or interpreted, or apply any other process or procedure to derive the source code of any software
included in the Flock IP; (iii) attempt to modify, alter, tamper with or repair any of the Flock IP,
or attempt to create any derivative product from any of the foregoing; (iv) interfere or attempt to
interfere in any manner with the functionality or proper working of any of the Flock IP; (v)
remove, obscure, or alter any notice of any intellectual property or proprietary right appearing on
or contained within the Flock Services or Flock IP; (vi) use the Flock Services for anything other
than the Permitted Purpose; or (vii) assign, sublicense, sell, resell, lease, rent, or otherwise
transfer, convey, pledge as security, or otherwise encumber, Customer's rights. There are no
implied rights.
5.3 Disclosure of Footage. Subject to and during the Retention Period, Flock may access, use,
preserve and /or disclose the Footage to law enforcement authorities, government officials, and /or
third parties, if legally required to do so or if Flock has a good faith belief that such access, use,
preservation or disclosure is reasonably necessary to comply with a legal process, enforce this
Agreement, or detect, prevent or otherwise address security, privacy, fraud or technical issues, or
emergency situations.
6. PAYMENT OF FEES
6.1 Billing and Payment of Fees. Customer shall pay the fees set forth in the applicable Order
Form based on the billing structure and payment terms as indicated in the Order Form. If
Customer believes that Flock has billed Customer incorrectly, Customer must contact Flock no
later than thirty (30) days after the closing date on the first invoice in which the error or problem
appeared to receive an adjustment or credit. Customer acknowledges and agrees that a failure to
contact Flock within this period will serve as a waiver of any claim. If any undisputed fee is more
than thirty (30) days overdue, Flock may, without limiting its other rights and remedies, suspend
delivery of its service until such undisputed invoice is paid in full. Flock shall provide at least
thirty (30) days' prior written notice to Customer of the payment delinquency before exercising
any suspension right.
6.2 Notice of Changes to Fees. Flock reserves the right to change the fees for subsequent
Renewal Terms by providing sixty (60) days' notice (which may be sent by email) prior to the
end of the Initial Term or Renewal Term (as applicable).
6.3 Late Fees. If payment is not issued to Flock by the due date of the invoice, an interest penalty
of 1.0% of any unpaid amount may be added for each month or fraction thereafter, until final
payment is made.
6.4 Taxes. Customer is responsible for all taxes, levies, or duties, excluding only taxes based on
Flock's net income, imposed by taxing authorities associated with the order. If Flock has the
legal obligation to pay or collect taxes, including amount subsequently assessed by a taxing
authority, for which Customer is responsible, the appropriate amount shall be invoice to and paid
by Customer unless Customer provides Flock a legally sufficient tax exemption certificate and
Flock shall not charge customer any taxes from which it is exempt. If any deduction or
withholding is required by law, Customer shall notify Flock and shall pay Flock any additional
amounts necessary to ensure that the net amount that Flock receives, after any deduction and
withholding, equals the amount Flock would have received if no deduction or withholding had
been required.
7. TERM AND TERMINATION
7.1 Term. The initial term of this Agreement shall be for the period of time set forth on the Order
Form (the "Terns "). Following the Term, unless otherwise indicated on the Order Form, this
Agreement will automatically renew for successive renewal terms of the greater of one year or the
length set forth on the Order Form (each, a "Renewal Terris ") unless either Party gives the other
Party notice of non - renewal at least thirty (30) days prior to the end of the then - current term.
7.2 Termination. Upon termination or expiration of this Agreement, Flock will remove any
applicable Flock Hardware at a commercially reasonable time period. In the event of any material
breach of this Agreement, the non - breaching Party may terminate this Agreement prior to the end
of the Term by giving thirty (30) days prior written notice to the breaching Party; provided,
however, that this Agreement will not terminate if the breaching Party has cured the breach prior
to the expiration of such thirty (30) day period ( "Cure Period "). Either Party may terminate this
Agreement (i) upon the institution by or against the other Party of insolvency, receivership or
bankruptcy proceedings, (ii) upon the other Party's making an assignment for the benefit of
creditors, or (iii) upon the other Party's dissolution or ceasing to do business. In the event of a
material breach by Flock, and Flock is unable to cure within the Cure Period, Flock will refund
Customer a pro -rata portion of the pre -paid fees for Services not received due to such termination.
7.3 Survival. The following Sections will survive termination: 1, 3, 5, 6, 7, 8.3, 8.4, 9, 10.1 and
10.6.
8. REMEDY FOR DEFECT; WARRANTY AND DISCLAIMER
8.1 Manufacturer Defect. Upon a malfunction or failure of Flock Hardware or Embedded
Software (a "Defect "), Customer must notify Flock's technical support team. In the event of a
Defect, Flock shall make a commercially reasonable attempt to repair or replace the defective
Flock Hardware at no additional cost to the Customer. Flock reserves the right, in its sole
discretion, to repair or replace such Defect, provided that Flock shall conduct inspection or testing
within a commercially reasonable time, but no longer than seven (7) business days after Customer
gives notice to Flock.
8.2 Replacements. In the event that Flock Hardware is lost, stolen, or damaged, Customer may
request a replacement of Flock Hardware at a fee according to the reinstall fee schedule
(https: / /www.flocksafety.com /reinstall- fee - schedule). In the event that Customer chooses not to
replace lost, damaged, or stolen Flock Hardware, Customer understands and agrees that (1) Flock
Services will be materially affected, and (2) that Flock shall have no liability to Customer
regarding such affected Flock Services, nor shall Customer receive a refund for the lost, damaged,
or stolen Flock Hardware.
8.3 Warranty. Flock shall use reasonable efforts consistent with prevailing industry standards to
maintain the Services in a manner which minimizes errors and interruptions in the Services and
shall perform the Installation Services in a professional and workmanlike manner. Services may
be temporarily unavailable for scheduled maintenance or for unscheduled emergency
maintenance, either by Flock or by third -party providers, or because of other causes beyond
Flock's reasonable control, but Flock shall use reasonable efforts to provide advance notice in
writing or by e -mail of any scheduled service disruption.
8.4 Disclaimer. THE REMEDY DESCRIBED IN SECTION 8.1 ABOVE IS CUSTOMER'S
SOLE REMEDY, AND FLOCK'S SOLE LIABILITY, WITH RESPECT TO DEFECTS.
FLOCK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR
ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT
MAY BE OBTAINED FROM USE OF THE SERVICES. EXCEPT AS EXPRESSLY SET
FORTH IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND FLOCK
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT
LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE AND NON - INFRINGEMENT. THIS DISCLAIMER ONLY
APPLIES TO THE EXTENT ALLOWED BY THE GOVERNING LAW OF THE STATE
MENTIONED IN SECTION 10.6.
8.5 Insurance. Flock will maintain commercial general liability policies as stated in Exhibit B.
8.6 Force Majeure. Parties are not responsible or liable for any delays or failures in performance
from any cause beyond their control, including, but not limited to acts of God, changes to law or
regulations, embargoes, war, terrorist acts, pandemics (including the spread of variants), issues of
national security, acts or omissions of third -party technology providers, riots, fires, earthquakes,
floods, power blackouts, strikes, supply chain shortages of equipment or supplies, financial
institution crisis, weather conditions or acts of hackers, internet service providers or any other
third party acts or omissions.
9. LIMITATION OF LIABILITY; INDEMNITY
9.1 Limitation of Liability. NOTWITHSTANDING ANYTHING TO THE CONTRARY,
FLOCK, ITS OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND
EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY
SUBJECT MATTER OF THIS AGREEMENT OR TERMS AND CONDITIONS RELATED
THERETO UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, PRODUCT
LIABILITY, OR OTHER THEORY: (A) FOR LOSS OF REVENUE, BUSINESS OR
BUSINESS INTERRUPTION; (B) INCOMPLETE, CORRUPT, OR INACCURATE DATA; (C)
COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY; (D)
FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL
DAMAGES; (E) FOR ANY MATTER BEYOND FLOCK'S ACTUAL KNOWLEDGE OR
REASONABLE CONTROL INCLUDING REPEAT CRIMINAL ACTIVITY OR INABILITY
TO CAPTURE FOOTAGE; OR (F) FOR ANY AMOUNTS THAT, TOGETHER WITH
AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID
AND /OR PAYABLE BY CUSTOMER TO FLOCK FOR THE SERVICES UNDER THIS
AGREEMENT IN THE TWELVE (12) MONTHS PRIOR TO THE ACT OR OMISSION THAT
GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT FLOCK HAS
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF
LIABILITY OF SECTION ONLY APPLIES TO THE EXTENT ALLOWED BY THE
GOVERNING LAW OF THE STATE REFERENCED IN SECTION 10.6.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE FOREGOING
LIMITATIONS OF LIABILITY SHALL NOT APPLY (I) IN THE EVENT OF GROSS
NEGLIGENCE OR WILLFUL MISCONDUCT, OR (II) INDEMNIFICATION
OBLIGATIONS.
9.2 Responsibility. Each Party to this Agreement shall assume the responsibility and liability for
the acts and omissions of its own employees, officers, or agents, in connection with the
performance of their official duties under this Agreement. Each Party to this Agreement shall be
liable for the torts of its own officers, agents, or employees.
9.3 Flock Indemnity. Flock shall indemnify and hold harmless Customer, its agents and
employees, from liability of any kind, including claims, costs (including defense) and expenses,
on account of. (i) any copyrighted material, patented or unpatented invention, articles, device or
appliance manufactured or used in the performance of this Agreement; or (ii) any damage or
injury to property or person directly caused by Flock's installation of Flock Hardware, except for
where such damage or injury was caused solely by the negligence of the Customer or its agents,
officers or employees. Flock's performance of this indemnity obligation shall not exceed the fees
paid and /or payable for the services rendered under this Agreement in the preceding twelve (12)
months.
10. INSTALLATION SERVICES AND OBLIGATIONS
10.1 Ownership of Hardware. Flock Hardware is owned and shall remain the exclusive
property of Flock. Title to any Flock Hardware shall not pass to Customer upon execution of this
Agreement, except as otherwise specifically set forth in this Agreement. Except as otherwise
expressly stated in this Agreement, Customer is not permitted to remove, reposition, re- install,
tamper with, alter, adjust or otherwise take possession or control of Flock Hardware. Customer
agrees and understands that in the event Customer is found to engage in any of the foregoing
restricted actions, all warranties herein shall be null and void, and this Agreement shall be subject
to immediate termination for material breach by Customer. Customer shall not perform any acts
which would interfere with the retention of title of the Flock Hardware by Flock. Should
Customer default on any payment of the Flock Services, Flock may remove Flock Hardware at
Flock's discretion. Such removal, if made by Flock, shall not be deemed a waiver of Flock's
rights to any damages Flock may sustain as a result of Customer's default and Flock shall have
the right to enforce any other legal remedy or right.
10.2 Deployment Plan. Flock shall advise Customer on the location and positioning of the Flock
Hardware for optimal product functionality, as conditions and locations allow. Flock will
collaborate with Customer to design the strategic geographic mapping of the location(s) and
implementation of Flock Hardware to create a deployment plan ( "Deployment Plan "). In the
event that Flock determines that Flock Hardware will not achieve optimal functionality at a
designated location, Flock shall have final discretion to veto a specific location, and will provide
alternative options to Customer.
10.3 Changes to Deployment Plan. After installation of Flock Hardware, any subsequent
requested changes to the Deployment Plan, including, but not limited to, relocating, re-
positioning, adjusting of the mounting, removing foliage, replacement, changes to heights of poles
will incur a fee according to the reinstall fee schedule located at
(https: / /w��w.flocl<safetv.com /reinstall- fee - schedule). Customer will receive prior notice and
confirm approval of any such fees.
10.4 Customer Installation Obligations. Customer is responsible for any applicable
supplementary cost as described in the Customer Implementation Guide, attached hereto as
Exhibit C ( "Customer Obligations "). Customer represents and warrants that it has, or shall
lawfully obtain, all necessary right title and authority and hereby authorizes Flock to install the
Flock Hardware at the designated locations and to make any necessary inspections or
maintenance in connection with such installation.
10.5 Flock's Obligations. Installation of any Flock Hardware shall be installed in a professional
manner within a commercially reasonable time from the Effective Date of this Agreement. Upon
removal of Flock Hardware, Flock shall restore the location to its original condition, ordinary
wear and tear excepted. Flock will continue to monitor the performance of Flock Hardware for the
length of the Term. Flock may use a subcontractor or third party to perform certain obligations
under this agreement, provided that Flock's use of such subcontractor or third party shall not
release Flock from any duty or liability to fulfill Flock's obligations under this Agreement.
11. MISCELLANEOUS
11.1 Compliance With Laws. Parties shall comply with all applicable local, state and federal
laws, regulations, policies and ordinances and their associated record retention schedules,
including responding to any subpoena request(s).
11.2 Severability. If any provision of this Agreement is found to be unenforceable or invalid, that
provision will be limited or eliminated to the minimum extent necessary so that this Agreement
will otherwise remain in full force and effect.
11.3 Assignment. This Agreement is not assignable, transferable or sublicensable by either Party,
without prior consent. Notwithstanding the foregoing, either Party may assign this Agreement,
without the other Party's consent, (i) to any parent, subsidiary, or affiliate entity, or (ii) to any
purchaser of all or substantially all of such Party's assets or to any successor by way of merger,
consolidation or similar transaction.
11.4 Entire Agreement. This Agreement, together with the Order Form(s), the reinstall fee
schedule (https: / /www.flocksafety.com /reinstall- fee - schedule), and any attached exhibits are the
complete and exclusive statement of the mutual understanding of the Parties and supersedes and
cancels all previous or contemporaneous negotiations, discussions or agreements, whether written
and oral , communications and other understandings relating to the subject matter of this
Agreement, and that all waivers and modifications must be in a writing signed by both Parties,
except as otherwise provided herein. None of Customer's purchase orders, authorizations or
similar documents will alter the terms of this Agreement, and any such conflicting terms are
expressly rejected. Any mutually agreed upon purchase order is subject to these terns. In the
event of any conflict of terms found in this Agreement or any other terms and conditions, the
terms of this Agreement shall prevail. Customer agrees that Customer's purchase is neither
contingent upon the delivery of any future functionality or features nor dependent upon any oral
or written comments made by Flock with respect to future functionality or feature.
11.5 Relationship. No agency, partnership, joint venture, or employment is created as a result of
this Agreement and Parties do not have any authority of any kind to bind each other in any respect
whatsoever. Flock shall at all times be and act as an independent contractor to Customer.
11.6 Governing Law; Venue. This Agreement shall be governed by the laws of the state in
which the Customer is located. The Parties hereto agree that venue would be proper in the chosen
courts of the State of which the Customer is located. The Parties agree that the United Nations
Convention for the International Sale of Goods is excluded in its entirety from this Agreement.
11.7 Special Terms. Flock may offer certain special terms which are indicated in the proposal
and will become part of this Agreement, upon Customer's prior written consent and the mutual
execution by authorized representatives ( "Special Terms "). To the extent that any terms of this
Agreement are inconsistent or conflict with the Special Terms, the Special Terms shall control.
11.8 Publicity. Flock has the right to reference and use Customer's name and trademarks and
disclose the nature of the Services in business and development and marketing efforts.
11.9 Feedback. If Agency or Authorized End User provides any suggestions, ideas, enhancement
requests, feedback, recommendations or other information relating to the subject matter
hereunder, Agency or Authorized End User hereby assigns to Flock all right, title and interest
(including intellectual property rights) with respect to or resulting from any of the foregoing.
11.10 Export. Customer may not remove or export from the United States or allow the export or
re -export of the Flock IP or anything related thereto, or any direct product thereof in violation of
any restrictions, laws or regulations of the United States Department of Commerce, the United
States Department of Treasury Office of Foreign Assets Control, or any other United States or
foreign Customer or authority. As defined in Federal Acquisition Regulation ( "FAR "), section
2.101, the Services, the Flock Hardware and Documentation are "commercial items" and
according to the Department of Defense Federal Acquisition Regulation ( "DFAR') section
252.2277014(a)(1) and are deemed to be "commercial computer software" and "commercial
computer software documentation." Flock is compliant with FAR Section 889 and does not
contract or do business with, use any equipment, system, or service that uses the enumerated
banned Chinese telecommunication companies, equipment or services as a substantial or essential
component of any system, or as critical technology as part of any Flock system. Consistent with
DFAR section 227.7202 and FAR section 12.212, any use, modification, reproduction, release,
performance, display, or disclosure of such commercial software or commercial software
documentation by the U.S. Government will be governed solely by the terns of this Agreement
and will be prohibited except to the extent expressly permitted by the terms of this Agreement.
11.11 Headings. The headings are merely for organization and should not be construed as adding
meaning to the Agreement or interpreting the associated sections.
11.12 Authority. Each of the below signers of this Agreement represent that they understand this
Agreement and have the authority to sign on behalf of and bind the Parties they are representing.
11.13 Conflict. In the event there is a conflict between this Agreement and any applicable statement
of work, or Customer purchase order, this Agreement controls unless explicitly stated otherwise.
11.14 Public Disrepute. In the event Customer or its employees become the subject of an indictment,
arrest, public disrepute, contempt, scandal or behaves in a manner that, in the reasonable judgment of
Flock, reflects unfavorably upon Flock, and /or their officers or principals, licensees, such act(s) or
omission(s) shall constitute a material breach of this Agreement and Flock shall, in addition to any
other rights and remedies available to it hereunder, whether at law or in equity, have the right to elect
to terminate this Agreement.
11.15 Notices. All notices under this Agreement will be in writing and will be deemed to have
been duly given when received, if personally delivered; when receipt is electronically confirmed,
if transmitted by email; the day after it is sent, if sent for next day delivery by recognized
overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt
requested.

INSURANCE
Required Coverage. Flock shall procure and maintain for the duration of this Agreement insurance
against claims for injuries to persons or damages to property that may arise from or in connection
with the performance of the services under this Agreement and the results of that work by Flock
or its agents, representatives, employees or subcontractors. Insurance shall be placed with insurers
with a current A. M. Best rating of no less than "A" and "VIP'. Flock shall obtain and, during the term of
this Agreement, shall maintain policies of professional liability (errors and omissions), automobile liability, and
general liability insurance for insurable amounts of not less than the limits listed herein. The insurance policies shall
provide that the policies shall remain in full force during the life of the Agreement.
Types and Amounts Required. Flock shall maintain, at minimum, the following insurance coverage for the duration
of this Agreement:
(i) Commercial General Liability insurance written on an occurrence basis with minimum limits of One Million
Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) in the aggregate for bodily injury, death,
and property damage, including personal injury, contractual liability, independent contractors, broad -form property
damage, and product and completed operations coverage;
(ii) Umbrella or Excess Liability insurance written on an occurrence basis with minimum limits of Ten Million
Dollars ($10,000,000) per occurrence and Ten Million Dollars ($10,000,000) in the aggregate;
(iii) Professional Liability /Errors and Omissions insurance with minimum limits of Five Million Dollars
($5,000,000) per occurrence and Five Million Dollars ($5,000,000) in the aggregate;
(iv) Commercial Automobile Liability insurance with a minimum combined single limit of One Million Dollars
($1,000,000) per occurrence for bodily injury, death, and property coverage, including owned and non -owned and
hired automobile coverage; and
(v) Cyber Liability insurance written on an occurrence basis with minimum limits of Five Million Dollars
($5,000,000).

Bailey Ranch Golf Clubhouse Water Damage Restoration
August 11, 2023
On July 8th, a fire suppression sprinkler head in the attic of the Bailey Ranch Golf Clubhouse
malfunctioned resulting in several areas of the clubhouse incurring water damage. Servpro of
South Tulsa Incorporated was contracted to begin the mitigation, drying /cleanup process, in
order to reduce the risk of further damage. The drying process included removal of wet insulation,
flooring in the front office, as well as wood trim. The drying expenses and estimated cost of
restoration exceeds the City's $25,000.00 property insurance policy deductible, and a claim has
been filed with Oklahoma Municipal Assurance Group (OMAG). Because of the scope of the
damage, a request for proposals to repair and restore the affected areas to their original condition
was sent to various vendors and advertised on the City's website.
BID ANALYSIS:
This project was advertised and vendors toured the facility to gain knowledge of the scope of
work before submitting a bid. Staff anticipated the project would include sheetrock repair,
flooring replacement, wood trim installation, cosmetic paint and stain, along with replacing the
necessary insulation in the attic space.
Sealed bids were received and opened on August 9th, with three vendors submitting a bid:
J &S Construction $20,780.00
Servpro $41,371.81
Limestone Construction $58,720.00
Upon review of the bids, staff contacted J &S Construction, an individual, for post project
references. Following a review of the information received, staff determined the overall capacity
to complete the restoration project in the desired quality and timeframe is unlikely to be achieved.
Staff determined the bid received from ServPro is most advantageous to the City.
FUNDING:
Funding for repairs will be from the General Liability /Self- Insurance Fund. Reimbursement for
expenses over the $25,000.00 deductible will be receipted back to the General Liability /Self-
Insurance Fund.

Staff recommends authorization for payment from the General Liability /Self- Insurance Fund in the
amount of $41,371.81 for restoration of the Bailey Ranch Golf Clubhouse, contingent upon

OPGA RECOMMENDATION:
Staff recommends awarding the restoration contract to Servpro of South Tulsa County of Tulsa,
Oklahoma, in the amount of $41,371.81 and authorization to execute all necessary documents.

Dear Mr. Stevens:
Enclosed is Permit No. SL000072230600 for the construction of 2,300 linear feet of eight (8) inch PVC
sanitary sewer line and all appurtenances to serve the Reserves at Owasso, Tulsa County, Oklahoma.
The project authorized by this permit should be constructed in accordance with the plans approved by this
Department on July 27, 2023. Any deviations from the approved plans and specifications affecting capacity,
flow or operation of units must be approved, in writing, by the Department before changes are made.
Receipt of this permit should be noted in the minutes of the next regular meeting of the City of Owasso,
after which it should be made a matter of permanent record.
We are returning one (1) set of the approved plans to you, one (1) set to your engineer and retaining one
(1) set for our files.

Pursuant to O.S. 27A 2 -6 -304, the City of Owasso is hereby granted this Tier I Permit to construct 2,300
linear feet of eight (8) inch PVC sanitary sewer line and all appurtenances to serve the Reserves at Owasso,
located in Section 9, T -21 -N, R -14 -E, Tulsa County, Oklahoma, in accordance with the plans approved July
27, 2023.
By acceptance of this permit, the permittee agrees to operate and maintain the facilities in accordance with
the "Oklahoma Pollutant Discharge Elimination System Standards - OPDES' (OAC 252:606) rules and to
comply with the state certification laws. Title 59, Section 1101 -1116 O.S. and the rules and regulations
adopted thereunder regarding the requirements for certified operators.
This permit is issued subject to the following provisions and conditions.
1) That the recipient of the permit is responsible that the project receives supervision and inspection
by competent and qualified personnel.
2) That construction of all phases of the project will be started within one year of the date of approval
or the phases not under construction will be resubmitted for approval as a new project.
3) That no significant information necessary for a proper evaluation of the project has been omitted
or no invalid information has been presented in applying for the permit.
4) That wherever water and sewer lines are constructed with spacing of 10 feet or less, sanitary
protection will be provided in accordance with OAC 252:656- 5- 4(c)(3) of the standards for Water
Pollution Control Facility Construction.
5) That tests will be conducted as necessary to ensure that the construction of the sewer lines will
prevent excessive infiltration and that the leakage will not exceed 10 gallons per inch of pipe
diameter per mile per day.
6) That the Oklahoma Department of Environmental Quality shall be kept informed of occurrences
which may affect the eventual performance of the works or that will unduly delay the progress of
the project.
7) That the permittee will take steps to assure that the connection of house services to the sewers is
done in such a manner that the functioning of the sewers will not be impaired and that earth and
ground water will be excluded from the sewers when the connection is completed.
8) That any deviations from approved plans or specifications affecting capacity, flow or operation of
units must be approved by the Department before any such deviations are made in the construction
of this project.

9) That any notations or changes recorded on the official set of plans and specifications in the
Oklahoma Department of Environmental Quality files shall be part of the plans as approved.
10) That the recipient of the permit is responsible for the continued operation and maintenance of these
facilities in accordance with rules and regulations adopted by the Environmental Quality Board, and
that this Department will be notified in writing of any sale or transfer of ownership of these facilities.
11) The issuance of this permit does not relieve the responsible parties of any obligations or liabilities
which the permittee may be under pursuant to prior enforcement action taken by the Department.
12) That the permittee is required to inform the developer /builder that a DEQ Storm Water Construction
Permit is required for a construction site that will disturb one (1) acre or more in accordance with
OPDES, 27A O.S. 2 -6 -201 et. seq. For information ore copy of the GENERAL PERMIT (OKR10)
FOR STORM WATER DISCHARGES FROM CONSTRUCTION ACTIVITIES, Notice of Intent
(NOI) form, Notice of Termination (NOT) form, or guidance on preparation of a Pollution Prevention
Plan, contact the Storm Water Unit of the Water Quality Division at P.O. Box 1677, Oklahoma City,
OK 73101 -1677 or by phone at (405) 702 -8100.
13) That all manholes shall be constructed in accordance with the standards for Water Pollution Control
Facility Construction (OAC 252:656 -5 -3), as adopted by the Oklahoma Department of
Environmental Quality.
14) That when it is impossible to obtain proper horizontal and vertical separation as stipulated in Water
Pollution Control Facility Construction OAC 252:656- 5- 4(c)(1) and OAC 252:656- 5- 4(c)(2),
respectively, the sewer shall be designed and constructed equal to water pipe, and shall be
pressure tested using the ASTM air test procedure with no detectable leakage prior to backfilling,
in accordance with the standards for Water Pollution Control Facility Construction OAC 252:656-5 -
4(c)(3).
Failure to appeal the conditions of this permit in writing within 30 days from the date of issue will constitute
acceptance of the permit and all conditions and provisions.
