HomeMy WebLinkAbout1992.01.06_OPGA Minutes_SpecialOWASSO PUBLIC GOLF AUTHORITY MINUTES OF SPECIAL MEETING Monday, January 6, 1992, 5; 30 p.m. Owasso City Hall Conference Room MEEMBERS PRESENT MEMIBERS ABSENT STAFF PRESENT Brian Skelton Tom Rikkola Marcia Boutwell Glenna Anderson Rodney Ray Ed Sokolosky Ron Cates Bob Oldefest Steve Compton The Owasso Public Golf Authority met in a special session on Monday, January 6, 1992 at 5:30 p.m. in the Owasso City Hall Conference Room per the Notice of Public Meeting posted on the City Hall bulletin board at 2:00 p.m. on Thursday, January 2, 1992. ITEM 1: CALL TO ORDER `lice -Chairperson Brian Skelton called the meeting to order at 5 e 35 p.m. and declared a quorum present. NG L C ' •••• AND , c j ` 99 SPECIAL After reviewing the minutes of the four special meetings, Bob Oldefest moved that they be approved. The motion was seconded by Ed Sokolosky and carried 4-0. ITEM 3: CONSIDER ADOPTIONOF 92-01 AUTHORIZING AMENDMENT• THE DECLARATION OF OWASSO PUBLIC GOLF AUTHORITY. AND AUTHORIZING EXECUTION OF DOCUMENTS Mr. Cates and Mr. Hawkins explained that the Declaration of Trust needs to be amended to set term limits on the Trustees. There was discussion concerning staggering the years in which Trustees are appointed, with two options being presented. In one plan one Trustee would be appointed at the end of 11, 12, 13, 14, & 15 years from the date of adoption of this resolution, with each Trustee serving for 15 years from the date of appointment. In the other plan one Trustees would be appointed at the end of 3, 6, 9, 12, & 15 years from the date of adoption of this resolution, with each Trustee serving for 15 years from the date of appointment. After discussing the merits of each plan and the need for term limits, Bob Oldefest moved to adopt Resolution 92-01 with the original terms of office being 11, 12, 13, 14, & 15 years. The motion was seconded by Ed Sokolosky and carried 4-0. Owasso Public Golf Authority Minutes of January 6, 1992 Page 2 ITEM 4: REQUEST FOR APPROPRIATE TRUSTEE ACTION RELATING TO THE POSITION OF BOND COUNSEL TO THE AUTHORITY. IT IS THE INTENT OF THIS AGENDA ITEM TO PROVIDE A FINAL RESOLUTION TO THE ISSUE OF BOND COUNSEL AND WILL INCLUDE A SPECIFIC REQUEST FOR TRUSTEE ACTION EITHER TO WORK WITH THE FIRM OF PHILLIPS, MCFALL. MCCAFFREY MCVAY & MURRAH AS PER EXISTING CONTRACT OR TO UTILIZE THE FIRM OF HILBORNE & WEIDMAN AS BOND COUNSEL AS PER A REQUEST FROM S_TIFEL NICOLAUS & CO. This item was stricken from the agenda as an agreement had been reached between the parties which did not require Trustee action. ITEM 5: TRUSTEE ACTION ON RESOLUTION #92-02, A RESOLUTION AUTHORIZINGOF • TO :11 111 OWASSO PUBLIC GOLF AUTHORITY► • BONDS, SERIES 1992, WAIVING COMPETITIVE BIDDTNG ON SAID BONDS AND AUTHORIZING THE SALE OF THE BONDS AT A DISCOUNT, APPROVING PROJECT AGREEMENTS, AUTHORIZING A BOND INDENTURE • CONTRACT OF PURCHASE John Weidman explained the resolution authorizing the issuance of bonds, waiving competitive bidding, authorizing the sale of bonds at a discount, approving project agreements, and authorizing a bond indenture and contract of purchase. There was much discussion concerning the need for a project agreement. Following a lengthy discussion, Glenna Anderson moved to adopt Resolution 92-02 with the inclusion of a statement that Terry Hawkins shall act as Bond Counsel for the Authority in connection with the issuance, sale and delivery of the bonds. The motion was seconded by Ed Sokolosky and carried 4-0. Mr. Weidman discussed the ate exception questionsconcerning Owasso Public Golf Authority Minutes of January 6, 1992 Page 3 The Chair called for a special meeting of the Authority at 5:30 p.m on Thursday, January 9, 1992 to discuss and take appropriate action on the selection of a contractor for the construction of a municipal golf facility.
