Approval of a public fireworks display sponsored by Rejoice Christian High School during the Friday, October 12, 2007 football game to be held at Ator Field, located northwest of the intersection of E. 86th Street North and N. MEMORANDUM TO: THE HONORABLE MAYOR AND COUNCIL CITY OF OWASSO FROM: TIMOTHY D. ROONEY ASSISTANT CITY MANAGER SUBJECT: REQUEST FOR AUTHORIZATION TO DISCHARGE FIREWORKS REJOICE CHRISTIAN SCHOOL DATE: October 1, 2007 BACKGROUND: The staff has received a request from Rejoice Christian High School for an item to be placed on the City Council agenda for consideration to approve the discharge of fireworks before their homecoming football game to be played at Ator Field northwest of the intersection of E. 86th Street North and N. Main Street. City Code requires approval from the City Council for any public display of fireworks within the city. Attached is a copy of that section of the Code. The representatives from Rejoice have met with representatives of the Fire Department to coordinate the event and address safety concerns. All requirements established by the Fire Department have been addressed. RECOMMENDATION: Staff recommends Council approval of the request to discharge fireworks during the October 12, 2007 homecoming football game for the Rejoice Eagles. ATTACHMENT: 1. Committing any other act in such a manner as to unreasonably disturb or alarm the public. (Prior Code, Secs. 14 -41, 14 -42, 14 -55, 14 -56) SECTION 10 -302 INSULTING SIGNS. LITERATURE OR LANGUAGE A. It is unlawful for any person, firm or corporation within the city to display any sign, emblem, badge, flag or device, which in its common acceptance is insulting, profane, or abusive to the citizens of the city, and which is calculated, or of which the natural consequence is, to cause a breach of the peace or an assault. B. It is unlawful for any person to willfully use, utter, publish, circulate or distribute any profane, violent, abusive, or insulting language or literature where: 1. A natural consequence of the language or literature is to cause a breach of the peace or an assault; or 2. The language or literature, in its common acceptance, is calculated to cause a breach of the peace or an assault. (Prior Code, Sec. 14 -58) SECTION 10 -303 LITERATURE OR LANGUAGE RIDICULING RELIGION It is unlawful for any person to utter, publish, distribute or circulate any literature or language within the corporate limits of the city that casts profane ridicule on any deity, or any religion, which in its common acceptance is calculated or where the natural consequence is to cause a breach of the peace or an assault. (Prior Code, Sec. 14 -59) SECTION 10 -304 FIREWORKS PROHIBITED A. Except as provided in Subsection B of this section the sale, use, display, firing, igniting, lighting or discharge of fireworks within the city is unlawful and an offense. B. The following are exceptions to the prohibitions in Subsection A: 1. The firing, igniting or lighting of the following are exempt from the prohibition contained in Subsection A of this section: sparklers, fountains, pinwheels and all such types of fireworks that are not explosive or noise making in character and are stationary. Not included in this exception are Roman candles, bottle rockets and sky rockets; 2. The city council may, for the common good, approve and sponsor a public display of fireworks within the city celebrating Independence Day. The public display of fireworks must meet each of the following requirements: a. The group organizing the event and igniting the fireworks must obtain the city council's specific approval for the event; b. The event must be open to the public, free of charge; Page 10 -16 uttenses ana urimes C. The use, display, firing, ignition, lighting and discharge of the fireworks must be done in the presence of an authorized representative of the city fire department; and d. The group(s) organizing the event and igniting the fireworks must indemnify and hold the city harmless for any damage caused by the event and provide an insurance policy, with the city named as an insured, covering and protecting the city from liability to the extent it is not immune by state law. SECTION 10 -305 STORING OR KEEPING EXPLOSIVES It is unlawful for any person to store or keep within the city any nitroglycerin, dynamite, gunpowder, or any other highly explosive material or substance, except that gunpowder may be kept in quantities of not to exceed five (5) pounds where the same is securely kept. SECTION 10 -306 CARRYING WEAPONS; EXCEPTIONS A. It is unlawful for any person, except those persons authorized by law, to carry upon or about their persons or in their vehicles any weapon of the kind usually known as slingshot, bowie knife, dirk knife, switchblade knife, spring -type knife, knife having a blade which opens automatically by hand pressure applied to a button, spring or other device in the handle of the knife, loaded cane, billy, metal knuckles, or any other offensive or defensive weapon, excluding firearms, the carrying of which is governed by State law. B. Any person stopped pursuant to a moving traffic violation who is transporting a loaded pistol in the motor vehicle without a valid concealed handgun permit authorized by the Oklahoma Self - Defense Act or a valid license from another state, whether the loaded firearm is concealed or open in the vehicle, shall be issued a traffic citation in the amount of Seventy Dollars ($70.00), or such amount as may otherwise be provided in 21 O.S. § 1289.13A (A), plus court costs, for transporting a firearm improperly. In addition to the traffic citation provided in this ordinance, the person may additionally be arrested for any other violation of law. C. When the arresting officer determines that a valid handgun license exists, pursuant to the Oklahoma Self- Defense Act or any provision of lay from another state, for any person in the stopped vehicle, any firearms permitted to be carried pursuant to the license shall not be confiscated unless: 1. The person is arrested for violating another provision of law other that that set forth in subsection (B) of this ordinance; provided, however, if the person is never charged with an offense pursuant to this paragraph or if the charged are dismissed or the person is acquitted, the weapon shall be returned to the person. 2. The officer has probable cause to believe the weapon is: a. contraband; or b. a firearm used in the commission of a crime other than a violation of subsection (B) of this ordinance. PROCLAMATION CITY OF OWASSO, OKLAHOMA WHEREAS, The City of Owasso is committed to ensuring the safety and security of all those living in and visiting our city; and WHEREAS, Fire is a serious public safety concern both locally and nationally, and homes are the locations where people are at the greatest risk; and, WHEREAS, The nonprofit National Fire Protection Association (NFPA) has documented through its research that home fires killed 3,030 people in the U.S. in 2005 — roughly eight people every day; and WHEREAS, Owasso's first responders are dedicated to reducing the occurrence of home fires and home fire injuries through prevention and protection education; and, WHEREAS, Owasso residents are responsive to public education measures and have taken personal steps to increase their safety from fire; and, WHEREAS, Residents who have planned and practiced a home fire escape plan are more prepared and will therefore be more likely to survive afire; and WHEREAS, The 2007 Fire Prevention Week theme, "It's Fire Prevention Week - Practice Your Escape Plan! ", effectively serves to remind us of the simple actions we can take to stay safer from fire all year- round. NOW, THEREFORE, I, Stephen Cataudella, by virtue of the authority vested in me as Mayor of the City of Owasso, do hereby proclaim October 7- 13, 2007 as FIR-E PREVENTION WEEK in the City of Owasso and urge all Citizens to heed the important safety messages of Fire Prevention Week 2007, and support the many public safety activities and efforts of Owasso's fire and emergency services. ALEXANDER PROJECT MANAGER SUBJECT: AGREEMENT FOR URBAN ENGINEERING SERVICES CITY DESIGN CRITERIA DATE: September 12, 2007 BACKGROUND: At the May 17, 2005, City Council meeting, the Engineering Design Criteria, Construction Standards and Standard Details were adopted by the City Council. Documents required as a result of that adoption includes an agreement by the developer's engineer titled "Agreement for Urban Engineering Services." This agreement requires the engineer to list all improvements associated with the proposed development, attest that all designs will be in compliance with City standards (outlined in the design criteria), pay all fees associated with the plan review, attest that he /she is a Registered Professional Engineer in the State of Oklahoma and attest that he /she maintains Professional Liability Insurance in limits of not less than $1,000,000 for a period of three years. The Agreement for Urban Engineering Services requires the signature of the Mayor. In February of 2006, the City Council acted on Agreements submitted to -date and approved a process for the approval of subsequent Agreements under the consent agenda. The Design Engineer shall, in conformity with the provisions of the City's Standard Specifications for Urban Engineering Services, including the City's current design criteria, which are hereby incorporated and made a part of this Contract by reference, prepare project plans, specifications, and other engineering documents as may be necessary for the proper construction of the project improvement, and shall perform all construction layout surveys, and staking and periodic general construction supervision on the project improvements as they are constructed by the Owner and his Contractor. 3. The City shall review (and approve) the project plans, specifications, and other engineering documents for the construction of the project improvements prepared and submitted to the City by the Design Engineer. 4. The Design Engineer shall compensate the City for reviewing (and approving) plans and specifications for the project at the rate of Fifty Dollars ($50.00) for each plan sheet submitted (other than plan sheet Standards of the City of Owasso or of the Oklahoma Department of Transportation), except that the minimum charge for each project shall be One Hundred -fifty Dollars ($150.00). Payment shall be due and payable upon presentation of the plans and specification for the project for review by the City. PFPI plan review and permit fees are waived for governmental entities. No fees shall be collected by the City of Owasso on any public work or improvement performed by or for any city, county, state, or federal governmental entity; provided however, that this exemption shall not constitute waiver of any ordinance requiring the APPENDIX B, PART II AGREEMENT FOR URBAN ENGINEERING SERVICES 5.18.05 City of Owasso issuance of such-permits, and it shall apply only to such permits issued directly to the governmental entity involved. 5. The Design Engineer hereby covenants that he is a Registered Professional Engineer in the State of Oklahoma at the time of execution of this Contract, and should the Design Engineer cease to be a Registered Professional Engineer prior to completing performance of the terms and conditions of this Contract, the Design Engineer shall immediately notify the City and shall engage a Registered Professional engineer acceptable to the City to complete performance of the promises and covenants contained herein. 6. The Design Engineer further covenants and agrees that he maintains and is covered by Professional Liability Insurance in limits of not less than $1,000,000 and that he will maintain same in continuous force and effect for a period of not less than three years from and after final acceptance of the project herein. 7. The sanitary sewer system for Lake Valley II -IV consists of approximately 3,527 L.F. of 12 -inch PVC, 1,373 L.F. of 10 -inch PVC, and 13,735 L.F. of 8 -inch PVC sanitary sewer line. Design of the sanitary sewer system was reviewed and approved by Public Works Engineering staff on October 23, 2006. The City of Owasso Design Criteria and Construction Standards states a developer has two (2) years from the time the City approves the plans to begin construction. This developer has chosen to build and complete Lake Valley II at this time and will begin Lake Valley III during the fall of 2007. The developer must begin construction on Lake Valley IV on or before October 23, 2008, otherwise plans must be resubmitted to Public Works for approval. ODEQ has two (2) minimum regulatory standards for acceptance of a sanitary sewer system; percentage and velocity. After completion of Lake Valley II as -built plans revealed that the sanitary sewer system was not installed to ODEQ minimum percentage slope standards but did meet the velocity standards. ODEQ percentage slope standards state that an eight (8) inch PVC sanitary sewer line must be installed with a minimum slope of 4.8 inches (.40) per 100 feet. ODEQ velocity standards require the same PVC line to have a minimum velocity of 2.0 feet per second. The minimum slope to achieve this velocity is 3.96 inches (.33) per 100 feet. If a line is installed between the two standards a written request for a variance is required. This request for a variance does not affect the functionality or routine maintenance of the sewer system. A letter was submitted to ODEQ by the Public Works Director (see Attachment B) requesting a variance to the ODEQ standards. On July 23, 2007, ODEQ approved the request and reissued the sanitary sewer permit (see Attachment Q. Washington County RWD #3 supplies and has approved the water for this project (see Attachment D). FINAL INSPECTIONS: A final inspection for the sanitary sewer system was conducted on February 15, 2007. All items identified at the final inspection requiring correction to meet city standards have been completed. The construction contractor has provided the required one -year maintenance bond for the system (see Attachment E). The systems include approximately 6,520 linear feet of eight (8) inch PVC potable water line, 5,650 linear feet of six (6) inch PVC potable water line, 1,210 linear feet of four (4) inch PVC potable water line, 14,728 linear feet of eight (8) inch PVC sanitary sewer line including all appurtenances, storm drainage and asphalt streets. The water and sanitary sewer systems have been approved by the State of Oklahoma Department of Environmental Quality (see Attachment B). Design of the storm drainage, streets, water and sanitary sewer systems were reviewed and approved by both Public Works Engineering staff and Meshek & Associates, Inc., staff in September of 2006. FINAL INSPECTIONS: The final inspection for storm drainage, streets, water and sanitary sewer systems was conducted on September 21, 2007. All items identified at the final inspection requiring correction to meet city standards have been completed. The construction contractor has provided the required two - year maintenance bonds for the storm drainage, streets, water and sanitary sewer systems. A five -year maintenance bond was submitted for the stamped concrete roadway at the North 97th East Avenue entrance (see Attachment C). This grant is made available by the Oklahoma Highway Safety Office. The purpose of the grant is to provide Oklahoma law enforcement agencies with resources to reduce the number of injury /fatality accidents throughout the State. On July 26, 2007, the Oklahoma Highway Safety Office notified the Owasso Police Department that $92,000 had been awarded, with $42,000 being dedicated to overtime expenditures for traffic enforcement and $50,000 dedicated towards the purchase of traffic enforcement equipment. The anticipated equipment to be purchased includes in- car video cameras and related operating equipment. The purchase of in -car video systems is consistent with objectives set forth in the department's FY 2007 -2008 Strategic Plan. In addition to the grant referenced above, the department received a $3,000 incentive award from the Oklahoma Highway Safety Office for participating in the statewide "Click it or Ticket" mobilization conducted in May, 2007. This incentive award is to be used toward the purchase of an in -car video camera. There is no match requirement for the grant or incentive award; however, as part of the grant application the Owasso Police Department will be responsible for fuel and maintenance of police patrol vehicles used for overtime traffic patrols. The grant and incentive awards are funded on a cost reimbursement concept. The Police Department will expend monies through its existing budget and subsequently claim reimbursement from the Oklahoma Highway Safety Office. In order to receive grant funding, the City of Owasso /Owasso Police Department must enter into a contract with the Oklahoma Highway Safety Office for management of the grant. The city has experienced a population growth of 110.7% from 1994 through 2006. The population is currently estimated at 28,000. Growth in retail /restaurant business, schools and the addition of two hospitals has resulted in traffic congestion and increases in motor vehicle collisions. According to Department records, Motor Vehicle Collisions rose from 491 in 2005 (a 9.4% increase from 2004) to 564 in 2006, a 14.9% increase. According to department records collisions resulting in reported injuries increased 39% comparing the years 2005 and 2006. From the year 1994 to the year 2006 Owasso has experienced a 375.9% increase in the number of reported motor vehicle collisions. Referencing Oklahoma Highway Safety Office statistics, Owasso's Motor Vehicle Collisions due to unsafe speed were 29 in 2004 and 30 in 2005. Of the 29 speed related motor vehicle collisions in 2004, 10 involved injuries and of the 30 speed related motor vehicle collisions in 2005, 11 involved injuries. Owasso experienced two fatality collisions in 2006 and one collision that involved the permanent paralysis of a five -year child due to that child not being restrained in the vehicle. A 2005 Seatbelt Survey revealed that the Seatbelt usage rate for the City of Owasso was at 66% percent. An identical Seatbelt Survey in 2006 revealed that the Seatbelt usage rate increased to 77 %, an 11% increase. This increase is believed to be a direct result of enforcement efforts; however, 77% is significantly less than Tulsa County's 90.7 usage rate and the State usage rate of 83.7 %. PROJECT GOAL (Section 12) The goal of the Owasso Traffic Safety Initiative is to reduce the number of fatal crashes within the City's jurisdiction from 2 in 2006 to 1 in 2008; to decrease the percentage of vehicles speeding on Owasso thoroughfare roadways from a surveyed total of 78% in 2006 to 74% in 2008, and to increase the current safety belt use rate of 77% of motor vehicle drivers / passengers for 2006 to 80% in 2007. In order to address the current motor vehicle collision rate, reduce the frequency of injury and fatal crashes and address seatbelt usage, Owasso intends to utilize the OHSO funds for equipment, overtime enforcement and public information programs. By addressing Owasso's seatbelt usage rate and vehicle speeding rate the Owasso Police Department intends to decrease the amount of injury and fatality collisions. K, PROJECT DESCRIPTION (Section 13) The Owasso Traffic Safety Initiative will be managed to support the stated goal of reducing the number of injury and fatality crashes within the City's jurisdiction from 2 in 2006 to 1 in 2008; to increase the safety belt use rate to 80% in 2008 and to decrease the percentage of vehicles speeding on Owasso thoroughfare roadways from a surveyed total of 78% in 2006 to 74% in 2008. This will be achieved by Owasso police officers working outside their normal work schedules on an overtime traffic enforcement basis. Shifts will be scheduled to coincide with peak traffic hours; focusing on safety belt use and traffic violations that are most likely to result in motor vehicle collisions, i.e. speeding, stop sign / red light running, aggressive driving and DUI / DWI violations. Officers will concentrate their activities on locations identified as high risk intersections and high risk thoroughfares. In order to effectively address speed related and aggressive driving related issues throughout the city, the Police Department will utilize OHSO funded radar systems to decrease the amount of speeding in Owasso's neighborhoods and thoroughfares as well as decrease the amount of speed related Motor Vehicle Collisions. The Owasso Police Department will also utilize OHSO funded in- car video camera systems to improve conviction efforts, further training standards and document enforcement efforts. These cameras will be disseminated to Officers that have exceeded in the area of traffic enforcement. Currently the Owasso Police Department does not utilize in -car video recording systems and is asking to equip 10 of the Departments 43 vehicles. The camera systems requested are Digital /Downloadable Recording Systems that require an initial start up cost for in- car equipment as well as a stored -base serer equipment and transmission antennas. Proiect Personnel The role of the Project Director /Deputy Chief of Police will include approximately 120 hours of Grant management, information reporting, data entry, coordination of grant initiatives and equipment management. These hours will be absorbed by the Department as contributing costs for the furtherance of the Traffic Initiative Project. Front Line Supervisors and full time Field Officers will conduct overtime enforcement shifts, utilizing Grant Funds, at an approximate rate of 115 hours per month for the funded year. In addition, 12 officers will receive four hours of training on the new radar systems and 10 will receive 4 hours of training on the new camera systems for a total of 88 hours of training that will be absorbed by the department. 4 Equipment Justification (Section 14) In order to effectively address speed related and aggressive driving related issues throughout the city, the Police Department will utilize OHSO funded slick top traffic units, equipped with radar (including operator equipment and gear). These slick top traffic units will be utilized in a traffic enforcement unit. In addition, the Police Department will conduct periodic seatbelt/vehicle safety checks, utilizing OHSO funded warning equipment in order to stress occupant protection. The Owasso Police Department selected the Crown Victoria Law Enforcement slick top package to serve our Traffic Unit. Officers assigned these units will work traffic enforcement detail targeting the violations laid out in the Problem Identification section of this application. Cost Assumption (Section 16) The Owasso Police Department will continue to seek financial commitment from the city to continue the traffic safety project provided in this grant once federal funding ceases. This can be accomplished by budgeting commitments for equipment and overtime costs, as well as through the solicitation of support and funding from the police and city administration and the city council. Grantee is confident the income generated through fines and bonds generated by this project, in addition to the effectiveness of the grant project by furthering our crash reduction efforts, will be sufficient evidence to solicit financial support for future self- funding of this program. Further, Owasso City Management has committed to the hiring of at least five additional Officers, per year, for the next five years, budget permitting. CITY ENGINEER SUBJECT: AGREEMENT FOR GAS FACILITIES RELOCATION WITH OKLAHOMA NATURAL GAS COMPANY - NORTH 129TH EAST AVENUE — PHASE 2 ROADWAY AND DRAINAGE IMPROVEMENTS DATE: September 24, 2007 BACKGROUND: Included in the Capital Improvements Plan, this project consists of improvements to N. 129th East Avenue to include new, five -lane, Portland cement concrete paving between East 76th Street North and East 86th Street North and between East 86h Street North and East 93rd Street North, drainage improvements along its full length and permanent signalizatiori at the Owasso High School and Owasso 6d' Grade Center. The Advertisement for Bids was published in the Owasso Reporter on July 12, 2007, and a mandatory pre -bid meeting was held at Owasso City Hall on August 2, 2007. Bids for the project were received and opened on August 13, 2007; Becco Contractors was the apparent low bidder. Council awarded the contract to Becco during its regularly scheduled meeting of August 21, 2007. UTILITY RELOCATION: American Electric Power — Public Service Company of Oklahoma (AEP -PSO), Southwestern Bell (AT &T /SBC), Oklahoma Natural Gas (ONG) and Cox Communications have engineered the relocation of utilities to allow for the construction of the improvements. All utilities, except for ONG's, are located within the public ROW and have no dedicated easements thus relocation will be at no expense to the City. ONG currently owns and operates approximately 10,680 linear feet of 4" and 410 linear feet of 2" low and medium pressure distribution pipelines within the limits of the project. Of this total length, 595 linear feet require relocation because of project requirements. Of this relocation length, 250 linear feet are located outside the public ROW and within a privately owned easement. This portion will have to be relocated at an estimated cost to the City of $33,164.00 including material, labor, and contract administration. Page 2 Agreement For Gas Facilities Relocation North 129th East Avenue — Phase 2 Roadway and Drainage Improvements AGREEMENT FOR GAS FACILITIES RELOCATION: The Agreement (see Attachment A) contains language outlining how ONG will be reimbursed for the work and what the relocation costs will be based on: • The City will reimburse ONG within thirty (30) days of completing the work, which is estimated to be mid- November of 2007. • Relocation costs will be based on actual relocation costs. • ONG will award and pay for the work based on competitive bids or continuing contract, whichever is deemed most practical and economical by ONG. • If the contract is awarded at a higher amount than the estimate, ONG will send the City a written notice, and the City will have the right to terminate the agreement within ten (10) days of receipt of notice. • ONG easements shall be considered to retain precedence so that any City project in the future requiring additional relocations of the same facilities shall be paid by the City. The City Attorney has reviewed this agreement and found it acceptable. FUNDING: Sufficient funds remain in the Capital Improvements Fund for this project. RECOMMENDATIONS: Staff recommends Council authorization for the Mayor to execute the Agreement for Gas Facilities Relocation between Oklahoma Natural Gas Company and the City of Owasso for North 129th East Avenue — Phase2 Roadway and Drainage Improvements and authorization for the City Manager to terminate the agreement (as allowed by paragraph 6 of the agreement) if revised estimates submitted by ONG become more than $33,164.00 prior to commencement of construction. CITY OF OWASSO TULSA COUNTY Oklahoma Natural Gas Company, a Division of ONEOK, Inc., hereinafter called "Company," owns various medium - pressure and low- pressure distribution natural gas pipelines within the construction limits of the referenced project in the City of Owasso, Tulsa County, Oklahoma, which Company utilizes in the discharge of its duties as a public service corporation. City of Owasso, Oklahoma, a municipal corporation, hereinafter called "City," has requested Company to relocate these facilities to accommodate the proposed construction of the referenced project as shown on plans therefore, the latest of which were received electronically by Company on July 6, 2007. City agrees to reimburse Company in the extent and manner hereinafter stated for that portion of the cost of relocating said facilities which is for the benefit of City. Company proposes to perform the necessary relocation of its facilities in substantial accordance with the five plan sheets and the one -page cost estimate, all dated September 7, 2007, of which four copies each are attached. Company will bear the cost of relocating the portions of the facilities which do not occupy private rights -of -way. The City's share of the estimated cost of the necessary relocation will be $33,164, all of which is to be reimbursed to Company by City. City by accepting the proposal agrees that City shall reimburse Company for its share of the total actual relocation costs, said costs being arrived at in the same manner as used in Company's estimated cost of the project attached hereto. Such relocation costs will be based upon, but not necessarily limited to, material suppliers', work contractors', and equipment - rental invoices; and at then - current rates and prices, company's transfer and stores expense charges for warehoused materials; payroll time sheets; indirect labor charges; auto, truck, and equipment use records; expense statements; and standard allocated overhead charges. Company's award of and payment for contracted work will be based upon competitive bids or continuing contract, whichever appears to the Company will be most practical and economical. It is further understood, and City by accepting this proposal agrees, that City will reimburse the Company in accordance with this agreement within thirty (30) days after the said relocation work has been completed and Company's statement for City's costs thereof has been submitted. Company agrees that in the event Company should determine prior to commencement of construction that the revised estimated amount of the reimbursement by the City may exceed the estimated cost as stated herein, Company shall notify the City of such determination in writing. City shall have the right to terminate this agreement within ten (10) days of receipt of such said written notice. If City elects to so terminate, City shall pay Company the City's share of any engineering cost incurred to date of termination. If the City does not terminate the agreement within the ten (10) days, it shall remain in full force and effect. The Company by agreeing to or by abandoning, relocating, or modifying any of its facilities pursuant to this agreement shall not thereby be deemed to have abandoned, modified, released, or otherwise destroyed any of its rights existing at the time of the execution of this agreement under valid and subsisting private right -of -way easements granted to, obtained by or through condemnation, or otherwise vested in the Company unless the Company shall have released same by written instrument. Further, should the Company in the course of relocating the above - described facilities relocate any of such facilities Page 1 of 3 presently located on private right -of -way onto public right -of -way, the Company shall be deemed in respect to such facilities to have retained sufficient easement and other rights such that if said facilities are encompassed within any future governmental project requiring relocation, adjustment, or abandonment of such facilities, that the Company shall be entitled to reimbursement for the cost of such relocation, adjustment, or abandonment from the governmental agency requiring the same; provided, however, this provision shall not be construed as requiring reimbursement by the City of Owasso except when such relocation, adjustment, or abandonment is required for a project of the City of Owasso. Any changes made by the City in this proposal as submitted by the Company shall be subject to the written acceptance thereof by the Company before there is any binding contract between the parties. City by accepting this proposal warrants that it now has or will have unencumbered funds available with which to pay the relocation costs to the extent herein above provided. If this proposal is not accepted by the City within one (1) year from the date of this letter, this proposal shall automatically terminate and thereafter shall not be subj ect to acceptance by the City unless the proposal is reinstated by Company.
