ITEM 7: CONSIDERATION AND APPROPRIATE ACTION RELATING TO A
CONTRACT AMENDMENT WITH FHC INC FOR ENGINEERING DESIGN
SERVICES FOR THE WASTEWATER TREATMENT PLANT
IMPROVEMENTS.
Mr Carr said that on May 16, 1995, the Trustees awarded a contract to FHC Inc to perform
engineering design services for wastewater treatment plant improvements. The scope of work
and the fee proposal for the project was divided into three work phases. During the initial stages
of project design, several additional items were identified that needed to be included in the
project. Those items are relocation of the existing lift station control building, additional
headworks, and additional work on the oxidation ditch. The additional design work will come
to a total of $5800. Mr Ewing moved, seconded by Ms Barnhouse, to approve Amendment #1
to the Agreement for Engineering Services for the Wastewater Treatment Plan improvements
with FHC Inc, in the lump sum amount of $5800 for additional engineering design services; and
authorization for payment.

ITEM 8: REPORT FROM OPWA MANAGER
Mr Ray reported that a problem has developed in the water division in getting meters set in a
timely manner. Mr Carr is looking into the possibility of privitizing meter sets. Mr Ray also
reported that a group of local developers will be holding a tour of Owasso developments and
homesites on Wednesday, March 20, for Tulsa realtors.

ITEM 3: DISCUSSION RELATING TO RESTRUCTURING OPGA DEBT SERVICE.
Mr Ray gave a brief presentation of the background leading to restructuring the OPGA debt service,
and presented some options available. Ms Bishop and Golf Pro Warren Lehr discussed details of
the options presented. Mr Ray then presented a list of staff recommendations. A general dialogue
between the two bodies relating to the recommendations then occurred. No action was requested and t
no vote taken.

AWARD OF COMMERCIAL REFUSE COLLECTION CONTRACT
March 27, 1996
In July 1993, the Trustees of the Owasso Public Works Authority approved a contract with
Browning - Ferris Industries (BFI) providing for commercial refuse collection and disposal for
customers requiring commercial refuse containers. The term of the contract was stated as
follows:
The contract shall begin on the 1st day of July 1993, and ... shall expire at
midnight on June 30, 1994. This contract may be extended for successive one
(1) year terms if agreed to by both parties, in writing, not less than ninety (90)
days prior to the expiration of the initial one (1) year terms or any successive one
(1) year term.
Extensions to the contract were approved by the Trustees in May 1994 and April 1995. Staff
believes that after three (3) years of such contract services, it is in the best interests of the City
to again advertise for bids for these services.
Therefore, a bid proposal packet was assembled and advertised. Bids from prospective firms
were accepted on March 5, 1996. Four bids were received as summarized on Attachment 1.
BIDS ANALYSIS:
Bids were received from the following four (4) companies:
• American Waste Control, Inc. (Tulsa, OK)
• Browning - Ferris Industries, Inc. (Tulsa, OK)
• Johnson Sanitation Service, Inc. (Glenpool, OK) and
• Waste Management of Oklahoma, Inc. (Tulsa, OK)
Staff used the current commercial refuse collection frequency as the basis of comparison of the
submitted bids. Specific items for monthly customer collection and periodic roll -off container
hauls at the Recycle Center are direct costs to the city under the current contract. These items
are compared in the following tabulation of bids:

Based on the above tabulation, the yearly contract amount with the apparent low bidder (Waste
Management) is calculated to be $176,024.04. An amount of $183,284.16 is calculated for the
second low bidder (BFI). The difference between these two bids is $7,260.12 per year. The
other bidders are not considered further in the evaluation, since the bids provided exceed those
of Waste Management and BFI.

Commercial Refuse Collection Contract
Waste Management of Oklahoma, Inc. is a wholly owned subsidiary of WMX Technologies,
Inc. and has been engaged for 18 years in the commercial refuse collection business. They
currently have contracts for commercial and residential waste collection with the cities of
Choctaw, Sapulpa and Hominy and residential collection in Oklahoma City. Waste Management
owns and operates the Quarry Recycling and Disposal Facility located at 4041 N. 141st E.
Avenue (41st Street North, approximately 1'/i miles east of Highway 169). Waste Management
previously held a contract with the City of Owasso for commercial refuse collection services
over the 7 -year period of 1986 -1993.
Browning- Ferris Industries, Inc. (BFI) has been in the commercial refuse collection business for
27 years. They currently have contracts with the cities of Shawnee, Cushing, Chandler and
Berryville. They are the permit holder of the BFI/Broken Arrow Landfill located at 51st Street
South and 214th E. Avenue. BFI has the current contract with the City of Owasso for
commercial refuse collection, which was originally awarded in June 1993.
Both bidders supplied all information requested in the bid documents, including references and
other vendor data. The supplied information indicated that both bidders are considered to be
equally qualified and competent to provide this type of service.
' OTHER ITEMS OF VALUE:
The Addendum to the bid document issued on February 21, 1996, indicated that
' The City of Owasso will consider other items of value the bidder will propose in
addition to items listed in the Bid Specifications. Items must be provided in detail
and include descriptions of services/equipment and an assessment of the value to
the City.

Both Waste Management and BFI provided additional items of value for consideration. (Note:
Johnson Sanitation and American Waste Control did not include any items in their bid
submittal.) A description and analysis of each item is presented below by bidder.
Waste Management
Waste Management included two (2) additional items considered to be of value in the bid
submittal. These items are:
• Free roll -off service for City cleanups - Ten (10) roll -off type containers for city -wide
cleanup projects and special events are proposed to be provided at no charge and with
no disposal costs. The value of this service is $2,630 using 40 -yard roll -off containers.
• Free landfill disposal for City cleanups - The Quarry Recycling and disposal Facility would
be provided for free disposal by city residents during designated city -wide cleanup
projects. Estimated value of this service is stated as $6,500 (300 cars /pickups at $20 per
vehicle plus state fees).

Commercial Refuse Collection Contract '
Although the Recycle Center has four (4) roll -off containers and a rear load trash truck as a '
convenience for disposal of refuse from residents, use of ten free roll -offs at various locations
for city-wide cleanup projects would be beneficial. The potential exists to collect materials that '
would normally be disposed of at the Recycle Center, thereby potentially reducing the costs
incurred from roll -off hauling. Since no cost is associated with this service to the OPWA, the
value is not included in the bid analysis.
Free use of the landfill during these projects could have the same effect. Assessment of the
actual magnitude of cost savings as a result of this service is difficult to determine. Therefore,
the actual value of the service is not included in the bid analysis.
Browning - Ferris Industries (BFI)
BFI included two (2) additional items considered to be of value in the bid submittal, as follows:
• Donation of used roll -off truck - A used roll -off truck from the BFI fleet would be donated '
to the OPWA to enable the city to save hauling costs of the Recycle and Convenience
Center roll-off containers.
• Annual rate adjustment ceiling of 1 % - Anticipating a three -year term of service,
adjustments to the contracted rate would be limited to a ceiling of 1 % per year. The
commitment is subject to exceptions for costs imposed by local, state or federal
regulations that are beyond the control of BFI or the City.
Donation of a used roll -off truck would save the OPWA hauling costs to the landfill. Disposal
charges, labor and equipment operation costs would still be incurred. The estimated savings per
haul for the city are as follows:

($15.25 per ton at 5 tons per container average)

($1 /mile at 38 mile round -trip, includes labor)

Based on a history of 133 Recycle Center and Convenience Station hauls in 1995, the savings
associated with the donated truck equates to $2,759.75 per year.
Other factors besides costs savings need to be considered in evaluating the value of this addition
to the bid proposal. Use of the truck by city personnel shifts potential liabilities for transporting
the roll -off containers from the contractor to the city. In addition, equipment maintenance
would, at some point, become an issue and an added operational cost. The value of this option
is included in the analysis, but should be cautiously considered.

Commercial Refuse Collection Contract
The ability to limit rate increases to 1 % per year is important for control of charges to residents.
Since there is no present value associated with the rate ceiling for comparison of bid proposals,
the actual value of this provision is not included in the bid analysis.
so SUMMARY COST COMPARISON:
Costs of operation incurred by the OPWA occur in two areas: 1- monthly collection charges,
and 2- Recycle Center roll -off container hauls and rental of roll -offs for glass collection.
Although the bid proposals included bid items for periodic extra pick -up and general use roll -off
container rental, delivery and cost per haul, these items were not included in the bid analysis.
These specific bid items are passed- through and charged directly by the service provider to the
customer and not paid by the City of Owasso. The contract does not prohibit roll -off container
services to be provided by a different company than the one contracted with the city. Therefore,
including these bid items would not accurately reflect city costs incurred under the contract.
The Waste Management bid proposal for monthly charges for pick -up of individual containers
is between 0.1 to 22.7 percent lower than the current contract rates with BFI. Overall the Waste
Management proposed rates are 11.6% less than the current rates, which equates to a savings
of $1,587.01 per month. (Some of this savings is reduced by higher roll -off hauling charges.)
BFI proposed to keep the same rates as are currently in effect.

FUNDING SOURCE:
Funds for this service are included in the Public Works Department Refuse Collection Division
(line item 61 -541 -5390) and Recycle Center (line item 61 -542 -5390) annual budgets. FY95 -96 '
budgets for these expenditures were a total of $188,400. Projected year -end expenditures are
expected to very near this amount. Funding for this service will be included in the FY96 -97
budget. '
RECOMAUNDATION:
Staff recommends Trustees award the contract for commercial refuse collection to Waste
Management, Inc., Tulsa, Oklahoma per the submitted bid documents for the term of July 1,
1996 through June 30, 1997.

COMAMRCIAL REFUSE COLLECTION
GENERAL REQUIREMENTS
1. The Owasso Public Works Authority is soliciting bids for refuse collection of its
commercial businesses, disposal of refuse, and supplying of the appropriate refuse
container size for all customers within the area of jurisdiction of the city (see attached
city limits map).
BID SUBMITTAL
2. The successful bidder will have all refuse containers in place by July 1, 1996.
Coordination and scheduling of the container "change out" with the current company will
be such that there `will not be an overlap of services. Any additional charges to the
Owasso Public Works Authority for overlap services will be paid by the successful
bidder.
3. Disposal of all refuse will be at a disposal site (i.e., landfill) that is approved and
maintains all necessary licenses and permits from all federal, state and local government
agencies that have jurisdiction over the operation of such disposal site.
4. The bid price will be per month based on size of container and number of pick -ups per
week (see Bid Proposal Submittal).
5. The successful bidder will maintain in full force and effect during the term of the
Agreement, at its own cost and expense, Comprehensive Liability Insurance in the
amount of $5,000,000 combined single limit for bodily injury and property damage.
Said insurance shall designate the City of Owasso and Owasso Public Works Authority
as additional insured.
6. The successful bidder will have Worker's Compensation Insurance which shall meet the
requirements of the State of Oklahoma and will remain in effect during the contract
period.
7. The Statement of Bidder's Qualifications included in this document must be completed
and submitted with the bid for the bid to be considered.
8. The Non - Collusion Bid Affidavit must be included with the bid; if not included, the bid
will not be considered.
9. The Owasso Public Works Authority may waive any informalities or minor defects or
reject any and all bids. Any bid may be withdrawn prior to the scheduled time for the
opening of bids or authorized postponement thereof. Should there be any reason why the
contract cannot be awarded within the specified period, the time may be extended by
mutual agreement between the city and the bidder.

10. Roll -off containers are used almost exclusively by the City of Owasso Recycle Center,
City of Owasso Convenience Station and demolition/construction contractors.
11. Roll -off containers may be provided with a monthly rental fee and delivery charge.
NOTE - Four (4) thirty yard (30 yard) roll -off containers are to be
provided for the Owasso Recycle Center at no cost (monthly
rental fee and /or delivery charge).
12. Compactors will be addressed by the contractor as requested. Use of a compactor
requires equipment and set -up specific to the individual location.
13. Extra pick -ups of containers may be required on an "as needed" basis. Charges for extra
pick -up are included as a separate item in the Bid Proposal.
14. The following table lists the most current information as it relates to the number of
customers, container size and number of pick -ups per week.

15. The successful bidder will be required to enter into a contract with the Owasso Public
Works Authority within ten (10) days after Notice of Award is issued. The term of the
contract shall be for a period of one (1) year and shall expire at midnight June 30, 1997.
16. It is anticipated that the successful bidder can expect to extend the contract for two (2)
additional successive one (1) year terms if agreed to by both parties in writing not less
than ninety (90) days prior to the expiration of the initial one(1) year term (March 30,
1997) or any successive one(1) year term.

On behalf of Browning - Ferris Industries, I would like to express our sincere appreciation for the
opportunity to propose solid waste services to the business community in Owasso.
Environmentally sound, economic management of solid waste is a goal we all share. We at BFI
believe effective handling of solid waste is best carried out by an approach which joins the
public and private sectors as partners working toward a solution. For the City of Owasso in
particular, we have enjoyed such a role with you for the past three years. We hope this period
has served to convince you of the quality of service and of the sincerity of our intentions.
As required by the bid specifications, prices quoted herein are inclusive of the new state tipping
fee and, as allowing by Addendum =1, we are proposing below, an "...other item of value..." in
the form of donated equipment. As required, the item is described in detail and its value is
assessed in order to permit your consideration of its relative merit as an alternative service.
Alternative Roll -Off Service Plan
While we have given you a price for the hauling and disposal of your roll -off containers,
we believe that you may realize a more cost effective way to manage these hauls if you
operate your own truck. Your truck and driver being based at, or near the Convenience
Center, may enjoy greater economies as compared to our truck and driver responding
from our Tulsa base of operations.
As a premium aspect of our overall service plan, BFI will donate a good used roll -off
truck for the City's use as you deem appropriate. Within BFI's Southern Region, we
operate a number of collection companies who regularly update truck fleets with new
vehicles. As this happens, many serviceable trucks become available and are normally
sold at anywhere from $7,000 to $20,000. The condition of these trucks varies
considerably, but depending upon the time of year, there is a good selection to choose
from. While the trucks are used, they are serviceable and considering a relatively low

volume of usage (5 to 15 hauls per month), would be able to handle Owasso's needs with
reasonable maintenance and care.
If you determine, that you wish to opt for this alternative service plan offering, we will
provide for transportation and overnight lodging for your employee at up to two BFI
locations within our Southern Region in order to visit, select and/or drive back such a
donated vehicle. The only limitation we would ask is that its use be limited to the
servicing of Owasso municipal containers only.
For your roll -off containers we estimate a savings from your current service rate of
$44.00 per haul. Last year there were 133 roll -off hauls so that the annual value of this
service as compared to current costs is estimated to be $5,852.00. In addition the asset
value of the truck annualized over the potential three year contract period is a minimum
of $2,333 for a combined value of $8,185 per year.
Rate Stability
As additional evidence of our appreciation for your business we are proud of our history
with regard to holding down rates over the past three years. While the contract permitted
annual rate adjustments we were able to limit such rate changes to only one 3% increase
during the three year term, resulting in an average annual increase of only 1% which is
well below the regional CPI index.
In addition, while we would have liked to recover the costs associated with the State
tipping fee that became effective in January of this year, we have, at the request of the
City, agreed to absorb that cost for the balance of the current contract period (June 30,
1996). Most importantly, as evidenced by our rate submittals, we are absorbing these
fees for the new contract period as well.
Finally, as a continued pledge of fairness, we agree to limit our requests for annual rate
adjustments to a ceiling of 1% per year for the anticipated three year term. This pledge is
subject only to an exception for costs imposed by local, state or federal regulations that
are beyond the control of BFI or the City.
Again, we appreciate the opportunity to respond to your request for bids. We look forward to a
continued partnership serving the citizens of Owasso.

American Waste Control is currently Oklahoma's largest
independent waste hauling contractor and Tulsa's largest waste
hauling contractor and Tulsa's largest waste hauling company.
We currently service a number of City /County waste hauling
contracts, including:
1. City of Tulsa: City Parks, year to year contracts
over $60,000 per year.
2. Tulsa County: Includes waste hauling for County
Parks, Golf Courses, etc. over $100,000 per year.
This is a year to year contract we have serviced
for several years.
3. U.S. Post Office: Includes all Post Offices
located within the City of Tulsa. This is a two
year contract which produces a revenue in excess
of $25,000. Contract up for renewal in February
1997.
4. City of Sand Springs: This is the contract for
the waste treatment facility.
5. The Met Environmental Trust: This contract entails
the waste removal from the MET recycling centers
located throughout Tulsa.
6. Tulsa County Library System: Includes all Tulsa
County Libraries, over 3000 per year. Year to

ICOMMERCIAL REFUSE COLLECTION CONTRACT
THIS AGREEMENT by and between the Owasso Public Works Authority, Owasso,
Oklahoma, first party, hereinafter called "Authority" and
second party, hereinafter called the "Supplier ".
WITNESSETH:
That for and in consideration of the terms, covenants, and conditions hereinafter set forth
said parties have agreed and hereby agree as follows:
' 1. SUPPLYING OF SERVICE:
' The Supplier shall provide commercial refuse collection and disposal for all customers
within the area of jurisdiction of the Authority who require commercial refuse containers
(dumpsters, roll -off units, or compactor containers), within the terms prescribed by this contract.
' Service shall be at the discretion of individual customers within the days Supplier services said
area.
' 2. PLACE OF SERVICE:
Service shall be made available to all areas within the corporate limits of the City of
' Owasso, Oklahoma.
3. DISPOSAL OF REFUSE:
The Supplier shall dispose of refuse at
which is an approved and
permitted disposal site (landfill, incinerator, etc.) which maintains all necessary licenses and
permits from all federal, state, and local government agencies that have jurisdiction over the
operation of a disposal site. The Supplier agrees not to change disposal sites without prior
approval of the Authority, such approval to be in written form and the result of an action by the
Trustees taken either in special, emergency or regular meeting.
' 4. TERM:
This contract shall begin on the day of 1996, and unless sooner
terminated as herein provided, shall expire at midnight on . This
contract may be extended for successive one (1) year terms if agreed to by both parties in
' writing, not less than ninety (90) days prior to the expiration of the initial one (1) year term or
of any successive one (1) year term.
S. PAYMENT FOR SERVICES:
On or before the 25th day of each month beginning 1996
Authority shall pay Supplier for all services delivered during preceding calendar month at the
rates outlined on Exhibit "A ".

Nothing herein contained shall be deemed or construed to entitle Supplier to any other
price that may now or hereinafter be fixed by Authority or City by Ordinance, or otherwise, for
service to be furnished to Authority customers now or hereafter served, whether within or
without the corporate limits.
It is understood and agreed that the service rates will be applicable under the terms of
this Agreement and will remain unchanged throughout the term of the contract.
6. MODIFICATION OF RATES:
The service rates charged by the Supplier may be adjusted once per year at the
anniversary date of the original contract. These rates shall be agreed upon between the Supplier
and the Authority at least ninety (90) days prior to the anniversary date of the contract. If the
Authority and supplier cannot reach agreement, then the price shall not change from the previous
contract.
7. INDEMNIFICATION:
The Supplier shall protect, indemnify, hold harmless, and defend Authority from and
against any and all liability to, or claims of, third parties, including costs of defense and
reasonable attorney's fees resulting from Supplier's negligence or wilful misconduct. t
8. INSURANCE:
The Supplier shall maintain in full force and effect, at its own cost and expense, during '
the term of the Agreement, Comprehensive Liability Insurance in the amount of $5,000,000
combined single limit for bodily injury and property damage. Said insurance shall designate the ,
City of Owasso and Owasso Public Works Authority as an additional insured. Such insurance
shall be noncancellable except upon sixty (60) days prior written notice to the City of Owasso
and Owasso Public Works Authority. r
The Supplier shall provide and maintain insurance to protect the City of Owasso and '
Owasso Public Works Authority from claims arising under the Comprehensive Environmental
Response, Compensations and Liability Act, 49 U.S.C. Section 9601, et. seq., or any
amendments thereto, relating to the disposal of refuse, as per Exhibit "B" attached hereto. .
The Supplier shall provide and maintain, during the period of this Agreement, Workers
Compensation Insurance which shall meet the requirements of the State of Oklahoma.
9. DEFAULT:
Except as otherwise provided herein, if either party breaches this Agreement or defaults
in the performance of any of the covenants or conditions contained herein for thirty (30) days
after the other party has given the party breaching or defaulting written notice of such breach
or default and the party breaching or defaulting has given notice of its intent to cure or shall
have commenced to cure such breach or default within said period and pursues diligently to the

' completion thereof, the other party may: (i) terminate this Agreement as of any date which the
said other party may select, provided said date is at least thirty (30) days after the elapse of the
thirty (30) days in which to cure or commence curing; and (ii) have recourse to any other right
or remedy to which it may be entitled by law, including, but not limited to, the right of all
damage or loss suffered as a result of such breach or default. In the event either party waives
default by the other party, such waiver shall not be construed or determined to be a continuing
' waiver of the same or any subsequent breach or default.
10. ENFORCEMENT:
' In the event that there is a dispute between the parties, and either r ry brin s
an action
to interpret this Agreement or to enforce any right which such party may have hereunder, or in
the event an appeal is taken from any judgement or decree of a trial court, the party ultimately
prevailing in such action will be entitled to receive from the other party its costs and reasonable
attorney's fees to be determined by the court in which such action is brought.
11. LAW TO GOVERN:
' This Agreement will be governed by the laws of the State of Oklahoma, both as to
interpretation and performance.

12. SEVERABILITY:
If any provision of this Agreement is declared illegal, void or unenforceable, the
remaining provisions will not be affected but will remain in full force and effect.
' 13. RESTRICTIONS ON SALE:
Without the Authority's prior written consent, Supplier shall not provide any other types
of refuse service within the Authority's service area.
14. RECORDS OF SERVICES:
Supplier shall be required to maintain records indicating customers served hereunder and
the service provided. Such records shall be open to periodic inspection by officers of the City
during reasonable hours at Supplier's place of business.
15. NON- ASSIGNABELITY:
Neither this contract in its entirety nor any of the rights herein granted shall be assignable
or subcontracted by Supplier without the express written consent of Authority. Such consent not
to be unreasonably withheld.

16. TERNIINATION PRIOR TO EXPIRATION:
Authority may, at its option, terminate this contract in the event:
(1) Breach by Supplier of any of the terms, covenants and conditions herein required
to be performed by Supplier.
(2) Authority expressly states that this contract may be abrogated at any time the
Authority shall declare by resolution that the services being furnished herein are
no longer required by the Authority for its own use and the use of its customers.
17. RIGHTS OR PRIVILEGES (FRANCHISE):
Supplier acknowledges and understands that the provisions hereof shall in no way be
construed to constitute the granting of any exclusive franchise rights or privileges unto Supplier
by Authority, or its beneficiary, and further, that the Authority is under no obligation unto
Supplier to defend, in Supplier's behalf, any rights created hereby.
