ITEM 7: CONSIDERATION AND APPROPRIATE ACTION RELATING TO THE
PURCHASE OF WATER LINE RELOCATION EQUIPMENT
The public works department currently utilizes a magnetic locator to locate buried manholes,
water valves and metal water meters to a depth of 24 inches, however, it will not locate plastic
meters 7fiberglass valve boxes or PVC pipe. Technology is now available to locate objects using
a pressure wave carried by the water in the pipe. Quotes were solicited for a water line locator
having the capability to locate all types of equipment. Mr Burris moved, seconded by Mr
Ramey to approve the purchase of a Radiodetection 500 water line locator from Water Products
of Owasso in the amount of $2300.

ITEM 8: CONSIDERATION AND APPROPRIATE ACTION RELATING TO THE
PURCHASE OF WATER LEAK DETECTION EQUIPMENT
Revenues are being lost because of water leaking into the distribution system. The water
division does not have equipment to identify the location of leaks, and must excavate probable
leak locations. This results in loss of time, and additional work to regrade, seed or sod
properties that are excavated. Rather than excavating, determination of leaks in the system can
be acomplished by using listening equipment. The Public Works Department solicited quotes
from local vendors for listening equipment that can be used for PVC pipe. After reviewing the
quotes, staff recommend Trustee approval of the purchase of a Fisher Leak Detector Model
XLT -20 from Water Products of Owasso, in the amount of $1400. Following discussion
centered on the advisability of borrowing such equipment, Mr Burris moved to approve the staff
recommendation for purchase of the water leak detection equipment. Motion seconded by Mr
Ewing.

ITEM 9: CONSIDERATION AND APPROPRIATE ACTION RELATING TO THE
RENEWAL OF A CONTRACT BETWEEN THE OPWA AND BROWNING -
FERRIS INDUSTRIES (BFI) PROIDING FOR THE COLLECTION AND
DISPOSAL OF REFUSE GENERATED BY COMMERCIAL
ESTABLISHMENTS.
In July 1993, the Trustees approved a contract with BFI for commercial refuse collection and
disposal. The contract contains language allowing for the extension of the contract for
successive one -year terms if agreed to in writing by both parties not less than ninety days prior
to the expiration date. The contract was renewed in May 1994, with an expiration date of July
31, 1995. BFI has indicated a desire to renew the contract for another year, with a three percent
rate increase. This rate increase must be passed on to customers and will be placed on a Trustee
agenda prior to the beginning of the new contract. Mr Burris moved, seconded by Ms
Barnhouse, to approve the extension of a refuse contract with BFI.

SUBJECT: WASTEWATER COLLECTIONS VEHICLE PURCHASE
DATE: May 5, 1995
BACKGROUND
The FY 1994 -95 budget for the Public Works Department Wastewater Division includes
funds for the purchase of a new truck for collection systems maintenance.
The existing Wastewater Collection service vehicle is a 1985 Chevrolet S -10 pick -up truck.
Repairs to this small and inadequate vehicle continue to increase and the truck has
approximately 167,500 miles of use.
The existing vehicle is a small body truck with a limited hauling capacity. It is proposed that
the vehicle be replaced with a full size 3/4 ton, 2 wheel drive pick -up truck to enable hauling
of larger loads and be utilized as the primary transportation unit of the Wastewater
Collections Division.
In addition, in order to rform the required operations and maintenance functions, the
vehicle will need to have a towing capacity for the 10,000 pound sewer jetter. The ability to
store and transport equipment required to accomplish major lift station maintenance on
pumps, generators, and associated electrical instrumentation is also necessary.
BIDS
On April 12, 1995, contract documents and bid specifications were sent to fifteen (15)
vendors. Bids were received from four (4) vendors and were opened May 4, 1995 at 2:00
p.m. at City Hall. Four vendors submitted a bid price which exceeded the budgeted price.

The average price for a new vehicle has risen at a rate of 8% in 1994 and again by 6% in
1995. This 14% increase, when totaled with the Public Works budgeted amount of $15,000,
was unforeseen in the budgeting process.
On November 1, 1994 the State Contract Bids were published and received from the
Oklahoma Department of Central services, Central Purchasing Division. The 1995 minimum
bid for the type of pick -up truck intended for use in the Wastewater Collections Division was
$15,911.
FUNDING
The FY 1994 -95 budget for the Wastewater Division in includes $15,000 in capital outlay for
the new vehicle (item 61- 530 - 5442).
RECOMMENDATION
Staff recommends approval of the purchase of the 1995 Ford F -250, 3/4 ton full size pick -up
from Don Thornton Ford in the amount of $15,068.81.

AWARD OF ENGINEERING DESIGN SERVICES CONTRACT -
WASTEWATER TREATMENT PLANT IMPROVEMENTS
May 10, 1995
BACKGROUND:
The existing City of Owasso wastewater treatment facility was constructed in 1986. The plant
consists primarily of an oxidation ditch with interchannel boat clarifier, effluent ultraviolet light
disinfection and reaeration, and sludge drying beds. The plant was originally designed to treat
an average daily flow of 1.56 million gallons per day (MGD).
With the current average daily flow approaching the original design capacity and new effluent
limitations that require increasing the treatment capabilities of the existing plant, we completed
an amendment to the Facilities Plan in order to obtain funding through the State Revolving Fund
(SRF) loan program to include the needed modifications. The document has been submitted to
the Oklahoma Water Resources Board for technical review.
The approved Facilities Plan serves as the mechanism for selection of the most cost- effective
treatment system for the 20 -year planning period. The document is the basis for detailed
engineering design and ultimate construction of the needed improvements.
The selected alternative in the Facilities Plan recommended a two- phased approach to increasing
the plant capacity and improving the performance to meet long -term discharge criteria. Phase
I includes removal of the interchannel boat clarifier from the oxidation ditch, accompanied by
the construction of two new external clarifiers. The hydraulic capacity of the oxidation ditch
will be increased to 2.15 MGD. Modifications to the existing pumping station and ultraviolet
disinfection system to accommodate the increased hydraulic capacity are included. Additional
sludge drying beds, necessitated by increased sludge production, also is required. The Phase
improvements to construct additional capacity will be deferred until the year 2001.

Agreement for Engineering Services
PROTECT SCOPE:
The Owasso Public Works Authority secured a low interest loan from the Oklahoma Water
Resources Board for improvements to the wastewater treatment plant. (Companion projects for
the water distribution system and wastewater collection system have already been initiated.)
Approval of the loan required selection of an engineering firm for the design of the
improvements.
ENGINEERING PROPOSALS:
Staff requested qualification statements on December 15, 1994 from engineering firms capable
of providing design services for the wastewater treatment plant improvements design, bidding
and construction administration. A packet of information was sent to fourteen (14) area
engineering firms. Responses were received from five (5) firms. Statements were ranked
according to the total number of evaluation points assigned by the Review Committee and, based
upon the initial evaluation, the Review Committee identified Dudley and Associates, Inc., FHC,
Inc., and Mansur - Daubert- Strella, Inc. as "Qualified and Highly Responsive Firms ". These
three firms were requested to submit a detailed Scope of Services and their proposed fee for final
evaluation by the Review Committee.
Each firm submitted their detailed scope of services on February 15, 1995. Each submittal was
evaluated by the Review Committee and FHC, Inc. was selected as the top ranked firm for fee
negotiations.
ENGINEERING DESIGN AGREEMENT:
Staff met with representatives from FHC on April 4, 1995 to discuss the scope of work and the
fee proposal. As a result of the meeting, an Agreement was drafted and reviewed by the City
Attorney. The attached Agreement for Engineering Design Services has been prepared as a
result of the review comments.
The Agreement is divided into three (3) work phases as follows:

The scope and compensation for bidding and resident project representative services will be
negotiated at a later date. It was the option of staff that these services could be more accurately
defined once the actual facility design nears completion.

THIS AGREEMENT, including Attachments between Owasso Public Works Authority
(Owner) and FHC, Inc. (Engineer);
WITNESSETH:
WHEREAS, Owner intends to construct certain improvements -on the existing
wastewater treatment plant herein termed Wastewater Treatment Plant Improvements
(the Project); and,
WHEREAS, Owner requires certain engineering services (the Services) in connection
with the project; and,
WHEREAS, Engineer is prepared to provide the Services;
NOW THEREFORE, in consideration of the promises contained in this Agreement,
Owner and Engineer agree as follows:
ARTICLE 1 - EFFECTIVE DATE I
The effective date of this Agreement shall be the day of , 1995.
ARTICLE 2 - GOVERNING LAW '
This agreement shall be governed by the laws of the State of Oklahoma.
ARTICLE 3 - SERVICES TO BE PERFORMED BY ENGINEER
Engineer shall perform the Services described in Attachment A, Scope of Services.
If construction phase services are included, the Engineer shall be the Owner's agent
and representative with respect to all services of the Engineer that are required or
authorized by the construction documents.
ARTICLE 4 - COMPENSATION '
Owner shall pay Engineer in accordance with Attachment B, Compensation.
ARTICLE 5 - OWNER'S RESPONSIBILITIES '
Owner shall be responsible for all matters described in Attachment C, Owner's
Responsibilities and Special Conditions.
ARTICLE 6 - STANDARD OF CARE
Engineer shall perform the Services undertaken in a manner consistent with the
prevailing accepted standard for similar services with respect to projects of
comparable function and complexity and with the applicable laws and regulations
published and in effect at the time of performance of the Services. Other than the
obligation of the Engineer to perform in accordance with the foregoing standard, no
warranty, either express or implied, shall apply to the Services to be performed by the
Engineer pursuant to this Agreement or the suitability of Engineer's work product.
ARTICLE 7 - LIABILITY AND INDEMNIFICATION
7.1 General. Having considered the potential liabilities that may exist during the
performance of the Services, the benefits of the Project, and the Engineer's fee for the
Services; and in consideration of the promises contained in this Agreement, Owner
and Engineer agree to allocate and limit such liabilities in accordance with this Article.
7.2 Indemnification. Engineer and Owner each agrees to defend, indemnify, and
' hold harmless each other, its agents and employees, from and against legal liability
for all claims, losses, damages, and expenses to the extent such claims, losses,
damages, or expenses are caused solely by its negligent acts, errors, or omissions.
In the event claims, losses, damages, or expenses are caused by the joint or
concurrent negligence of Engineer and Owner, they shall be borne by each party in proportion to its own negligence.
7.3 Survival. Upon completion of all Services, obligations, and duties provided for
in this Agreement, or if this Agreement is terminated for any reason, the terms and
conditions of this Article shall survive.
ARTICLE 8 - INSURANCE
During the performance of the Services under this Agreement, Engineer shall maintain
the following insurance:
(1) General Liability Insurance, with a combined single limit of $1,000,000
for each occurrence and $1,000,000 in the aggregate.
(2) Automobile Liability Insurance, with a combined single limit of
$1,000,000 for each person and $ 1,000,000 for each accident.
' (3) Workers' Compensation Insurance in accordance with statutory
requirements and Employer's liability Insurance, with a limit of $500,000
for each occurrence.
(4) Professional Liability Insurance, with a limit of $1,000,000 annual
' aggregate.

Engineer shall, upon written request, furnish Owner certificates of insurance which
shall include a provision that such insurance shall not be canceled without at least
thirty days' written notice to Owner. All Project contractors shall be required to
include Owner and Engineer as additional insureds on their General Liability insurance
policies, and shall be required to indemnify Owner and Engineer to the same extent.
If the Services result in a construction phase of the project, a similar provision shall
be incorporated into all construction phase contracts entered into by Owner and shall
protect Owner and Engineer to the same extent.
ARTICLE 9 - LIMITATIONS OF RESPONSIBILITY
Engineer shall not be responsible for: (1) construction means, methods, techniques,
sequences, procedures, or safety precautions and programs in connection with the
Projector (2) procuring permits, certificates, and licenses required for any construction
unless such responsibilities are specifically assigned to Engineer in Attachment A,
Scope of Services.
ARTICLE 10 - LIMITATIONS OF RESPONSIBILITIES FOR ACTS OF OTHERS
Provided that the Engineer has acted in good faith, Engineer shall not be liable to
owner for breach of contract or for negligent error or omission in failing to detect,
prevent or report the failure of any contractor, subcontractor, vendor, or other project
participant to fulfill contractual or other responsibilities to the Owner, failure to furnish
or construct the project in accordance with the plans and specifications, or failure to
comply with federal, state, or local laws, ordinances, regulations, rules, codes, orders,
criteria, or standards.
ARTICLE 11 - OPINIONS OF COST AND SCHEDULE
Since Engineer has no control over the cost of labor, materials, or equipment furnished
by others, or over the resources provided by others to meet Project schedules,
Engineer's opinion of probable costs and of Project schedules shall be made on the
basis of experience and qualifications as a professional engineer. Engineer does not
guarantee that proposals, bids, or actual Project costs will not vary from Engineer's
cost estimates or that actual schedules will not vary -from Engineer's projected
schedules. Engineer shall complete the services within the time frame outlined on
Attachment E, Schedule, subject to conditions which are beyond the control of the
Engineer.
ARTICLE 12 - REUSE OF DOCUMENTS i
All documents, including, but not limited to, drawings, specifications, and computer
software prepared by Engineer pursuant to this Agreement are instruments of service
in respect to the Project. They are not intended or represented to be suitable for
reuse by Owner or others on extensions of the Project or on any other project. Any
reuse without prior written verification or adaptation by Engineer for the specific '
purpose intended will be at Owner's sole risk and without liability or legal exposure
to Engineer. Owner shall defend, indemnify, and hold harmless Engineer against all

claims, losses, damages, injuries, and expenses, including attorneys fees, arising out
of or resulting from such reuse. Any verification or adaptation of documents will
entitle Engineer to additional compensation at rates to be agreed upon by Owner and
Engineer.
ARTICLE 13 - OWNERSHIP OF DOCUMENTS AND INTELLECTUAL PROPERTY
Except as otherwise provided herein, engineering documents, drawings, and
specifications prepared by Engineer as part of the Services shall become the property
of Owner provided, however, that Engineer shall have the unrestricted right to their
use. Engineer shall retain its rights in its standard drawing details, specifications, data
bases, computer software, and other proprietary property. Rights to intellectual
property developed, utilized, or modified in the performance of the Services shall
remain the property of Engineer.
' ARTICLE 14 - TERMINATION
This Agreement may be terminated by either party upon written notice in the event
' of substantial failure by the other party to perform in accordance with the terms of
this Agreement. The nonperforming party shall have fifteen calendar days from the
date of the termination notice to cure or to submit a plan for cure acceptable to the
other party.
Owner may terminate or suspend performance of this Agreement for Owner's
pp convenience upon written 30 days notice to Engineer. Engineer shall terminate or
suspend performance of the Services on a schedule acceptable to Owner. If
termination or suspension is for Owner's convenience, Owner shall pay Engineer for
all the Services performed and termination or suspension expenses. Said expenses
shall be calculated as described in Attachment B for Additional Services and shall
include all costs to close this project (project summary and archive) and copy and
transfer project information to the Owner. Upon restart, an equitable adjustment shall
be made to Engineer's compensation.
ARTICLE 15 - DELAY IN PERFORMANCE
Neither Owner nor Engineer shall be considered in-default of this Agreement for delays
in performance caused by circumstances beyond the reasonable control of the
nonperforming party. For purposes of this Agreement, such circumstances include,
but are not limited to, abnormal weather conditions; floods, earthquakes, fire;
epidemics; war, riots, and other civil disturbances; strikes, lockouts, work slowdowns,
and other labor disturbances; sabotage; judicial restraint; and inability to procure
permits, licenses, or authorizations from any local, state, or federal agency for any of
the supplies, materials, accesses, or services required to be provided by either Owner
or Engineer under this Agreement.
Should such circumstances occur, the nonperforming party shall, within a reasonable
time of being prevented from performing, give written notice to the other party
describing the circumstances preventing continued performance and the efforts being
made to resume performance of this Agreement.
ARTICLE 16 - COMMUNICATIONS
Any communication required by this Agreement shall be made in writing to the
address specified below:

Nothing contained in this Article shall be construed to restrict the transmission of
routine communications between representatives of Engineer and Owner.
ARTICLE 17 - WAIVER
A waiver by either Owner or Engineer of any breach of this Agreement shall be in
writing. Such a waiver shall not affect the waiving party's rights with respect to any
other or further breach.
ARTICLE 18 - SEVERABILITY
The invalidity, illegality, or unenforceability of any provision of this Agreement or the
occurrence of any event rendering any portion or provision of this Agreement void
shall in no way affect the validity or enforceability of any other portion or provision
of this Agreement. Any void provision shall be deemed severed from this Agreement,
and the balance of this Agreement shall be construed and enforced as if this
Agreement did not contain the particular portion or provision held to be void. The
parties further agree to amend this Agreement to replace any stricken provision with
a valid provision that comes as close as possible to the intent of the stricken
provision. The provisions of this Article shall not prevent this entire Agreement from
being void should a provision which is of the essence of this Agreement be
determined void.
ARTICLE 19 - INTEGRATION
This Agreement represents the entire and integrated Agreement between Owner and
Engineer. It supersedes all prior and contemporaneous communications,
representations, and agreements, whether oral or written, relating to the subject
matter of this Agreement.

ARTICLE 20 - SUCCESSORS AND ASSIGNS
Owner and Engineer each binds itself and its directors, officers, partners, successors,
executors, administrators, assigns, and legal representatives to the other party to this
Agreement and to the directors, officers, partners, successors, executors,
' administrators, assigns, and legal representatives of such other party in respect to all
provisions of this Agreement.

ARTICLE 21 - ASSIGNMENT
Neither Owner nor Engineer shall assign its duties under this Agreement without the
prior written consent of the other party. Unless otherwise stated in the written
consent to an assignment, no assignment will release or discharge the assignor from
any obligation under this Agreement. Nothing contained in this Article shall prevent
Engineer from employing independent consultants, associates, and subcontractors to
assist in the performance of the Service.
ARTICLE 22 - THIRD PARTY RIGHTS
Nothing in this Agreement shall be construed to give any rights or benefits to anyone
other than Owner and Engineer.

SCOPE OF SERVICES
The following scope of services shall be made a part of the Agreement dated the
day of , 1995.
The project scope consists of Phase I improvements to the Wastewater Treatment
Plant, as identified in the Amendment to the Facility Plan for Wastewater Treatment
System, Owasso Public Works Authority, September 1993.
I. SCOPE OF IMPROVEMENTS
Items of work covered under this contract and identified as Phase I
improvements to the Wastewater Treatment Plant in the Amendment to the
Facility Plan include the following.
A. Influent Lift Station.
1. Pumps. Increase the capacities of two of the three pumps in the
existing influent pump station to 3.0 MGD each by changing the
pump impellers and installing new motors (and associated
electrical equipment).
2. Controls. Add variable frequency drives and associated controls
for each of the two new pumps.
B. Oxidation Ditch.
1. Intrachannel Clarifier. Remove the existing intrachannel "Boat" '
clarifier from the oxidation ditch (function to be replaced with new
external final clarifiers and return sludge pump station).
2. Aeration. Supplement the aeration capacity in the oxidation '
ditch by installing a diffused aeration system.

3. Outlet Structure. Add a new outlet control structure to provide
for the discharge of the oxidation ditch and allow for control of
the liquid level in the ditch.
C. External Clarification System.
1. Clarifiers. Add two external circular clarifiers with diameters of
60 feet.
2. Return Sludge Pump Station. Add a new return /waste sludge
pumping station.
D. Disinfection System. Modify the existing UV disinfection system to
increase its capacity to 2.95 MGD.
E. Sludge Dewatering 'System. Add two new sludge drying beds.
F. General.
1. Phase II Interface. All Phase I improvements shall be designed to
accommodate, as much as practicable, the associated
improvements planned for Phase II as defined in the Amendment.
I1. DETAILED SCOPE OF SERVICES
The scope of engineering services for the project is divided into five categories:
Preliminary Design Phase, Final Design Phase, Bidding Phase, Construction
Phase and Resident Project Representative (Resident Inspection). The detailed
scope of services for each category are outlined below:
A. Preliminary Design Phase. The preliminary design shall consist of the
following tasks.
1. Project Management.
a. Administration. This task includes the following tasks:
1) Project initialization and setup.
2) Coordination of the project team.
3) Preparation of monthly progress reports to Owner.
In addition, Engineer shall also conduct a monthly
progress review meeting with the Owner at the
Engineer's office. This meeting will be scheduled
during the first week of the month to allow reports
and associated Engineer's invoicing to be considered ,
at the Owner's second monthly meeting.
4) Project communications with Owner, regulatory '
agency and funding agency.
b. Initial Project Meeting. Engineer shall conduct an initial '
meeting with the Owner (and with agency representatives
if desired by Owner) to discuss the preliminary design
schedule, objectives, available project data,
communications, etc.
C. Quality Control Reviews. Engineer's senior design and
construction staff shall review the results of certain design
activities and the deliverables prior to submission.
2. Surveying. Engineer shall provide all surveying required to
produce the necessary preliminary design documents and legal
descriptions. The fee includes all surveying required to complete
the design of the improvements anticipated above. Additional
surveying required by changes in scope requested by the Owner
will be considered additional services.
3. Geotechnical Investigation. Engineer shall coordinate the
procurement of a geotechnical firm and the preparation of a
geotechnical report for documentation of subsurface conditions at
the sites of the improvements as follows:
a. Prepare a scope of geotechnical services for the project.
The scope shall be established with the input of the Owner
based on budget constraints, access limitations, etc.
b. Procure proposals in accordance with Owner procedures
from at least two geotechnical firms as directed by the
Owner.
C. Review all proposals and prepare a written recommendation
with justification for the selection of one geotechnical firm.
d. Coordinate contractual arrangements between the Owner
and the geotechnical firm. The cost of the geotechnical
services shall be the responsibility of the Owner.
e. Review the geotechnical report and provide comments to

C. Drawings. -and Sketches. Prepare preliminary drawings
and /or sketches of the planned improvements which will
exhibit the concept for the proposed improvements
including:
1) Schematic of the existing process and the proposed
improvements. The schematic shall include a
representation of the existing and proposed
instrumentation and controls.
2) Hydraulic profile of the complete liquid and sludge
process trains.
the geotechnical firm.
f. Review invoice(s) submitted by the geotechnical firm and
make recommendation for payment(s).
4. Design Memorandum. The preliminary design shall result in a
Design Memorandum (DM) which shall summarize the design
concept for review and approval before initiation of the final
design phase. Engineer shall prepare and submit five copies of a
draft DM including the following information:
a. General Project Requirements. Summarize the general
requirements of the Project as follows:
1) Design Criteria. List the design criteria, standards
and codes which are applicable to the design.
2) Permits. List the permits required to complete the
Project and their estimated costs.
3) Funding Agency Requirements. Summarize the
requirements of the Oklahoma Water Resources
Board SRF Loan Program for completion of the
Project.
b. Process Design and Evaluations. Complete the process
design and summarize the results. Summarize critical
evaluations and calculations made to determine types of
equipment or processes recommended for use in the
Project.
C. Drawings. -and Sketches. Prepare preliminary drawings
and /or sketches of the planned improvements which will
exhibit the concept for the proposed improvements
including:
1) Schematic of the existing process and the proposed
improvements. The schematic shall include a
representation of the existing and proposed
instrumentation and controls.
2) Hydraulic profile of the complete liquid and sludge
process trains.
3) Proposed plan view layout of the improvements both
at the lift station area and at the process area which
will exhibit both the proposed layout of the unit
processes but also the general site improvements
planned. Base sheets for this work shall be digitized
from the record drawings of the original plant
construction project.
4) Proposed plan view layout of the improvements
which will exhibit the yard piping planned for the
project. Base sheets for this work shall be digitized
from the record drawings of the original plant
construction project.
5) Plan views, sections and elevations of all new unit
processes as appropriate.
d. Equipmentand Materials. Prepare preliminary specifications
and /or summaries of the equipment and materials
recommended for use in the final design.
e. Electrical, Instrumentation and Controls. Prepare a
preliminary design of the electrical, instrumentation and
controls proposed for the project and summarize.
f. Property Requirements. Summarize the ownership
information in the area of the Project and summarize the
real property, easement and /or right -of -way requirements.
It is assumed that no additional property or easements shall
be required for the Project.
g. Project Schedule. Prepare a composite schedule of
activities required to complete the Project as required by
the SRF Loan Program.
h. Opinion of Probable Cost. Prepare an opinion of probable
cost based on the design concept established and the cost
information obtained during this phase of the Project.
Geotechnical. Include the results of the geotechnical
investigation.
5. Deliverables. Engineer shall submit five copies of the DM for
review by the Owner.

6. Design Memorandum Workshop. Engineer shall conduct two
design memorandum workshops with the Owner during
preliminary design phase as follows:
a. 30 Percent Workshop. The first workshop shall occur
when the design memorandum is approximately 30- percent
complete.
b. 100 Percent Workshop. The final workshop shall occur
after submission of the DM for the Owner's review.
Engineer shall finalize the DM based on the results of the
workshop.
7. Presentation. Engineer shall make a presentation of the DM
(design concept) to the Owner's governing body.
8. Agency Workshop. The finalized DM resulting from the DM
Workshop shall be submitted to the regulatory agency, the
Oklahoma Department of Environmental Quality (ODEQ), and the
Oklahoma Water Resources Board (OWRB), for review. Upon their
review, Owner and /or Engineer shall conduct a workshop with
representatives of both agencies over the document. Engineer
shall finalize the DM based on the results of the workshop.
B. Final Design Phase. The final design shall consist of the following tasks.
The final design phase will commence with the submission of the DM to
the agencies.
1. Project Management.
a. Administration. This task includes the following tasks:
1) Coordination of the project team.
2) Preparation of monthly progress reports to Owner.
In addition, Engineer shall also conduct a monthly
progress review meeting with the Owner at the
Engineer's office. This meeting will be scheduled

a. Unit Process Design. Finalize the design of improvements
to all unit processes presented in the preliminary design
memorandum. This shall include the processes listed in the
scope of improvements.
b. Structural Design. Prepare the design of all structures.
C. Site Improvements Design. Prepare the design of all site
related improvements including but not limited to roadways,
drainage facilities, grade structures, fencing, and
miscellaneous earthwork.
d. Yard Piping. Prepare the final design of all associated yard
piping.
e. Electrical Design. Provide and coordinate the final electrical
design of the required improvements. This shall include
coordination with PSO to confirm or improve the electrical
service to the lift station and process areas.
f. Contract and Bidding Documents. Prepare the contract and
bidding documents as required by the SRF Loan Program.
4. Design Reviews. Engineer shall conduct two design review
sessions with the Owner during the final design as follows:
a. 50 Percent Review. One session shall occur when the
plans and specifications are 50 percent complete. Two
copies of the 50- percent plans shall be provided to the
Owner for review one week in advance of the review
session.

the Owner to discuss details associated with the final deliverables.
Any changes agreed upon by all parties from this meeting will be
incorporated into the final plans and specifications.
11.
Presentation. Engineer shall make a presentation of the final plans
and specifications to the Owner's governing body.
12.
Submission. Engineer shall assist the Owner with the submission
of the final design documents to the ODEQ and the OWRB.
C. Bidding Phase. The bidding phase will commence upon Owner's
authorization to advertise for bids for the construction. These services
shall include the following.
1. . Advertisement. Coordinate the bid advertisement.
2. Pre -Bid Conference. Conduct the pre -bid conference.
3. Addenda. Prepare and issue all addenda.
4. Bid Opening. Attend and assist the Owner at the bid opening.
5. Bid Tabulations. Review all bids and prepare a bid tabulation.
6. Contract Award. Prepare a recommendation for award of the
construction contract.
7. SRF Bid Package. Coordinate completion of the contractor's
bidding forms including MBE /SBE/WBE documentation, and
prepare and submit the information package to the OWRB.
8. Contract Preparation. Coordinate the preparation and execution
of construction contract documents, and prepare and submit the
package to the OWRB.
D. Construction Phase. The construction phase will commence with the
preconstruction conference and will terminate upon written approval of
final payment and acceptance by the Owner. Engineer shall provide the
construction phase services if requested by the Owner. The scope and
compensation for these services shall be negotiated later.
E. Resident Project Representative. Resident project representative
services (resident inspection) will commence with the preconstruction
conference and will terminate upon final completion of the construction.
Engineer shall provide resident project representative services if
requested by the Owner. The scope and compensation for these
services shall be negotiated later.
F. Other SRF Services. Engineer shall provide these services if requested
by the Owner. The scope and compensation for these services shall be
negotiated later. The services are categorized below as those currently
required and those not required.

COMPENSATION
The following compensation provisions shall be made a part of the Agreement dated
the day of , 1995.
I. PAYMENTS FOR SERVICES AND EXPENSES OF THE ENGINEER:
A. Basic Engineering Services.
For basic engineering services performed under Article 3, the Owner will
pay the Engineer a lump sum as follows:
1. Preliminary Design Phase $ 84,400
2. Final Design Phase 64,400
3. Bidding Phase 9.000
Items 1,2 and 3, Total Lump Sum $15
4. Construction Phase
The scope and compensation for these services shall be
negotiated later if requested by the Owner.
5. Resident Project Representative
The scope and compensation for these services shall be
negotiated later if requested by the Owner.
Attachments B -1, B -2 and B -3 summarize the manhour estimates
associated with the above listed lump sum fees. These are for
information purposes only.
B. Additional Engineering Services. For authorized services performed by
the Engineer which are outside the Scope of Services outlined in
R 1
Attachment A of this Agreement, the Owner will pay the Engineer an
amount equal to actual hourly salary rates paid by the Engineer to
personnel assigned to the Project times 2.99 (1.84 for field
representation services), plus subcontract work, if any, and direct
expenses at cost plus 15 %. Billing rates will not exceed those set forth
in FHC's Rate Schedule (Attachment D).
II. TIMES OF PAYMENT: Invoices are due and payable within 30 days of date of
invoice. Invoices past due are subject to interest at the rate of 1 %Z % per
month.
A. Basic Engineering Services. For the basic engineering services performed
under Article 3, monthly payments shall be made in proportion to
services performed.
B. Additional Engineering Services. For additional engineering services,
monthly payments by the Owner shall be based on detailed invoices from
Engineer for work completed.

The following list of special Owner responsibilities and contract conditions shall be

1. Owner's Responsibilities.
a. Owner shall make available to the Engineer any necessary record
drawings, O &M manuals and other available documents on the existing
plant. The Engineer shall promptly return these to the Owner.
b. Owner shall provide all requested operation data for the existing plant for
the Engineer's use.

exceed $.15 per copy.
III. DIRECT COSTS
A. Travel. Travel from the office on project related business will be billed
at the hourly rates specified in "A" above. Charges for transportation,
taxis, meals, lodging, gratuities, etc., will be billed at cost plus 15%
markup with automobile travel not to exceed $.35 per mile. ,
B. Other. All other direct costs not covered herein shall be invoiced to the
client at direct cost plus 15% for handling. All such charges shall be ,
mutually agreed upon prior to submission to the client.
IV. ADJUSTMENT CLAUSE
These rates are subject to review on an annual basis and, therefore, may be I
revised.

SCHEDULE
The following schedule shall be made a part of the Agreement dated the day of

The work shall be completed within the number of calendar days shown below for
each activity following authorization to proceed or completion of the previous task as
designated.
1. Preliminary Design Phase.
a. Design Memorandum. Engineer shall complete the design memorandum
and submit the finalized design memorandum to the Owner, the
regulatory agency (ODEQ) and the funding agency (OWRB) within 120
calendar days following written authorization to proceed.
b. Agency Review. Engineer shall finalize the design memorandum based
on the agency review comments within 14 calendar days after receipt
of agency review comments.
2. Final Design Phase.
a. Plans, Specifications and Other Deliverables. Engineershall complete the
final design and submit final plans and specifications, ODEQ Application
for Permit to Construct, Opinion of Costs, and SRF forms for Owner's
review within 90 calendar days after the finalization and submission of
the design memorandum to the agencies. It is noted that subject to
Owner's approval, the final design phase may start immediately following
the preliminary design phase and concurrent with the agency review of
the preliminary design phase submittal.

b. Final Revision. Engineer shall finalize the plans and specifications and
submit to the Owner within 15 calendar days after receipt of Owner and
agency review comments.
3. Bidding Phase. L
The bidding phase will commence upon Owner's authorization to advertise for
bids for the construction. The schedule for this phase will be established later '
in consultation with the Owner. Assuming 30 days for advertisement, 30 days
for bid and contract preparation and 30 days for OWRB approval, this phase
can be expected take 90 days from Owner's authorization to bid. '
