Presentation of Employee of the Month Mr. Ray Mr. Ray will introduce the Employee of the Month for December 2004. 8. Consideration and appropriate action relating to a request for approval of the Consent Agenda. All. matters listed under "Consent" are considered by the City Council to be routine and will. be enacted by one motion. Any Councilor may, however, remove an item from the Consent Agenda by request. D. Action relating to Council acceptance of the Garrett Creek Commercial sanitary sewer system. The subject property is located west of the intersection of E. 116th Street North and U.S. Highway 169. Attachment # 8 -D Staff will recommend Council acceptance of the Garrett Creek Commercial sanitary sewer system. E. Action relating to Council approval of Ordinance No. 800, an ordinance approving the rezoning request of Henry Penix, as made in application number OZ 04 -12, and providing for the rezoning of approximately 9.274 acres, more or less, generally located at the southeast corner of E. 76th Street North and N. 1291h East Avenue, from AG (Agriculture) to CS (Commercial Shopping) and repealing all ordinances or parts of ordinances in conflict herewith. Attachment # 8 -E Staff will recommend Council approval of Ordinance No. 800 and has placed this item in the consent section of this agenda based on Council action taken November 16, 2004 to approve the rezoning request. F. Action relating to Council approval of Ordinance No. 801, an ordinance approving the rezoning request of Owasso Land Trust, as made in application number OZ 04 -13, and providing for the rezoning of approximately 30 acres, more or less, generally located on the east side of N. Action relating to Council approval of Ordinance No. 803, an ordinance approving a Planned Unit Development request from Owasso Land Trust as made in application number OPUD 04 -04, for property generally located on the east side of N. Garnett Road, approximately % mile south of E. 116"' Street North and repealing all ordinances or parts of ordinances in conflict herewith. Attachment # 8 -G Staff will recommend Council approval of Ordinance No. 803 and has placed this item in the consent section of this agenda based on Council action taken November 16, 2004 to approve the rezoning request. H. Action relating to Council approval of Ordinance No. 804, an ordinance approving a request from the Bailey Ranch Development Group for an amendment to OPUD 12 -A, for a portion of the northern perimeter of property generally located approximately '/4 mile south of E. 106t" Street North on the east side of N. Garnett Road, and repealing all ordinances or parts of ordinances in conflict herewith. Consideration and appropriate action relating to a request for Council acceptance of a donation to the City of Owasso from the Owasso Golden Agers organization. Ms. Worley Attachment #9 Staff will recommend. Council acceptance of the donation of a parking lot improvement project from the Owasso Golden Agers organization to the City of Owasso. The parking lot improvement project is located immediately east of the Owasso Community Center and is valued at $22,800. 10. Consideration and appropriate action relating to a request for Council approval of a contract for the purchase of real property between the City of Owasso and BYN, Inc. in the amount of $153,730.72 for the purchase of .35 acres of right-of-way. Mr. Ray Attachment #10 Staff will recommend Council approval of the contract, authorization for the Mayor to execute necessary documents for the purchase of .35 acres of right-of-way, and authorization for payment in the amount of $153,730.72 to f3YN, Inc. 11. Consideration and appropriate action relating to a request for Council authorization for the Mayor to execute an agreement between Oklahoma Natural Gas Company and the City of Owasso, such agreement for the relocation of gas facilities for the E. 96th Street North and N. Garnett road intersection improvement project, and authorization for the City Manager to terminate the agreement if determined that conditions of the agreement are not met. Consideration and appropriate action relating to a request for Council approval to purchase one Chevrolet Silverado 03500 Series service truck in the amount of $33,389.80, one Chevrolet 2500 Series regular cab truck in the amount of $17,835.26, and authorize payment. Ms. Stagg Attachment #12 Staff will recommend Council approve the purchase of one Chevrolet Silverado 03500 Series service truck from Classic Chevrolet in Owasso, Oklahoma for the Stormwater Division, in the amount of $33,389.80 and one Chevrolet 2500 Series regular cab truck from Speedway Chevrolet, Broken Arrow, Oklahoma for the Streets Division in the amount of $17,835.26 and authorize payment to each vendor. Staff will recommend City Council adoption of Resolution No. 2004 ®23 approving the proposed investment and proposed loan agreement. 14. Report from City Manager. OWASSO CITY COUNCIL MINUTES OF REGULAR MEETING Tuesday, November 16, 2004 The Owasso City Council met in regular session on Tuesday, November 16, 2004 in the Councill Chambers at Old Central per the Notice of Public Meeting and Agenda posted on the City Hall bulletin board at 5:00 p.m. on Friday, November 112, 2004. Is �11-1 The meeting was called to order at 6:30 p.m. The invocation was offered by Darin Hamm, Pastor of New Heights Church. ITEM 3. FLAG SALUTE Troop #80 of Owasso presented the American and Oklahoma flags and led the flag salute. Mayor Kimball took this opportunity to thank Troop #80 of Owasso and also welcomed Barnes Elementary's Webelo Park #57. Mayor Kimball, on behalf of the graduates of the first Owasso Citizens Police Academy, presented to each Council member an official Owasso Citizens Police Academy shirt. Mayor Kimball also introduced Doug Driver and Kelli Landers, from the Owasso Police Department, who were the coordinators of the Academy. ITEM 4. ROLL CALL A quorum was declared present. Action relating to a request for Council acceptance of the Chelsea Park streets and stormwater drainage system. D. THE SUBJECT PROPERTY IS LOCATED ONE-HALF MILE NORTH OF EAST 86TH STREET NORTH ON THE WEST SIDE OF NORTH 161ST EAST AVENUE AND CONTAINS APPROXIMATELY 47.48 ACRES, MORE OR LESS. CONSIDERATION AND APPROPRIATE ACTION RELATING TO A REQUEST FOR COUNCIL ACCEPTANCE OF A GRANT FROM THE U.S. DEPARTMENT OF JUSTICE IN THE AMOUNT OF $20,000.00 AND APPROVAL OF A SUPPLEMENTAL APPROPRIATION TO THE GENERAL FUND, INCREASING REVENUES AND EXPENDITURES OF THE POLICE DEPARTMENT BY $20,000.00. Chief Yancey presented the item. Mr. Cataudella moved, seconded by Mr. Thoendel, for Council acceptance of the "Secure Our Schools" grant from the U.S. Department of Justice and approval of a supplemental appropriation to the General Fund, increasing revenues and expenditures of the Police Department by $20,000.00. REPORT FROM CITY MANAGER None ITEM 17, RE, PORT FROM CITY ATTORNEY M Mr. Cataudella commended Troop #80 for their excellent job of presenting the flags and leading the flag salute. Mr. Cataudella also asked about the testing of the new sirens. Mr. Rooney answered that the sirens were tested last Friday at noon and resulted in a few small issues to be worked out. Mr. White, Director of Support Services, also added that silent tests would be done weekly. ITEM 19, NEW BUSINESS 1 0 Owasso City Council ITEM 20. The first step in the development of a piece of property in Owasso is annexation. Annexation is the method whereby land located outside- the city limits is made a part of the city. Property owners and land developers sometimes choose to have their property annexed into Owasso in order to receive Owasso municipal services, such as police protection, refuse collection, and sanitary sewer. The second step in the development of a piece of property in Owasso is rezoning. When a property is annexed into Owasso, by law it must come in classified for AG Agricultural use. In order to develop the property, the land must be zoned for particular kinds of uses, such as residential, office, commercial, or industrial. Rezoning decisions are made in accordance with the growth policy displayed in the Owasso Master Plan. One type of rezoning that a developer may choose to seek is a Planned Unit levelopment, or PUD. When a development proposes to exhibit a mixture of uses with specific regulations and standards unique to a particular tract of land, a PUD is often the preferred land use control mechanism. Another form of property division that can be considered in some cases is a lot split. Lot splits are minor subdivisions of property into three or fewer tracts, and do not provide for any new public streets. Typically, this is an appropriate option for a land owner who wishes to take large undeveloped parcels of Imid and divide it into two or three smaller tracts. The Owasso City Council will make the final determination whether or not to rezone the subject property to the requested classification or a less intense classification. If the zoning designation is changed by the City Council an ordinance officially declaring the rezoning of the property is written and adopted by the City Council making the change law. It is important to note that particular site details such as drainage, streets, and utilities are appropriately discussed during the development review phases (plat and site plan) and not during a rezoning hearing. If the request is approved, the subject property would be zoned RS-3 (Residential Single Family District). According to the City of Owasso Zoning Code only single family dwelling uses would be allowed on the subject property by right. The developer's intentions to develop a residential subdivision are consistent with requested zoning designation. The subject property is accessible from N. Garnett Rd. The major arterial is planned for future expansion to a 5 lane roadway to accommodate expected increase in traffic volume. The corridor has already experienced development such as the one proposed with this zoning request in Bailey Ranch Estates and Sawgrass Park less than one Uffle to the south and Country Estates less than one mfle to the north. The property is situated along the boundary line between City of Owasso water service district and Washington County Rural Water District 93. Details illustrating water service will be required during the platting stages. The property will be served sewer by the City of Owasso. First, an application for a PUD is filed with the Planning Commission. The application is accompanied by a fee in accordance with the established fee schedule. Such fee does not include advertising and sign costs that are billed to the applicant. Upon receipt of all appropriate materials the staff initiates the review process when begins with a thorough analysis of the proposal. The primary consideration is the proposals compliance with the Owasso Zoning Code, specifically Chapter 8. The PUD is then presented to the Owasso Technical Advisory Committee, when utility providers and staff are able to review and provide input on the proposals details. The Technical Advisory Committee along with city staff make a recommendation to the Owasso Planning Commission. The Owasso City Council will make a final determination "r whether the PUD proposal is complaint with the Owasso Zoning Code and consistent with development plans for the City of Owasso. If the Council approves the PUD an ordinance officially declaring the zoning change to PUD is written and adopted by the City Council. ANALYSIS Particular site details such as drainage, streets, and utilities are appropriately discussed during the development review phases (plat and site plan) and not during a rezoning hearing. During a public review a decision on zoning changes must be based on one fundamental question: does the requested zoning allow a and use that is appropriate for the subject property? The Owasso 2015 Master Plan identifies the subject property as having a future land use of residential. The Planned Unit Development proposes only residential single family development; therefore this request is consistent with the Owasso 2015 Land Use Master Plan. Residential developments such as that proposed in the Planned Unit Development have successfully integrated into various sectors in Owasso. The proposed development will connect to a compatible residential development, Remington Place t4 the northeast, while the property to the east is being planned residential as well. The property lies along the cast side of North Garnett Road; a main north/south arterial roadway in Owasso. Other compatible residential developments can be found along this roadway a mile to the north and south. Those developments have worked well and have created no objectionable issues in the area. The surrounding area is rapidly developing and the pace at which it develops is increasing. The Smith Farm Marketplace shopping center is currently under construction just one and a half miles to the south on N. Garnett Rd. This development will most likely accelerate the growth of Owasso and quite possibly have a tremendous impact on the N. Garnett Rd. corridor. In addition to the planned commercial development, a full service hospital has been planned for E. 106"' St. N. less than a quarter of a mile from N. Garnett Rd. As this sector of Owasso grows, development pressure will increase for the surrounding properties immediately to the north and south. The requested PUD, Winchester Ridge, is compatible with the developing trends in Owasso and will fill a residential need that seems to be rapidly growing. The applicant has effectively utilized the site, its existing features and thoughtfully arranged the site within the PUD. A property owners' association is proposed and at the platting stage of the development, detailed covenants and restrictions incorporating all conditions of the PUD shall be submitted. The applicant has identified the terrain of the area as relatively flat with some gently rolling terrain. The existing soils on the site would appear to create no unusual development problems that are not typically encountered in development in and around the City of Owasso. While the applicants have provided for an onsite detention pond and ample open space to accommodate detention and drainage needs; a detailed drainage report and certification of such document by an engineer will be required at the time of platting. The internal street layout appears to be of a logical and sensible pattern; providing for good connectivity. The development proposes its primary access from N. Garnett Rd. to the west while keeping open the options for connecting to future development with stubbed streets to the northeast and southeast. Sidewalks throughout the subdivision will be required during the development phases. The lot layout that is proposed within the PUD conceptual development plan is solid and would appear to meet the requirements of the Owasso Subdivision Regulations. 0 The requested development standards in the PUD are all within the requirements of the Owasso Zoning Code and allowable according to Chapter 8, Planned Unit Developments, LEGAL PLANNING CONSIDERATIONS OF PUDS ALLOWED BY CODE: BULK AND AREA REQUIREMENTS — As stated earlier, the applicant requests an RS-3 Single Family Residential District designation for the property. Sometimes, difficult development issues such as existing utility lines, wells, or easements are brought to light at the preliminary plat stage and must be remedied prior to development. Another form of property division that can be considered in some cases is a lot split. Lot splits are minor subdivisions of property into three or fewer tracts, and do not provide for any new public streets. Typically, this is an appropriate option for a land owner who wishes to take large undeveloped parcels of land and divide it into two or three smaller tracts. When the Center was built, a parking lot to the north of the building with a total of 24 spaces was provided, with 4 spaces allocated for handicapped accessibility. Additionally, there is a secondary gravel parking lot to the east of the Center. This lot is utilized when the spaces in the north parking lot are full. These parking spaces are not marked and there is no ramp to make the lot accessible to the surrounding sidewalks and /or the entrances to the Community Center. As a result, the east parking lot in its present condition it is not safe for the senior citizens and Community Center customers to use and does not meet City codes. In the fall of 2004, the City of Owasso prepared for submittal by the Owasso Golden Agers organization, a grant application to improve the east parking lot. Upon paving this lot, the number of spaces available for use by citizens will increase, as well as the number of handicapped parking spaces. Additionally, a ramp would make this lot accessible to the building and bring it into compliance with City and ADA codes. GRANT DETAILS The grant is from the Department of Commerce/ Office of Community Development. The Owasso Golden Agers were required to apply for the grant as funds were only available for senior citizen organizations. Earlier this month, the OGA received notification that they had received a grant in the amount of $22,800 to be used to pave the east parking lot and make it handicapped accessible. The funds will be administered to the OGA from the Department of Commerce, followed by the OGA issuing a check to Miser Asphalt Company when the project is complete and inspected according to code. Miser Asphalt Company, of Owasso, Oklahoma, submitted the lowest quote for the parking lot improvement project iii the amount of $23,800. ADDITIONAL FUNDING: As stated above, the total cost of the project would be $23,800 and the total grant amount received by OGA is $22,800, resulting in a $1,000 funding deficit for this project. Staff has reviewed the Community Center budget for FY 2004 -05 and is comfortable that the additional $1,000 can be absorbed. This can be accomplished as a result of cost savings elsewhere in the budget. The Community Center is a well utilized facility in Owasso and the improvement of the east parking lot is not only beneficial to OGA, but to several other organizations and the City. A complete list of the regularly scheduled activities at the Community Center is attached for your information and review. The remaining area included in the above description being right -of -way occupied by the present highway. 10 IMMI&I ► 1 ► RELOCATION SUBJECT: AGREEMENT FOR GAS FACILITIES WITH OKLAHOMA E AST 6 TI AND OROAD INTERSECTION .O DATE: December 2, 2004 BACKGROUND: Included in the Capital Improvements Plan, this project encompasses widening and signalization upgrade of the intersection at E. 96th Street North and N. Garnett Road, including construction of new sidewalk, curb and gutter and drainage improvements. Engineering design was initiated in August 2002 by C. H. Guernsey & Company and is scheduled for completion in December 2004. American Electric and Power (AEP), Southwestern Bell, Verdigris Electric Company, Oklahoma Natural Gas (ONG) and Cox Cable have engineered the relocation of utilities to allow for the construction of the improvements. All utilities, except for ONG's, arc located within the public ROW and have no dedicated easements, thus relocation will be at no expense to the City. ONG currently owns approximately 1,755 linear feet of low and medium pressure distribution pipelines to be relocated within the limits of the project. Of the total length, 1,440 linear feet are located outside the public ROAN and within a privately owned easement. This portion will have to be relocated at an estimated cost to the City of $87,842.00 including material, labor, and contract administration. AGREEMENT FOR GAS FACILITIES LOCATION: The Agreement (see Attachment A) contains language outlining how ONG will be reimbursed for the work and what the relocation costs will be based on. The City will reimburse ONG within thirty (30) days of completion of work, which is estimated to be mid - August. ® Relocation costs will be based on actual relocation costs. ® ONG will award and pay for the work based on competitive bids or continuing contract, whichever is deemed most practical and economical by ONG. If the contract is awarded at a higher amount than the estimate, ONG will send the City a written notice, and the City will have the right to terminate the agreement within ten (10) days of reccipt of notice. Page Agreement For Gas Facilities Relocation E. 96th Street North and N. Garnett Road Intersection Improvements ® ONG easements shall be considered to retain precedence so that any City project in the future requiring additional relocations of the same facilities shall be paid by the City. The City Attorney has reviewed this agreement and found it acceptable. FUNDING: Sufficient funds remain in the Capital Improvements Fund for this project. Item l: Staff recommends Council approval of authority for the Mayor to execute the Agreement for Gas Facilities Relocation between Oklahoma Natural Gas Company and the City of Owasso for E. 96th Street North and N. INTERSECTION Oklahoma Natural Gas Company, a Division of ONEOK, Inc., hereinafter called "Company," owns various medium - pressure and low - pressure distribution natural gas pipelines within the construction limits of the referenced project in the City of Owasso, Tulsa County, Oklahoma, which Company utilizes in the discharge of its duties as a public service corporation. City of Owasso, Oklahoma, a municipal corporation, hereinafter called "City," has requested Companyto relocate these facilities to accommodate the proposed construction of the referenced project as shown on plans therefore, the latest of which were received electronicallyby Company on September 21, 2004. City agrees to reimburse Company in the extent and manner hereinafter stated for that portion of the cost of relocating said facilities which is for the benefit of City. Company proposes to perform the necessary relocation of its facilities in substantial accordance with the eight plan sheets and the three -page cost estimate, all dated October 15, 2004, of which four copies each are attached. Company will bear the cost of relocating the portions of the facilities which do not occupy private rights -of -way. The City's share of the estimated cost of the necessary relocation will be $87,842, all of which is to be reimbursed to Company by City. City by accepting the proposal agrees that City shall reimburse Company for its share of the total actual relocation costs, said costs being arrived at in the same manner as used in Company's estimated cost of the project attached hereto. Such relocation costs will be based upon, but not necessarily limited to, material suppliers', work contractors', and equipment - rental invoices; and at then - current rates and prices, company's transfer and stores expense charges for warehoused materials; payroll time sheets; indirect labor charges; auto, truck, and equipment use records; expense statements; and standard allocated overhead charges. Company's award of and payment for contracted work will be based upon competitive bids or continuing contract, whichever appears to the Company will be most practical and economical. It is further understood, and City by accepting this proposal agrees, that City will reimburse the Company in accordance with this agreement within thirty (3 0) days after the said relocation work has been completed and Company's statement for City's costs thereof has been submitted. Company agrees that in the event Company should determine prior to commencement of construction that the revised estimated amount of the reimbursement by the City may exceed the estimated cost as stated herein, Company shall notify the City of such determination in writing. City shall have the right to terminatethis agreementwithin ten (10) days of receipt of such said written notice. If City elects to so terminate, City shall pay Company the City's share of any engineering cost incurred to date of termination. If the City does not terminate the agreement -within the ten (10) days, it shall remain in full force and effect. The Company by agreeing to or by abandoning, relocating, or modifying any of its facilities pursuant to this agreement shall not thereby be deemed to have abandoned, modified, released, or otherwise destroyed any of its rights existing at the time of the execution of this agreement under valid and subsisting private right-of-way easements granted to, obtained by or through condemnation, or otherwise vested in the Company unless the Company shall have released same by written instrument. Page 1 of 3 Further, should the Company in the course of relocating the above - described facilities relocate any of such facilities presently located on private right -of -way onto public right -of -way, the Company shall be deemed in respect to such facilities to have retained sufficient easement and other rights such that if said facilities are encompassed within any future governmental project requiring relocation, adjustment, or abandonment of such facilities, that the Company shall be entitled to reimbursement for the cost of such relocation, adjustment, or abandonment from the governmental agency requiring the same; provided, however, this provision shall not be construed as requiring reimbursement by the City of Owasso except when such relocation, adjustment, or abandonment is required for a project of the City of Owasso. Any changes made by the City in this proposal as submitted by the Company shall be subject to the written acceptance thereof by the Company before there is any binding contract between the parties. City by accepting this proposal warrants that it now has or will have unencumbered funds available with which to pay the relocation costs to the extent herein above provided. If this proposal is not accepted by the City within one (1) year from the date of this letter, this proposal shall automatically terminate and thereafter shall not be subject to acceptance by the City unless the proposal is reinstated by Company. PUBLIC WORDS DIRECTOR SUBJECT- PURCHASES 1 1, COLLECTION DIVISIONS BATE: October 25, 2004 BACKGROUND In May 2004, in response to the growing service needs of the community, City Council approved funding for the purchase of three new vehicles: two (2) 1 -ton and one (1) 3/a -ton service trucks for the Public Works Department. hollowing Council approval, technical specifications were prepared for each vehicle to allow for differences in service body features and chassis requirements. Custom features such as four -wheel drive, front /rear all- terrain tires, removable steel overhead ladder racy, storage compartment lighting, spray -on bed liner and steel screen cab protector were included as alternates to provide an option should the combined cost for the base vehicle and alternate components exceed available funding. Per the above tabulation, Speedway Chevrolet is the lowest apparent responsible and responsive bidder on all three vehicles, however the differences between Speedway Chevrolet bid and Classic Chevrolet bid on the Stoimwater and Wastewater vehicles is less than $923 for each vehicle. Because this difference represents less than 3% of the cost of each vehicle, and because Classic Chevrolet is a local vendor, staff is recommending that the bids for the Stormwater and Wastewater vehicles be awarded to Classic Chevrolet. Recommendation for award was delayed by four weeks pending opening of the State of Oklahoma (Department of Central Services) contract bids in November 2004. Following bids were opened, it was discovered that although all three vehicles could be purchased at a comparable price through state contract bids, modifications would be required to match city specifications. The additional work will result in no savings to the city. FUNDING SOURCE- Funds for the purchase of the vehicles are included in the FY 04-05 Capital Outlay budgets for each of the Stormwater, Streets, and Wastewater Collection Divisions. SUBJECT: RESOLUTION 2004 ®23 INVESTMENT IN A REVENUE ANTICIPATION NOTE DATE: December 3, 2004 Over the past ten years, the City of Owasso and its trust authorities have utilized Revenue Anticipation Notes (RAN) several times with good results for both the city and the authority. The City of Owasso utilizes a "pooled" cash system for the receipt, disbursement and investment of funds. The Consolidated Cash Fund includes all cash for the city and the trust authorities (except OEDA). One investment option available to the City is a RAN issued by a trust authority of the city. A RAN offers advantages for both the Authority and the City. The Authority can borrow funds through a fairly simple process at a low interest rate and the City can acquire a secure investment at a good interest rate. This proposed Revenue Anticipation Note would provide funds to the OPWA to defease the Authority's Series 1997, Revenue Refunding Bonds and the Series 1998, Revenue Ponds. The exact amount of cash needed for the defeasance will not be known until the securities are purchased for the escrow. The amount will be approximately $3,740,000. The proposed RAN is for an amount not to exceed $3,800,000. The RAN will pay 2% interest semiannually to the city on the balance of the note. The RAN matures and the principal will be due December 1, 2007 but may be prepaid at any time. Principal and interest on the note will be paid from the third -penny sales tax which was the source of debt service payments on the bonds being defeascd. City Resolution No. 200423 authorizes the city treasurer to invest an amount not to exceed $3,800,000 in a Revenue Anticipation Note issued by the Owasso Public Works Authority and approves the indebtedness of the OPWA. OPWA Resolution No. 2004-08 authorizes the issuance of the Revenue Anticipation Note by the OPWA and authorizes the execution of all necessary documents. The resolution also authorizes the expenditure of the proceeds to defease the revenue bonds. Staff recommends Council approval of Resolution No. 200423 authorizing the City Treasurer to invest in a Revenue Anticipation Note issued by the OPWA and approving the indebtedness of the OPWA. I.r W I��111Ti 1 City of Owasso Resolution No. 2004 -23 Revenue Anticipation Note Loan Agreement MIN WHEREAS, the City Council of the City of Owasso, Oklahoma, finds that the City presently maintains funds that have reserves which have reached a level that would allow for investments of a significant nature and for long term investments that might produce a higher yield; WHERE AS, the City Council of the City of Owasso, Oklahoma, finds that investment opportunities are problematical due to the low level of interest rates presently existing in the market as well as legal. restrictions placed upon the placement of public funds in the market; WISE WHERF AS, the City Council of the City of Owasso, Oklahoma, finds that after exploration of several investment opportunities and the discovery that the return on investments of a traditional nature would not be significant, alternatives to traditional investments that would produce a higher yield in an otherwise depressed investment climate have been ascertained; WHERE' AS, the City Council of the City of Owasso, Oklahoma, has determined that the Owasso Public Works Authority, an Oklahoma public Trust, having the City of Owasso, Oklahoma, as its beneficiary, has a present need to raise additional funds for defeasance of the Authority's 1997 and 1998 Revenue Bonds; WHERE AS, the City Council of the City of Owasso, Oklahoma, finds that a present need in the amount not to exceed Three Million, Eight Hundred Thousand Dollars ($3,800,000) exists on the part of the Owasso Public Works Authority, and that the Owasso Public Works Authority, is desirous of obtaining such funding from the City of Owasso, Oklahoma in a manner that would produce for the City higher yield on its investments while at the same time assisting the Owasso Public Works Authority in defeasing its Revenue Bonds; and, WHERE, AS, under the public finance provisions of the statutes of the State of Oklahoma, relating to municipal investment of funds, 68 O.S. SECTION THREE. That in accordance with public finance provisions of the Statutes of the State of Oklahoma relating to municipal investment of funds, 68 O.S. Section 348.1(5), the income received by the City of Owasso from the investment herein contemplated shall be placed, on a pro rata basis as hereinafter set forth, in the Contributing Funds within the City of Owasso, Oklahoma Consolidated Cash Account. Such pro rata distribution of income shall be made on the percentage basis that the Contributing Fund within the Consolidated Cash Account of the City of Owasso, Oklahoma, bears to the Contributing Funds within the Consolidated Cash Account of the City of Owasso, Oklahoma. Certain monies of the Capital Improvements Fund described in Section One above will be excluded from the pro rata calculation of Contributing Funds. The Borrower may prepay this Note, in whole or in part, at any time prior to the due date hereof, without penalty. If any payment shall be due on a Saturday or Sunday or upon any banking holiday of the holder hereof, such payment shall be due and payable on the next succeeding banking day and interest shall accrue to such day. This Revenue Anticipation Note is the Revenue Anticipation Note referred to in that certain Loan dated as of the I 01 day of December, 2004, by and between the Borrower and the City (the "City ") given and entered into to secure this note, the proceeds of which the City is loaning to the Borrower to defease Borrower's Series 1997, Revenue Refunding Bonds and Series 1998, Revenue Bonds. Except as may be herein otherwise specifically provided, the rights and obligations of the Borrower and the City arising by virtue of this Revenue Anticipation Note as well as the Agreement above referred to, shall be governed by the Agreement as if same were specifically incorporated herein, such Agreement surviving the issuance, execution and delivery of this Revenue Anticipation Note, The City may, at any time prior to the due date of payment of this Revenue Anticipation Note call for an early pre - payment in whole, or in part, if it is determined by the City, in its sole discretion, that the funds heretofore advanced pursuant to this Revenue Anticipation Note are needed by the City for its operations, governmental or proprietary, and the Borrower is afforded a reasonable opportunity to obtain reasonably satisfactory refinancing hereof. All parties (makers, sureties, guarantors and all others now or hereafter liable for payment of all or any portion of the indebtedness evidenced by this Revenue Anticipation Note) severally waive demand, presentment, notice of dishonor, protest, notice of protest, and diligence in collecting this Revenue Anticipation Note and diligence in bringing and prosecuting suit against any party bound hereby, and agree that no extension, renewal or partial payment, or release or substitution of collateral before or after maturity, with or without notice, shall release or discharge the obligation of any party. Upon the failure to pay when due the principal and or interest, the holder hereof shall be entitled, at its option, to extend the term or declare the unpaid principal balance of this Revenue Anticipation Note to be immediately due and payable. A failure by such holder to exercise such option will not constitute a waiver of the right to exercise the same in the event of any subsequent default. After maturity (whether by extension, acceleration or otherwise), interest shall accrue hereon at a rate of interest of ten percent (10 %) per annum. If this Promissory Note is placed with an attorney for collection upon any default, or to defend or enforce any rights of the holder(s) hereunder or any instrument securing payment of this Revenue Anticipation Note, or if this Revenue Anticipation Note is collected through bankruptcy or other judicial proceeding, the Borrower agrees to pay the reasonable attorney fees of the holder(s) of this Revenue Anticipation Note and all reasonable costs and expenses incurred in connection therewith. WITNESSETH: WHEREAS, the City has determined to make a loan to the Authority, aggregating $3,800,000.00 to be evidenced by the Authority's Revenue Anticipation Note payable to the order of the City in the original principal amount not to exceed $3,800,000.00, (the "Note ") to enable the Authority, pursuant to certain of its approvals, to defease the Authority's Revenue Bonds; and WHEREAS, pursuant to the terms and conditions hereinafter set forth, the City is wiling to make such loan to be evidenced by the Note; and WHEREAS, the payment of the Note is to be made from the general revenues of the Authority, receipts and receivables, under the conditions as set forth hereinafter. NOW, THEREFORE, in consideration of the mutual agreements herein made and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: � 1.1 The City's Commitment. The City agrees, subject to the terms and conditions of this Agreement, to make the loan to the Authority in the amount of $3,8)0,000.00. 1.2 Issuance of the Authority Note. Subject to the terms and conditions hereof and in reliance on the representations and covenants made herein, the Authority agrees to issue the Note to the City. The loan shall be repaid with interest in accordance with the terms of the Note. The Note shall be delivered to the City at a closing (the "Closing ") which will occur at such time and place as may be agreed on by the Authority and the City. Upon the issuance and delivery of the Note, and the satisfaction of all the conditions precedent of this Agreement, the City shall advance the proceeds of the loan to the Authority to defease the Revenue Bonds. 1..3 Terms of the Note. The Note shall be in substantially the form set forth in Exhibit Aattached hereto. Interest shall accrue, be payable and subject to adjustment, as provided for in the Note on the outstanding and unpaid principal balance thereon from the date of first advance thereon until payment in full thereof as set forth and provided therein. 1.5 Payments, etc. Payment of principal and interest on the Note and other charges under this Agreement to be made to the City shall be made in lawful money of the United States of America, and shall be made at City's principal office in Owasso, Oklahoma, not later than 11:00 o'clock a.m. on the date due. If any such payment falls on a Saturday, Sunday or public holiday at the place of payment thereof, then such due date shall be extended on the next succeeding full business day at such place and interest shall be payable in respect of such extension. WYMMMM 2.1 Conditions. The obligations of the City to make the loan pursuant to this Agreement are subject to there being no Event of Default hereunder or an event which with notice or lapse of time would become an Event of Default hereunder and the City having received in form and substance satisfactory to it: (a) A duly certified copy of the resolutions of the Authority authorizing execution and delivery of this Agreement, and related instruments, and the issuance, execution and delivery of the Note; (b) Original duly executed counterparts of this Agreement, (c) Such certificates, documents and certificates respecting the Authority, as City counsel shall reasonably require; (d) Such opinions of counsel for the Authority, as City counsel shall reasonably require; (e) A detailed description and cost breakdown analysis of the Defeasance as the City may reasonably require; and (f) Such other and further materials and /or information as the City may reasonably request. ARTICLE M 3.1 Special Obligation. The Note shall constitute a limited and special obligation of the Authority. The principal of and interest on the Note shall be payable by the Authority solely from, and shall be enforceable only out of the revenues of the Authority being hereby pledged by the Authority to such payment. The Note and all other obligations of the Authority hereunder shall not be construed or considered to be an indebtedness of the City of Owasso, Oklahoma, or any municipality, county or political subdivision of the State of Oklahoma within the meaning of any constitutional or statutory provision of the State of Oklahoma, under any circumstances. 3.2 Satisfaction of Debt. Notwithstanding anything to the contrary contained herein or in the Note, or in any instrument or document executed by or on behalf of the Authority in connection herewith, no stipulation, covenant, agreement or obligation contained herein or therein shall be deemed or construed to be a stipulation, covenant, agreement or obligation of any present or future member, trustee, officer, employee or agent or any successor to the Authority, in any such person's individual capacity, and no such person, in his individual capacity, shall be liable personally for any breach or nonobservance of or for any failure to perform, fulfill or comply with any such stipulations, covenants, agreements, or interest on the Note or for any claim based thereon or on any such stipulation, covenant, agreement or obligation, against such person, in his individual capacity, either directly or through the Authority or any successor to the Authority, under any rule of law or equity, statute or constitution or by the enforcement of any assessment or penalty or otherwise, and all such liability of any such person, in his individual capacity is hereby expressly waived and released. The Authority and the City expressly recognize and agree that this Agreement, the Note and any documentation issued, executed and delivered therewith, are subordinate and junior to all Revenue Bond obligations or Promissory Notes of the Auhority currently outstanding or to be issued in the future. IN,, • The Authority hereby agrees with the City that, so long as the Note remains outstanding: 4.1 Performance of Agreements. The Authority shall take all action and do all things which it is authorized by law to take and do in order to perform and observe all covenants and agreements on its part to be performed and observed under this Agreement and the Note and in order to provide for and to assure payment of the principal of the Note and interest thereon when due. 4.2 Creation of Charges on Revenues. Left blank intentionally. 4.3 Amendment. The Authority shall not alter, amend or repeal the resolutions described in Section 2.1(a) hereof, or, without the prior written consent of the City, agree to any alteration or amendment of any of the instruments described in Sections 2.1(b) and 2.1(c) hereof, or take any action impairing any authority, right or benefit given or conferred by such resolution or instruments. 4.4 Payment. The Authority shall pay or cause to be paid the principal of and the interest on the Note as the same becomes due, whether by acceleration or otherwise, but solely from the sources referred to in Article III hereof. 4.5 Representations and Warranties of Authority. The Authority represents and warrants to the City as follows: (a) The Authority is an Oklahoma public trust duly organized, validly existing and in good standing under the laws of the State of Oklahoma and all other states in which it is necessary that the Authority be qualified to do business. (b) The Authority and the Owasso City Council have taken all necessary actions to authorize entering into this Agreement and to authorize the execution and delivery of the Note, and the other documents contemplated hereby. (c) The execution and delivery of this Agreement and, the Note, will not cause, constitute or result in a breach of any agreement, contract or other undertaking to which the Authority is a party. (d) The Authority shall deliver to the City copies, certified by the Authority's Secretary, of all resolutions and actions undertaken by the Authority or the Owasso City Council to authorize this transaction. (e) The Authority shall maintain its existence in Oklahoma. (f) The Authority shall deliver to the City, within one week after they are prepared, copies of the Authority's quarterly financial statements. 5.1 Events of Default. Any one or more of the following shall constitute and "Event of Default" hereunder; (a) Nonpayment when due of interest and principal in accordance with the terms of the Note; or (b) The attachment of any involuntary lien in the sum of $25,000 or more, of any kind or character, upon the Revenues, or any portion thereof, except for taxes due but not in default and liens being contested in such a manner as to prevent execution on the Property; or (c) The entry against the Authority of any judgment in an amount of $25,000 or more on a claim not covered by insurance which is not discharged within thirty (30) days of such judgment becoming a final judgment; or (d) If the Authority shall apply for or consent to the appointment of a receiver, a trustee or liquidator of themselves or itself, or of all or a substantial part of its assets, or (ii) file a petition or answer seeking reorganization or admit (by answer, default or otherwise) the material allegations of a petition filed against them in any reorganization proceeding; or (e) If the Authority shall (i) become insolvent, generally fail to pay, or admit in writing its inability to pay its respective debts as they fall due, (ii) make a general assignment for the benefit of its creditors, (iii) be adjudicated as bankrupt or insolvent, or (iv) file a voluntary petition in bankruptcy or file a petition or answer seeking an arrangement with creditors or to take advantage of any insolvency laws or admit (by answer, default or otherwise) the material allegations of a petition filed against it in any bankruptcy, arrangement or insolvency proceeding, or take or omit to take any action for the purpose or with the result of effecting any of the foregoing; or (f) If the petition in bankruptcy is filed against the Authority and is not dismissed within thirty (3 0) days, or if an order, judgment or decree by any court of competent jurisdiction shall be entered, adjudicating the Authority to be bankrupt or insolvent, without the application, approval or consent of the Authority or if the Authority shall seek or consent to or fail to timely contest of any order, judgment or decree appointing a custodian of all or a substantial part of its assets, or if the Authority shall seek or consent to, or fail to timely contest any order, judgment or decree approving a petition seeking reorganization or appointing a receiver, trustee or other custodian or liquidator of all or a substantial part of its assets; or (g) The breach of, or default under, any covenant, agreement, term, condition, provision, representation or warranty contained in this Agreement, the Note, not specifically referred to in this Section, if such breach or default is not cured within thirty (30) days of the occurrence thereof; or (h) In any event of default shall occur and shall continue for more than the period of grace, if any, provided with respect thereto, under this Agreement, 5.2 Remedies of Default. Whenever any Event of Default referred to in Section 5.1 hereof shall have occurred, the City may take any one or more of the following remedial steps: M (a) Declare all amounts payable hereunder and pursuant to the Note or any renewal thereof, to be immediately due and payable without notice of default, presentment or demand for payment, protest or notice of nonpayment or dishonor, or other notices or demands of any kind whatsoever, whereupon the same, together with the accrued interest thereon, shall become immediately due and payable; or (b) Take whatever action at law or in equity may appear necessary or desirable to collect the amount then due and thereafter to become due, or to enforce performance or observance of any obligations, agreements, covenants of the Authority under the Note, this Agreement, or otherwise. S,! 1i5VA � 6.1 Defeasance. If the Authority shall pay or cause to be paid or otherwise provide for, or there shall otherwise be paid or provided for, the principal and the interest on the Note and all other amounts payable by the Authority at the times and in the manner stipulated in this Agreement or the Note, then all covenants, agreements and other obligations of the Authority hereunder shall thereupon terminate and be discharged and satisfied. 6.2 Waivers, etc. No failure on the part of the City to exercise and no delay in exercising, and no course of dealing with respect to, any right under this Agreement, or any other agreement or instrument referred to in this Agreement, shall operate as a waiver thereof; nor shall any single or partial exercise of any such right preclude any other or further exercise thereof or, the exercise of any other right. The remedies herein and therein provided are cumulative and not exclusive of any remedies provided by law. 6.3 Successors, etc. This Agreement shall be binding upon and inure to the benefit of the parties hereto and any subsequent holder of the Note and its successors and assigns. 6.4 Governing Law. This Agreement shall be construed in accordance with, and governed by the laws of the State of Oklahoma. 6.5 Amendments. This Agreement may not be amended, modified, or waived except with the written consent of the parties hereto. 6.6 Notices. All requests and notices under the Agreement shall be hand delivered or sent by United States Mail, postage prepaid, addressed as follows, except that either party may be written notice change of address, its counsel or its counsel's address for subsequent notices to be given hereunder: Authority Owasso Public Works Authority 11.1 N. If any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision hereof. 6.9 Execution in Couterparts. This Agreement may be executed in several counterparts, each of which shall be an original and all of which shall constitute one and the same instrument.
