Contract for Sports Park Parking Lot Improvements.

The staff has completed the bidding process, opened the bids received, and will recommend
that a contract for improvements to the Sports Park Parking Lot be awarded to Ashlock Dozer
Service, Skiatook, OIL in an amount not to exceed $90,956.25, based on unit pricing.
10. Consideration and Appropriate Action Relating to a Request for the Purchase and
Construction of a Restroom at Bailey Ranch Golf Course.

The staff will recommend City Council approval of the total restroom project, to include
restroom, water and sewer taps, slab and sidewalk areas, and landscaping, in an amount not
to exceed $35,000.
11. Consideration and Appropriate Action Relating to a Request for Council Approval of a
Contract for the Purchase of Real Property, Such Purchase for the Purpose of Acquiring
Additional band for the Expansion of the Existing Owasso Sports Park.

The staff will recommend City Council approval of a contract between the City of Owasso
and Owasso Land Trust for the acquisition of 80 acres of land located immediately south of
the Owasso Sports Park, such contract in the amount of $1,590,000.00 and contingent upon
specific factors, and authorization for the Mayor to execute the contract.

Tuesday, January 7, 2003
The Owasso City Council met in regular session on Tuesday, January 7, 2003 in the Council
Chambers at the Owasso Community Center per the Notice of Public Meeting and Agenda
posted on the City Hall bulletin board at 4000 p.m. on Friday, January 3, 2003.
ITEM 1: CALL TO ORDER
Vice Mayor Cochran called the meeting to order at 6031 p.m.

The invocation was offered by Father Richard Bradley, St. Henry's Catholic Church.
ITEM 3: FLAG SALUTE
The colors were presented and the flag salute let by Boy Scout Troop 2002 from St. Henry's
Catholic Church. Hollowing the flag salute, Mr. Ray introduced Scoutmaster John Foster and
members of the troop.

Mr. Moore said that the City has received a request to annex 49.99 acres located on the cast side
of N. 97th East Ave, approximately 800 feet south of the intersection of N. 97th East Ave. and E.
116'h St. N. The Owasso Annexation Committee and the Owasso Planning Commission have
heard the request, and recommended approval. Mayor Helm moved, seconded by
Ms. Armstrong, to approve the requested annexation.

Motion carried 5-0.
Mr. Ray introduced Public Works Director Robert Carr, who presented the character trail for the

Tuesday, January 14, 2003
The Owasso City Council met in a special meeting on Tuesday, January 14, 2003 in the Main
Conference Room at Owasso City Mall per the Notice of Public Meeting and Agenda posted on
the City Hall bulletin board at 4:00 p.m. on Friday, January 109 2003.
ITEM 1: CALL TO ORDER.
Mayor Helm called the meeting to order at 6:00 p.m.

City Attorney Stephen Gray discussed with the Council the Open Meeting Act and the Open
Records Act.

B. Sports Park Parking Lot Paving
C. Acquisition of Property South of Sports Park
Mr. Warren discussed the proposed work to be done on the Rayola Park drainage channel. He
also discussed with the Council the bids received on the Sports Park Parking Lot Paving Project.
There was discussion as to whether to accept the low bid for chip and seal or to accept the higher
alternate bid for overlay. After a lengthy discussion, it appears that the best solution for the City
at this time is the chip and seal _bid. This item will be placed on the January 21St regular agenda
for action. Mr. Rooney discussed the proposed purchase of 80 acres south of the Sports Park to
allow for expansion. At this time staff is proposing to enter into a contract which commits the
City to purchase the land if a proposed bond election is held and the vote is favorable. The
contract will prevent the land from being developed until an election is held. If a vote should not
be favorable, the land would revert back to the current owners. This item will be on the January
21" agenda for action.
Owasso City Council January 14, 2003
ITEM 4: DISCUSSION RELATING TO GOLF COURSE RESTROOM.
Mr. Carlson briefed the Council on a proposal to construct a restroom at the northwest corner of
the golf course. It is being placed at this location because of the accessibility of sewer and water.
The restroom is prefabricated and the cost is $24,998. Adding the cost of water and sewer taps,
slab and sidewalk areas, and landscaping, the total cost will not exceed $35,000. This item will
be placed on the January 21St agenda for action.

Planning Commission.
Mr. Moore briefly discussed, two zoning requests and a final plat that will be placed on the
Janaury 21" agenda for action. He discussed other items heard by the planning Commission that
are not ready for Council action.
ITEM s : DISCUSSION RELATING O FINANCIAL ITEMS.
Ms. Bishop discussed the financial reports for the month of December, as well as year-to-date
revenues and expenditures. She discussed the sales tax receipts and compared the last five years.

Mr. Ray said that a plan for the replacement of police vehicles is being developed. He discussed
the golf course and a study currently under way of the structure, revenues and expenses. A new
fee structure is being developed and will be discussed at the next work session. The upcoming
Town Hall meetings were discussed at some length.

At the January 7, 2003 meeting, the Owasso City Council unanimously approved a request for
the annexation of property totaling approximately 2.75 acres, more or less. The subject property
is located on the north side of E. 96"' St. N. approximately 300 feet cast of the E. 96"' SL N. and
N. Garnett Rd. intersection.
Attached is a copy of Ordinance No. 7379 which formally adopts the City Council's action of
January 7, 2003.

WHEREAS, pursuant to the provisions of Title 11, Section 21403, et seq., of the
Oklahoma Statutes, the City of Owasso is permitted to annex additional territory providing a
petition in writing, signed by not less than three- fourths of the legal voters and owners of not less
than three - fourths (in value) of the property hereinafter described, the same being contiguous to
the corporate limits of the City of Owasso, requesting that said property be armexed and added to
the City of Owasso is submitted; and
WHEREAS, notice of the presentation of said Petition was given by the Petitioner by
publication in the Owasso Reporter, a newspaper of general circulation published in the City of
Owasso, Oklahoma, and notice was given that said Petition would be considered by the City
Council of the City of Owasso, at a meeting to be held on January 7, 2003 at 6:30 p.m. at the
Community Center, Owasso, Oklahoma; and
WHE , AS, on the 7` }' day of January, 2003, said Petition was duly considered by the City
Council and was determined to have complied with the provisions of Title 11, Section 21 -103, et
seq., of the Oklahoma Statutes, and further, that proper legal notice of presentation of said
petition had been given.

BACKGROUND:
Final inspections for the streets were conducted on November 21, 2002. The sanitary sewer
system and the storm drainage system were inspected on January 99 2003 . All items identified at
the final inspection requiring correction to meet city standards have been completed except for
the installation of the gas meter and the telephone line for the wastewater lift station. These
installations should be complete by January 22, 2003, but are beyond the control of the
developer. The contractors have provided a two-year maintenance bond for the streets and one-
year maintenance bonds for the storm drainage system and the sanitary sewer system (see
attached).

DATE. January 17, 2003
The subject addition is located approximately 0.3 miles east of the northeast comer of 96"' Street
North and Garnett Avenue (see attached map). The water system lies within Rural Water District
#3, Washington County, The sanitary sewer totals 1,134 linear feet of 8-inch PVC line. Designs for
the streets were reviewed, approved and construction inspected by the Public Works Department.
Final inspections were conducted on January 3, 2003 for the streets and August 21, 2001 for the
sanitary sewer. All items identified at the final inspection requiring correction to meet city standards
have been completed.
The recommendation to accept the sanitary sewer was delayed until the Public Works Department
received the appropriate maintenance bonds. Bonds were not received until August 27, 2002. At
that same time, the developer stated that street signage correction indicated in the final inspection
punch list would be in place soon. Installation was anticipated to occur within a few weeks;
therefore, streets and sanitary sewer could be presented to the Council for acceptance
simultaneously. However, street signage was not installed until mid-December 2002 and inspected
in early January 2003.
The contractors have provided a two-year maintenance bond for the streets and a one-year
maintenance bond for the sanitary sewer (see attached). Each bond has blank dates that will be filled
in upon Council acceptance and bonding periods will be started at that time.
Staff recommends Council acceptance of the Owasso Market 11 streets and sanitary sewer.

The FY 2002903 Budget included funding for Capital Improvement Projects for several different projects
throughout the City of Owasso. Included in that project list was funding to provide improvements to the
Sports Park parking lot. A total of $100,000 was budgeted for this improvement,
In December, the Parks Department began the process of advertising for bids in order to provide an
improved surface to the parking lot. The bid packet was developed with a base bid and an alternative bid
specification. The base bid included final grading and excavation (necessary to remove large rocks and
stones in the existing gravel parking lot) and a double bituminous surface treatment (chip seal) overlay.
The alternate included final grading and excavation and three inch asphalt overlay.
All bids were to be received by January 7, 2003 at 2:00 PM. A total of ten bid packets were picked up
from the City Clerk's office, four of which submitted bids. The City of Owasso received bids from the

A review of all bids received indicates all are in compliance with bid specifications.
Ashlock Dozer of Skiatook, Oklahoma was the qualifying low bidder. Although not previously awarded a
contract with the City of Owasso for any type of paving improvement, a review of the references of
Ashlock Dozer were positive, with work being completed recently in the Town of Skiatook.
Please note that the bid specifications for this improvement were based on unit prices, and the total cost of
the improvement could be more if there is any unforeseen circumstance encountered with this project.
However, because it is an existing parking lot and the area is predetermined, the likelihood of this
occurring is minimal.
FUNDING:
Funds for the parking lot improvement were included within the Capital projects Department budget in the
amount of $100,000.
RECOMMENDATION-
Staff recommends Council approval of proposed parking lot improvements at the Owasso Sports lark to
be completed by Ashlock Dozer of Skiatook, Oklahoma in an amount not to exceed $ 90,95625

AGREEMENT
THIS AGREEMENT is dated as of the 21" day of January, 2003, by and between the City of
Owasso, Oklahoma (hereinafter called OWNER) and Ashlock Dozier Service (hereinafter called
CONTRACTOR),
OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth,
agree as follows:

The project has been assigned to the Project Manager or his duly authorized representative, who
is hereinafter called ENGINEER and who will assume all duties and responsibilities and will

ARTICLE 3. CONTRACT TIME
3.1 The Work will be substantially completed within SIXTY (60) calendar days from the

3.2 Liquidated Damages. OWNER and CONTRACTOR recognize that time is of the

ARTICLE 5. PAYMENT PROCEDURES
CONTRACTOR shall submit Applications for Payment in accordance with the General
Conditions on the Pay Estimate Forms included as Exhibit "A" to this Agreement. Applications
for Payment will be processed by OWNER as provided in the General Conditions.
5.1 Progress Payments. OWNER shall make progress payments on account of the
Contract Price on the basis of CONTRACTOR's Applications for Payment in accordance with
the City of Owasso's Payment Schedule included as Exhibit "B" to this Agreement during
construction as provided below. All progress payments will be on the basis of the progress of the
Work.
5.1.1 Prior to Substantial Completion, progress payments shall not exceed an
amount equal to 90% of the Work completed.
5.1.2 Upon Substantial Completion, OWNER shall pay an amount sufficient to
increase total payments to CONTRACTOR to 95% of the Contract Price, less such amounts as
OVv`NER shall determine in accordance with the General Conditions.
5.2 Final Payment. Upon final completion and acceptance of the Work in accordance
with the General Conditions, OWNER shall pay the Contract Price.
In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the following
representations:
6.1 CONTRACTOR has familiarized himself with the nature and extend of Contract
Documents, Work, locality, and with all local conditions and federal, state and local laws,
ordinances, rules and regulations that in any manner may affect cost, progress or performance of
the Work.
6.2 CONTRACTOR has studied carefully all reports of investigations and tests of
subsurface and latent physical conditions at the site or otherwise affecting cost, progress or
performance of the work which were relied upon by OWNER in the preparation of the Drawings
and Specifications and which have been identified in the Project Specifications.
6.3 CONTRACTOR has made or caused to be made examinations, investigations, tests
and studies of such reports and related data in addition to those referred to in paragraph 6.2 as he

deems necessary for the performance of the Work at the Contract price, within the Contract Time
and in accordance with the other- terms and conditions of the Contract Documents; and no
additional examinations, investigations, tests, reports or similar data are or will be required by
CONTRACTOR for such purposes.
6.4 CONTRACTOR has reviewed and checked all information and data shown or
indicated on the Contract Documents with respect to existing Underground facilities at or
contiguous to the site and assumes responsibility for the accurate location of said Underground
Facilities. No additional examinations, investigations, explorations, tests, reports, studies or
similar information or data in respect of said Underground Facilities are or will be required by
CONTRACTOR in order to perform and furnish the Work at the Contract Price within the
Contract Time and in accordance with the other terms and conditions of the Contract Documents,
including the General Conditions,
6.5 CONTRACTOR has correlated the results of all such observations, examinations,
investigations, tests, reports and data with the terms and conditions of the Contract Documents.
6.6 CONTRACTOR has given O Elie written notice of all conflicts, errors or
discrepancies that he has discovered in the Contract Documents, and the written resolution
thereof by OWNER is acceptable to CONTRACTOR.
6.7 CONTRACTOR has obligated himself to the OWNER to be responsible for the
workmanship, labor and materials used in the project for one (1) year after the project has been
accepted by the OWNER.
6.8 CONTRACTOR understands that he will be exempt from all sales tax on materials
and other items necessary for the completion of the project. The OWNER has issued him a
Certification of Tax Exempt Project enclosed as Exhibit "C" of this Agreement.

CONTRACTOR are attached to this Agreement, made a part hereof, and consist of the

course restroom at Bailey Ranch Golf Club. A total of $40,000 was budgeted for this improvement.
In the fall, staff began the process of reviewing the best alternative for the restroom project. Research

purchasing a smaller scale), as well as a pre-fabricated Oklahoma
would Turnpike. After completion of the review, it was staff s opinion that purchasing a pre-fabricated unit
be the best option due to costs
The restroorn is constructed by ROMTEC of Roseburg, Oregon which is the same company utilized by t
Oklahoma Turnpike Authority to supply their pre-fabricated restrooms. Staff initially contacted ROMTE
State bid list, thus making it easier to be utilized by Bailey Ranch Golf Club.
As it turns out, the cost of the restroom itself ($24,998) wouldjust be within the spending limit of the City
Manager ($25,000). However, because the total cost of the restroom project (water and sewer taps, slab
and sidewalk areas, landscaping) will raise the final cost above $25,000, staff felt it was necessary to
obtain council approval prior to moving forward.
Due to the accessibility of water and sewer in the immediate vicinity, the restroom will be located at the
Hole #7 tee box. The restroom would have both a men's and women's facility as well as a storage room at
the facility for paper products. It would feature a metal roof with split face block. Staff estimates the total
cost of the project will not exceed $35,000, well within the budgeted $40,000 for this improvement.
A copy of the contract for purchase is attached for your information and review, as well as a photo of the
restroom and floor plans. Due to enlargement for printing, the quality of the photo is poor, however the
original photo can be seen at www.romtee.com.
Funds for the restroom improvement were included within the General Government Department budget in
the amount of $40,000.
Staff recommends Council approval of the restroom project at Bailey ranch Golf Club, said project not to
exceed $35,000.

I LAND ACQUISITION FOR EXPANSION
IMMEDIATELY SOUTH OF THE OWASSO SPORTS PARK
DATE: January 15, 2003
As the Sports Park property rapidly approaches "build-out" and as the population in Owasso continues at
its rapid rate of growth, it has become obvious that additional recreation opportunities, both traditional and
alternative, will be needed.
A copy of the contract is attached for your information and review. The contract would prevent the future
sale and/or development of the property until such time that the City can have an election for the purpose
of purchasing the property. The election would likely be combined with other needed capital improvement
projects, as well as the third penny sales tax extension. If the measure failed, the City would not be
penalized in any manner monetarily and the current owners could move for-ward with their plans.
The contract places the cost of the land at $19,875 per acre, which is comparable to other sales of large
tracts of land in nearby areas. Staff believes this to be an excellent "window of opportunity" to be able to
secure the land at this time. It is likely that if we don't move forward, the land will develop in a single-
family nature, and the likelihood of expanding the Sports Park in its existing location would be eliminated.
Additionally, as land continues to develop residentially and costs to purchase land continue to increase, the
likelihood of purchasing large undeveloped tracts of land decreases, as does affordability.
Again, authorizing the Mayor to sign the agreement commits the City to purchasing the property if an
election is held, if this item is placed on the ballot, and if it is approved by the voters and prevents the land
from being developed until that time. If the issue fails to get on the ballot, or if the proposal falls, the
developers move forward with their plans.
Staff recommends Council approval of a contract between the City of Owasso and Owasso hand `Bust for
the acquisition of 80 acres of land located immediately south of the Owasso Sports Park, such contract in
the amount of $1,590,000.00 and contingent upon specific factors, and authorization for the Mayor to
execute the contract.

2. PURCHASE PRICE: The total purchase price is $1,590,000.00 to be paid upon Closing by
cashier" check of certified funds.
3. TAXES AND PRO RATIONS:
A. The SELLER shall be responsible for: (I) all special assessments against the PROPERTY
upon the date of Closing, whether or not payable in installments; (ii) all taxes, other than general ad
valorem taxes for the current calendar year, which are a lien on the PROPERTY upon the date of Closing;
and (iii) the cost of any item of workmanship or material furnished on or prior to the date of Closing which
is or may become a lien on the PROPERTY.
B. SELLER and BUYER shall prorate the general ad valorem taxes for the current year on
the subject PROPERTY as of the date of Closing.
4. CONDITION OF PROPERTY:
A. Until Closing or transfer of possession, risk of loss to the PROPERTY, ordinary wear
and tear excepted, shall be upon SELLER; after Closing or transfer of possession, such risk shall be upon
BUYER.
B. Unless otherwise agreed upon in writing, BUYER, by Closing or taking possession of
the PROPERTY, shall be deemed to have accepted the PROPERTY in its then condition. No warranties,
express or implied, by SELLER or SELLER'S agents, with reference to the condition of the PROPERTY
shall be deemed to survive the Closing.
5. CLOSING: Subject to the provisions of paragraph three (3) and subject to the fulfillment of
any conditions to the Closing specified in paragraph seven (7), the Closing shall be held on or before the
30th day of December, 2003. If there are valid objections to title which require corrections, the Closing
shall be extended for forty-five (45) days to correct such objections. Valid objections to title shall consist
of any circumstance, item or matter appearing of record or extraneous thereto which, under the Title
Examination Standards of the Oklahoma Bar Association, would adversely affect or impair the
marketability or merchantability of title as such is defined in the Title Examination Standards of the
Oklahoma Bar Association. If such valid objections to title cannot be cured within the forty-five (45) day
time period, unless extended by mutual consent or, alternatively, if SELLER shall desire not to cure such
valid objection to title, then, in such event, this contract shall be thereby nullified. At the Closing, the
SELLER shall deliver to BUYER a duly executed and acknowledged warranty deed conveying indefeasible
fee simple title to the PROPERTY to the BUYER upon payment of the Purchase Price as heretofore
provided. Unless otherwise agreed to in writing, possession shall be transferred at Closing. In the event
the closing date is delayed at no fault of Seller, and in the further event that Seller desires to extend the
closing date to accommodate Buyer, then the purchase price set forth in Paragraph two shall accrue interest
thereon at the rate of seven per cent (7%) per annum from the initially required closing date through the
actual closing date as extended.
6. BREACH OR FAILURE TO CLOSE: If BUYER shall perform all of the obligations of
BUYER hereunder and SELLER shall breach this Contract or fail to perform any of SELLER'S obligation
hereunder, the BUYER shall be entitled to cancel and terminate this Contract, or pursue specific
performance of this Contract.
7. SPECIAL CONDITIONS:
